The Works include, without limitation, the construction of the Barrettes for Towers A & B foundations and installation of Steel plunged columns required for Tower A and delivered by the client, as indicated and prescribed in the received Request for Quotation. 2. The Employer and the Contractor is referred to herein in singular as the “Party” and collectively as the “Parties”. 3. The Employer and the Contractor (collectively referred to as the "Parties") shall enter into an agreement ("Contract") for the Works, within a 28-day period from the date of this Letter of Award. Within this duration, the Parties shall use all reasonable endeavors to reach an agreement on the terms and conditions of the Contract, the prices and any outstanding matters. Until the Contract is signed between the Parties, this Letter of ‘Award shall govern the execution of the Works and shall be binding on the Parties and ‘supersedes all written and oral discussions prior to the issuance of this Letter of Award. 4. If and when the Contract is signed between the Parties, this Letter of Award shall be deemed null and void. If this Letter of Award is terminated, then in such case, the Contractor shall be entitled to the actual price of the Works executed by the Contractor and approved by the Engineer. 6. The Commencement Date is the date of receiving the advanced payment. 7. A kickoff meeting will be scheduled and the relevant details will be relayed to the Contractor shortly. In addition to the above terms, the Employer hereby requests the following: 1-The Contractor is kindly requested to provide the model and catalog of the drilling machine that will be used for the Works. The Employer also requests that a field visit be arranged for our consultant to examine the machine in person. 2-The Contractor shall provide photos of the drilling machine for verification purposes. 3-The Contractor is required to attach a hierarchy of the contractor team along with their CV for review and approval by the Employer. 4-The Contractor shall submit a base time schedule outlining the timeline for the completion of the Works. 5-The Contractor is expected to provide a draft of the proposed contract for the Works for review and negotiation. 6-The Contractor shall complete all documentation and paperwork for the letter of guarantee for the advanced payment without delay and in parallel with drafting the binding contract. It is agreed that the minutes of meetings between ‘the Parties, attached hereto, shall be considered an integral part of this agreement.
