Payout Cycle: 17 Days ( 15 days working , 2 days for billing )
Consultancy fees: 4,50,000 INR (2,75,000 to be paid at MoU and remaining from
billing)

Work Description:

1. Customer call the Toll free number to get an appointment with the Available or Nearby
Doctor for consulting or treatment for their own reason , Call Center Agent must give a proper
response knowing the details from customer and check the availability of Doctor by collecting
the Zip Code

2. If the customer ask for an Ambulance to Book for any emergency , Call Center Agent
must respond
immediately to dispatch the Ambulance for the required location and stay on call
until Ambulance reach
the actual location and arrange an available doctor from that location.

3. No sales involved , No Targets involved , No Survey involved.

of Call Center) details and VMware (vspehere Essentials Plus Kit) DetaiIs with its license details for 25 seats
(Total 5vspehere Essentials Plus Kitfor 25 Seats Doctors Appointment Inbound Process is required)
used at the Call Center of hastobesubmitted to VENDOR on orbefore Workingdaysfromthe
date of this MoU signed without anyreasons or delays, if the Documents is not submitted within
Workingdaysthissigned MOU isconsidered asCancelled andpaidamountisnonrefundable.

Documents Verification happens with the Verification Team of Doctors Appointment Inbound Process Client
and Technical Specification verification happens with Vendor and details shared below, which is required for
the Doctors Appointment Inbound Process (Workstation or System or Desktop Configuration Details, Dialer
Details and Server Details) Verification happens on or before days from the date of MoU signed,
failing in Verification MOUsignedconsidered asCancelled andConsultingfeespaidisnotrefundable.

candidates or selection of candidate to attend screening is based on the resumes provided
with satisfactory measures considered and decision is taken from the xxxxxxxx.

Screening: Written test with at least 120 words within 120 seconds on a random question or
random topic related to B.Sc. Nursing, M.Sc. Nursing, B Pharma, M Pharma subjects along
withthe Audio or Voice Screening tocheck Voice Accent (required USA Accent).

Responsibilities of Business Associate: Above mentioned (Point Number 6) to happen within 10 Working
days from the date of MoU is signed, if there are any delays then this signed MoU is considered as cancelled
and consulting fees paid is notrefundable.

Communication with Client for a sign of Business Process (Doctors Appointment Inbound Process) and
Vendor (Technical Specifications)
a. Technical Specifications Verification on Skype or Team Viewer
b. Client Communication on Zoom or Skype.

Dispute Resolutions and Jurisdiction: In the event of any dispute or difference arising between the
parties hereto relating to or arising out of this agreement, including the implementation ,execution
, interpretation , rectification validity, enforce ability, termination or rescission thereof, including the
rights, obligationsorliabilitiesofthepartieshereto, thesamewillbeadjudicated anddeterminedbyarbitration.
The Indian arbitration & conciliation act 1996 or any statutory amendment or re-enactment thereof in force in
India shall govern thereference.

Both parties shall appoint their respective arbitrator and both arbitrators this appointed should appoint
the third arbitrator who shall function as the presiding arbitrator. The venue of arbitration shall be
Bangalore,Karnatakashallhaveexclusivejurisdictiontoentertaintryanddeterminethesame.
