Hereinafter both collectively called “Parties”.

1. Description
ETTA Solutions PLC has is a pioneer in online product delivery provider since 2019 through its
product known as Z-MALL, it’s an online application that involves both e-commerce and
Delivery. Z-MALL is made up of three different applications/Online portals that offer e-
commerce:

Z-MALL - Available for users in all platforms; in order for the user to sign up and order items
presented by the Z-MALL Stores.

Z-MALL Store - This app is available in all platforms in order for our PARTNER stores to
avail/upload their products and accept orders while controlling anything from pricing,
Availability, Promo code, Item details, Options, Earnings….

Z-MALL Delivery - Is an app available for delivery bicycle, Motor Bike, Vans, Trucks… These
delivery vehicles are requested by Partners when the order is accepted and prepared.

2. Objectives
A) PARTNER is interested to use Z-MALL to provide sales to existing and new customers.
B) The parties propose to co-operate and enter into commitments and to regulate the
exercise of their respective rights and obligations upon the terms and subject to the
conditions of this Agreement.

1. Required Terms
1.1 ETTA Agrees to (as Z-MALL)
1. Provide an online portal and application to the PARTNER branches.
2. Create an account and train the PARTNERS for the usage of the app / Portal.
3. Guarantees 99% server uptime.
4. Guarantees regular update, feature addition, and a reliable system.
5. Guarantees to provide a continuous online and in person system support to Partners.
6. Market the PARTNER availability in Z-MALL through different communication channels
e.g. Printed material, Social media, and all available platforms.

1.2 ‘Partner” Agrees to


1. Understand the flow of Z-MALL and agrees to use the ZMALL merchant App at all times
 allocate a staff member capable to take the training to manage orders that comes
through Z-MALL:
 Updating new products, notifying the availability of products or services on a daily
basis so as not to dissatisfy the parties involved.
 Update the partner’s condition (closed, busy...) through Z-MALL
 Update the menu regularly.
2. Accept/Reject Orders as soon as they appear on the ZMALL APP.
3. Must provide the responsible person with a tablet, phone or computer that can
connect to the internet during service hours. However, if the system or internet is
offline for reasons that are beyond the Partners Control, the Partner should
immediately inform
Z-MALL. Therefore, Z-MALL can take appropriate measures.
4. Promote Z-MALL services on the premises of the Partner through printed material and
digital marketing.
5. Authorizes ZMALL to conclude Agreements on behalf of the partner;
6. will provide the store Information to ZMALL

7. is responsible for the completeness and accuracy of the store Information, which for
the avoidance of doubt includes all required product information such as information
about allergens;
8. Will provide additional information related to the store or the products to ZMALL first
request; accurate Logo of the restaurant, at least 7 Pictures of the different items they
sell with the graphic specifications ZMALL requires.
9. will communicate changes to the stores Information to ZMALL fourteen (14) days
before they take effect so that:
 ZMALL can amend the store Information to be displayed on the Platform; or
 the store itself can amend certain Information if authorized for that purpose
10. gives ZMALL permission to use and process the store Information, for example for
marketing campaigns, databases, partner platforms
11. gives ZMALL permission to offer additional services and to charge fees in relation
thereto to the store, whereby ZMALL will inform the store in advance about offered
additional services;
12. will immediately inform ZMALL if any food inspection authority or any other authority
conducts an investigation or establishes an offence by the Restaurant or its employees
under the applicable foodstuff legislation or any other legislation or regulations ;
13. Applies the Same Price Obligation. If the Restaurant breaches the Same Price
Obligation, the price difference between the price as listed on the Platform and the
price charged outside the Platform is:
 billed to the store by ZMALL; and
 Reimbursed by ZMALL to the Customer.
 The store will then adjust the prices on the Platform to those on its own menu, including
discounts. ZMALL may also adjust the prices on the Platform to those on the store price list,
including discounts;

2. Duration of Agreement

This Agreement shall commence being effective on _____________2023. This agreement is to


be renewed annually.

3. General Terms and Condition

A) Z-MALL Delivery shall pick up the product as soon as the PARTNER makes it ready for
Delivery on the app/portal. Both parties shall be responsible for determining the

most effective, efficient and safe manner to perform the delivery services, including
determining the route selection.
B) Z-MALL does not sell or interfere in any way in the production of any food or product
sold at the store.
C) Z-MALL does not in any way independently verify the credentials, representations or
products of stores, the ingredients or the quality of any foods or products.
D) While every effort is made to ensure that accurate pricing and descriptions are
maintained, the PARTNER shall take full responsibility of any misinformed or unclear
product.
E) In relation to any product returns, if the cause of the product return
a. Is due to the partner, the Partner shall bear the cost of the product
b. Is due to Z-MALL, Z-MALL shall bear the cost of the product
F) If the delivery is late beyond reasonable time and not for the reasons of the Partner,
Z-MALL shall take responsibility.
G) Once an order is placed by the consumers and accepted by the PARTNER, the
PARTNER shall take full responsibility of accommodating the request. As such the
Partner shall be responsible for meeting the time of delivery after accepting the order
on the app/portal, however, if there is a delay, the Partner should immediately
inform Z-MALL.
H) Z-MALL is not responsible for the data entry made by the PARTNER on the
application, the PARTNER takes full responsibility and its contents is liable to all
requirements of tax such as receipt……etc. Therefore, Z-MALL delivery shall not
accept a product from the Partner if receipt is not issued.
I) The PARTNER shall determine which items will be available for delivery and pricing of
said items. Evidence of items and pricing structure shall be attached to and become
part of this agreement.
J) The PARTNER shall provide a copy of all legal documents verifying its legal presence
according to the Ethiopia law.
K) Z-MALL shall from his admin panel oversee the full operation and fix any glitches as
soon as possible.

4. Price and Payment

A) Z-MALL provides payment methods on the platforms, which are currently Cash on
Delivery, Tele birr, Amole.
B) Z-MALL reserves the right to provide other payment methods or to no longer offer
certain payment methods.
C) Z-MALL reserves the right to charge customers delivery fee.

D) Z-MALL will pick up the product from the PARTNER, deliver to the customer, and will
collect the price of the product and delivery charge . Z-MALL will share reconciliation
report the PARTNER and make payment to the PARTNER on a weekly basis.
E) ZMALL Shall charges a commission on the total price of any items sold by the partner
through ZMALL.
Rate
8.5 %

5. General Provisions

A) These application Terms shall be governed by and construed in accordance with the
Ethiopia Law.
B) The content on the Application, ("Z-MALL Content") and the trademarks, service
marks and logos contained therein ("Marks") are owned by or licensed to Z-MALL
and are subject to copyright and other intellectual property rights under Ethiopian
Law.

6. Termination

This Agreement may be terminated:

● Unless renewed by both parties in writing, this agreement may be terminated


when the contract period expires.
● The contract may be terminated with a one-month notice where one of the
parties fails to perform in accordance with the provisions of this agreement and
the law.
● This agreement may be terminated for any reason by either party by giving 30
days written notice.

Save as expressly provided herein, no amendments or variation to this Agreement shall be


effective unless in writing and signed by both parties.

The termination of this Agreement shall not terminate or affect the business relationship
between the PARTNER and Z-MALL.
