Thank you for providing an opportunity for submitting the offer for EBZ260H Road Header and
EBZ260M-2 Bolter Road Header.

Shanxi Tiandi Coal Mining Machinery Co., Ltd. (SHANXI), was established in 1964, under the umbrella
of CCTEG (China Coal Technology and Engineering Group). Shanxi is having entire fleet of equipment
those are required for mine development and operation with cutting technology like Road Header,
Continuous Miner, Shuttle Cars, Twin Bolter, Quad Bolter, Scoop, MUV, LHD etc under the single
umbrella.

Apart from the CM package Shanxi is in to manufacturing of high wall mining equipment and Paste Filling
Technology & Equipment. In accordance with SHANXI’s commitment to continuous improvement, and in

Commercial Terms

Payment Terms: 100% of the FOB delivery value payment shall be made through Irrevocable Letter of
Credit from a recognized bank.
1) 30% value of FOR Value of equipment shall be made with placement of order.
2) 60 % Against submission of shipment document (BOE, Country Of Origin Certificate & Insurance
Copy)
3) 10 % after successful commissioning.

Price: The Price of the said Equipment is quoted in USD on FOB, China basis and will remain FIRM until
delivery.

Incoterm: FOB CHINA Port.

Delivery: To be completed within Four (04) months from the date of receiving 30% advance along with
the PO and subjected to release of balance payment as per payment term as mentioned at clause
number (1).

Country of Origin: CHINA

Installation and Commissioning: SHANXI & BEDFORD will depute Certified trained and competent
service engineers and technicians to complete commissioning.

Services: As the exclusive Local Service Provider, M/s Bedford Earth Movers Inc. will supply
comprehensive local service include installation, commissioning, training, maintenance and operation.

Training: SHANXI & BEDFORD shall provide operator training for smooth operation and maintenance of
the Equipment.

Validity: This Proposal is valid for 90 days from submission and it shall remain binding upon the
Proposer and may be accepted by the buyer at any time before the expiration of that period.

Warranty: SHANX’s Warranty Policy will apply, copy enclosed.

After Sales Service: BEDFORD, Exclusive Service Provider of SHANXI undertakes to offer efficient and
prompt after sales service and to ensure that the availability of the spare parts throughout the life of
equipment, in the event of placement of supply order on them.

Guarantee: SHANXI warrants that the equipment to be supplied will be new, unused and of current
design and shall have no defects arising out of design, materials or workmanship.
SHANXI Warranty Policy
Definitions
1. The following definitions apply unless the context requires otherwise:

“Contract” means the document within which this warranty appears, is referred to or is otherwise
incorporated or in the lack of such a document the document which ordered the Equipment from the
Company provided that such document is capable of uniquely identifying the Equipment supplied.

“Defect” means a defect or other insufficiency in materials or workmanship; a defect or insufficiency


may be ascertained only through reference to the Contract.

“Delivery” means the moment in time when possession or ownership of the Equipment by the Company
is given up, whichever occurs sooner.

“Equipment” means the equipment set out in the Contract and where that Equipment is composed of
multiple, discrete and independent items it refers to each of those items jointly or separately as the
context requires.

“Warrantee” means the person, firm, company or corporation named in the Contract and which term
shall not in any circumstance include the Warrantee’s principals, successors, executors and
administrators.

Where the Warrantee comprises more than one person the covenants, promises, acknowledgements
and all other representations on their part contained or implied in this Warranty bind them jointly and
each of them separately.

“Warranty” means this Warranty Policy.

“Worksite” means the worksite at which the Equipment is located at any particular time when referring
to the Warranty.

“New Plant” means plant manufactured & supplied by SHANXI containing all new componentry.

“Spare Parts” means new components that are purchased from SHANXI or it’s Authorised Service
Provider for the purpose of replacing unserviceable components on Shanxi plant.

“Service Exchange Parts” means SHANXI or it’s Authorised Service Provider repaired/rebuilt
components that are purchased from Shanxi for the purpose of replacing unserviceable components on
Shanxi plant.

“Consumables” means any of the following: - hoses, clamps, fittings, nuts, bolts, washers, fasteners,
oils, greases, seals, sealants, gaskets, polyurethane trailing arm bushings, hinges, latches, cutting teeth
& Holders & the like.

“SHANXI Plant” means any plant which is or was at any time New Plant.

Incidence of Cover
2. The Company warrants that, subject to this Warranty, the Equipment is free of Defects at the time of
Delivery.
3. This Warranty entitles the Warrantee to have any Defect found, arising or discovered in any other
manner during the period of this Warranty repaired, replaced or refunded by the Company, the decision
to repair, replace or refund a defect will be at the sole discretion of the Company.

Warranty Period
A. New Plant – The Company makes this warranty for the period of 12 calendar months from Delivery or
on the accumulation by the Equipment, or any part of the Equipment, of 2,000 hours of service. Should
all maintenance be carried out by SHANXI or Authorised Local Service Provider personnel then this
period may be extended to 12months or 3000 hrs, whichever comes first.

B. Repaired Plant –The Company makes this warranty for the period of 3 calendar months from
Delivery or on the accumulation by the Equipment, or any part of the Equipment, 1000 hours of service.

4. The period of this Warranty will not apply again, re-set, re-start or be otherwise extended in any
manner for any individual piece or part of the Equipment or for the Equipment as a whole after the
replacement of a piece or part of the Equipment or for any other reason

Exclusions and Limitations


5. This Warranty will not extend to cover any loss, damage or other liability, howsoever arising, which is
not the direct result of a Defect.

6. The Company shall not be liable to rectify any breach of warranty or any defect or non- conformance
in the Equipment if the Customer fails to promptly advise the Company of the breach, the defect or the
non- conformance, or if the breach, defect or non-conformance is the result of:

1) Improper use or mismanagement by the Customer;

2) operation of the Equipment other than in accordance with the Company's manuals, instructions
or recommendations;

3) use of the Equipment in a manner not reasonably contemplated by the Company;

4) modification or repair of the Equipment not authorised by the Company;

5) lack of routine maintenance;

6) use of the Equipment in a manner contrary to the law;

7) exposure of the Equipment to unusual or un-recommended physical, environmental or other


stresses;

8) installation or reinstallation or moving of the Equipment by a person other than an authorised


employee of the Company;

9) installation or reinstallation or moving of the Equipment by a person other than an authorised


employee of the Company;

10) the Customer’s failure or refusal to install engineering changes or enhancements recommended
by the Company;

11) use of non-genuine parts or components;


12) any damage caused by any act or omission of the Customer, its employees, agents, contractors
or subcontractors;

13) fair wear and tear;

14) items otherwise subject to deterioration or consumption in normal service (including lamps,
bulbs, fuses and batteries); or

15) defects or failures in materials or faults in manufacture in respect of goods or components


thereof not manufactured by the Company, however the Company will extend to the Customer where
possible the benefit of any warranties, if any, provided by the relevant manufacturer in respect of such
goods or components (subject to the same conditions and limitations).

This Warranty will not cover any part which must be replaced, repaired, modified or otherwise altered in
the course of regular or scheduled maintenance recommended by the Company within the period of this
Warranty.

8. This Warranty does not and will not in any circumstance cover Consumables.

9. This Warranty will not cover any piece or part of the Equipment or the Equipment as a whole which is,
during the period of this Warranty fitted with or otherwise attached to any piece of equipment, tool,
implement or parts which were not purchased from the Company or which were not fitted, attached or
otherwise installed by the Company.

10. This Warranty will not oblige the Company to cover any loss, damage or other liability, howsoever
arising, for a Defect where the value of repairing, replacing or refunding a claim would be, for that single
claim or for the aggregate of all claims made under this Warranty, more than the total value of the
Contract.

Lodgement of Claims
11. No claim under this Warranty will be considered or accepted by the Company, and the Company
shall not be required to consider or accept that claim, unless that claim conforms with each and every
requirement contained within these clauses 13 to 18.

12. All claims must be made in writing and appear on the warranty claim form which shall be supplied by
SHANXI (the Warranty Claim Form). All parts of the Warranty Claim Form not marked as “For SHANXI
Use Only”, or such other words to that or similar effect as may appear on the Warranty Claim Form, must
be completed. A purchase order, for tracking purposes, to the value of the goods must be supplied with
the claim form.

13. All claims must include a written service history of the Equipment which history includes any notes as
to the conditions in which the Equipment was utilised, the manner in which the Equipment was utilised,
any maintenance or repair, whether scheduled or unscheduled, conducted on the Equipment and any
other information which the Company may reasonably require to assess that claim.

14. On lodging a claim, the Warrantee must make the Equipment, or any part of the Equipment to which
the claim relates, available to the Company or its authorised representatives in such a manner and at
such a location as to allow for the Investigation of the Equipment and the accurate appraisal and
confirmation of the claim (the Investigation). It is considered that return of the failed component (at your
cost) to SHANXI or Authorised Service Provider within 14 days of failure meets the requirements of this
clause.

15. After the Investigation occurs the Company must, within a reasonable period of time, prepare a
written report outlining each portion of the claim, the results of the Company’s Investigation as they
relate to each portion of the claim and the Company’s statement of its acceptance of liability for that
portion of the claim (the Report).

16. All claims relating to a Defect must be forwarded to the Company by the Warrantee within 7 days of
the day on which the Warrantee becomes aware of that Defector of the day on which the Warrantee
should reasonably have become aware of that Defect, whichever is the sooner. A failure to submit a
claim within this period will remove all liability, howsoever arising, from the Company for both the claim
and any circumstances related to that claim.

Miscellaneous Provisions
17. Headings

Headings in the Warranty are for convenience only and must not be used to aid, or for any other purpose,
in the interpretation of the Warranty or any part thereof.

18. Entire Warranty

The Warranty contains all warranties and covenants given by the Company to the Warrantee and
supersedes all prior arrangements, letters of intent, purchase orders, representations and documents, if
any, relating to the Equipment or the Contract.

19. Assignability

The Warranty is not assignable and may not be held on trust or utilised for the benefit of any entity which
is not the Company or the Warrantee.

20. Severability

If any provision contained in this Warranty is void, illegal or unenforceable, that provision is severable
from the Warranty and the remainder of the Warranty has full force and effect.

21. Non-waiver

A waiver of any provision of or right under the Warranty:

1) must be in writing signed by the party entitled to the benefit of that provision or right; and

2) is effective only to the extent set out in the written waiver.
