TERMS OF REFERENCE

KNOW ALL MEN BY THESE PRESENTS:

This Terms of Reference is made and entered into by and between:

The __________________, a local government unit created and

existing under the laws of the Philippines, with principal address at
_______________________________, herein represented by its
Barangay Captain, _________________________, hereinafter
referred to as “FIRST PARTY”;

-and-

The ___________________________, a ___________________

created and existing under the laws of the Philippines, located
______________________________, herein represented by its
__________________, ____________________, herein referred to as
the “SECOND PARTY”.

(Collectively called as “PARTIES”)

RATIONALE: Fueled with its noble mandate to ensure and support the
preservation and enrichment of culture, the City Government of Koronadal
heralds the twin celebrations dubbed as the 84th Foundation Anniversary
and the 2024 Hinugyaw Festival from 04 to 15 January 2024. These
fêtes are potent channels for the Koronadaleños to showcase their
cherished and diverse yet opulent and vibrant-colored history, ancestry,
and heritage. Thus, in an arena of festivities and gaieties thereon, the
HINUGYAW SA DALAN STREET DANCING COMPETITION,
among others, gears-up to exhibit enchanting musical ensemble and
dances, which focuses mainly on the identity and ancestry of the City of
Koronadal.

Thereanent, the ___________________ entreats the presence of

public schools and dance associations, as it partners, among others, the
_________________________ to mainly, endow and grace said
celebrations with its magnanimous and active participation and support,
subject to the terms and conditions stated hereunder.

NOW THEREFORE, for and in consideration of the foregoing premises, the PARTIES
hereby AFFIRM, STIPULATE, AGREE, and UNDERTAKE to perform the terms and
conditions as follows:

II. DUTIES AND RESPONSIBILITIES

A. The FIRST PARTY shall:

1) Provide the Technical Rules and General Guidelines for the proper and
efficient implementation of the herein0mentioned activity.
2) Closely coordinate with the Second Party as to the details needed;
3) Supervise the conduct of the entire activity.
4) Ensure order, safety and security of the entire event; and
5) Perform other acts vital and necessary for the same.

B. The SECOND PARTY shall:

1) Strictly comply with the Technical Rules and General Guidelines issued
by the City Tourism, Culture and Arts Office for the HINUGYAW SA
DALAN STREET DANCING COMPETITION. This includes, among
others, complying with performance specifications, time schedules, and
other rules and guidelines provided by the FIRST PARTY, with the noble
end to ensure a seamless dance performance;

2) Agree that the financial counterpart provided by the FIRST PARTY is

intended solely for all expenses related to their preparation and
performance in the HINUGYAW SA DALAN STREET DANCING
COMPETITION. Such expenses, include but not limited, to costume
design, choreography, make-up, music, transportation, accommodation,
food, and any other relevant costs associated with the competition;

3) Actively attend to all rehearsals and meetings as scheduled and ensure

proper coordination, synchronization, and overall performance
improvement;

4) Fully commit to put its best effort in both rehearsals and the competition
itself and ensure the importance of representing the interests of both
Parties in a positive manner;

5) Ensure individual safety of the participants before, during, and after the
duration of the herein-stated activity; and

6) In the unfortunate event that the Second Party fails to perform in the
competition on January 15, 2024, it shall promptly notify the
First Party three (3) days prior thereof. Furthermore, the SECOND
PARTY undertakes to return the full financial counterpart received, in
cash, from the FIRST PARTY within five (5) days from the date of the
competition.

 III.FINANCIAL COUNTERPART

a. The FIRST PARTY’s financial counterpart for the said event shall be in a fixed
amount of _____________________________ (PhP 0.00) ONLY, subject to
government accounting and auditing laws and rules and regulations,

b. As its counterpart, the SECOND PARTY shall defray all the costs and
expenses, incidental and regular, of the said event/program, particularly those in
excess of the First Party’s financial counterpart as aforementioned.

IV. NO LIABILITY

The FIRST PARTY shall not be liable for whatever loss or damage that may be caused
to the SECOND PARTY or its members/workers before, during, and after the actual event
or implementation of the mentioned program.

V. AMENDMENT

No modification or amendment of this Terms of Reference shall be valid unless the

same is in writing and is signed by both parties. No waiver of any provision of the
AGREEMENT shall be valid unless in writing and signed by both parties.

VI. DURATION AND EFFECTIVITY

These TERMS OF REFERENCE shall take effect upon the signing of the PARTIES
hereof, particularly from January 04 to 15, 2024.

WHEREFORE, the PARTIES have hereunto affixed their signatures on this ____ day of
January, 2024, in the City of Koronadal, South Cotabato, Philippines.
