APPOINTMENT OF SUBSTITUTE ATTORNEY-IN-FACT

KNOW ALL MEN BY THESE PRESENTS:

WHEREAS, I, a senior Filipino citizen (76 years old), with postal and residential
address at No. 1 Buklod ng Nayon St., corner Gen. San Miguel St., Barangay 8,
Kalookan City, 1400, Metro Manila, have been appointed ATTORNEY-IN-FACT of
SPOUSES MELECIO L. TEJADA AND AMALIA L. TEJADA, who both have long been
at peace, with the same address mentioned above, by virtue of the SPECIAL
POWER OF ATTORNEY executed in Caloocan City, on June 16, 1998, and
acknowledged before Atty. Ernesto G. Del Rosario, a Notary Public, for and in the
locality first above-written, and bearing Notary Registration No. 4189138, Doc.
No. 230, Page No. 46, Book No. 27, Series of 1998 of his notarial register.

WHEREAS, by the said Special Power of Attorney, I was given and granted full
power and authority whatsoever is requisite or necessity or proper to be done in
and about the premises that fully to all intents or purposes;

WHEREAS, I was not able to transfer the two parcels of land with Transfer
Certificate of Title Numbers 25885 and 41677 subject of my Special Power of
Attorney in the name of the spouses Melecio L. Tejada and Amalia L. Tejada
before and after they died, even in the name of their children, and until now;

WHEREAS, I was the only one entrusted by the Spouses Melecio L. Tejada and
Amalia L. Tejada, instead of their children, as evidenced by the Special Power of
Attorney (SPA) granted to me;

WHEREAS, when the said spouses are still alive, they told me that I am going
to transfer my SPA to one of their children by the time I am old, weak, and
incapable to continue my said SPA;
