SERVICE AGREEMENT

Ref: OEPL/SA/24-25/318

THIS AGREEMENT is made at Kolkata on the 15th Jan 2024, by and between Orion Edutech Pvt. Ltd. a Company within
the meaning of the Companies Act, 1956 having its registered office and Corporate office at Orion House, Mani Casadona,
Office No.-5ES5,5th Floor, Tower, New Town, Kolkata-700156, hereinafter referred to as “First Party”(which expression
shall, unless repugnant to the context or meaning thereof, include its successor and permitted assigns), of the ONE PART

AND

Ms. Zahida Warsi (PAN No.- AHKPW1841J), Female, Md idrish, aged about 24 years, residing at Nosha Bagicha,
Phulwari Shrif, Patna, Bihar, 801505, herein after referred to as the “Second Party” of OTHER PART:

WHEREAS the First party has offered to appoint and retain the second party to act for them as and ‘Counsellor’ the second
party has agreed to the said appointment and retainer ship.

NOW IT IS HEREBY AGREED BY AND BETWEEN THE PARTIES HERETO AS FOLLOWS:

1. The First party hereby appoints and retains the Second party for the service of imparting mobilizing to its students
using the course material provided by the First Party.

2. The FIRST PARTY shall pay to the SECOND PARTY retainership of Rs. 10,500/- (Rupees Ten Thousand Five
Hundred Only ) including TDS, per month in lieu of the service rendered by the Second Party.

3. The above retainership quote is based on the assumption that there will be no material change in the content provided
by the First Party. In the event of any material deviation in the foregoing assumption the parties hereto agree to re-
assess and mutually revise this agreement.

4. The first party appoints the second party as a ‘Counsellor’ of PMKVY- Patna Centre and the duty hours shall be as
per company norms. The Second Party has to attend the office for a minimum period of 09 hours, except special
permission from reporting authority, in each working day and the shift time will be 09:30 am to 06:30 pm.

5. The Second Party shall not be entitled to take any leave without prior approval from Concerned Authority and will be
considered for deduction from agreed retainer-ship.

6. The Employee must submit all the required documents and receives his or her ERP User ID and Password for daily
maintenance of attendance from the very first day of his/her joining. The retainership should be calculated on the basis
of ERP attendance solely.

7. The SECOND PARTY agrees that his duties shall be primarily rendered at the place, assigned by the First Party, which
can be changed from time to time and the Second Party have to obey the decision of the First Party.

8. That the Second party is barred to engage any third party for the completion of the work entrusted to him/her by First
Party.

9. The SECOND PARTY shall maintain full secrecy and shall not disclose any confidential matter or communication
between the FIRST PARTY and themselves to anybody else.

10. The SECOND PARTY shall not act with any other Company, Organization, Institute simultaneously on same profile
during the tenure of this contract.

11. This agreement commences from 15-Jan-2024, and shall be in force till Jul-2024. On the expiry of the said term the
agreement will be subject to renew with the mutual consent of both the parties.

12. This agreement may be terminated by any party hereto by giving fifteen days prior notice to the other party. If the
Second Party has failed and neglected to serve the 15 days statutory notice, then First Party has the liberty to
hold/forfeit the pending salary, Incentives, if any, and not issuing the Release letter thereto and in this event the
decision of the First Party shall be final and bind the Second Party.

13. During the tenure of retainer ship, if the second party develops any contents, innovations etc, belongs to first party and
second party cannot claim any royalty or amount for the same.

14. The Second party is subject to full time deployment.

15. The Second Party must accept, attend and go through, the Induction Training of the company and abide by all the rules,
regulations and policies set in HR Manual of the First Party (Orion Edutech Pvt. Ltd.).

16. That in case of breach of any condition mentioned herein above, by the Second Party, the Second Party shall be liable
to pay fine, which shall be decided by the First Party on the graveness of the conduct.

AND WHEREAS on expiry of the said period from receipt of the notice this agreement shall stand terminated.

Please Note : The signed copy needs to reach the HR Team at HO within 5 business days from the date of induction. If
delayed, salary will be calculated from the date, the documents have been received by HR Team.
