This Deed of Absolute Sale made and entered into this ___________________at

WHEREAS, the VENDOR hereby warrants peaceful possession of the properties herein sold
and convey and further declares that the same are free and clear of liens and encumbrances of any
kind whatsoever.

WHEREAS, the VENDOR offered to sell and the VENDEE agreed to buy the property with all its
improvements under such terms and conditions set forth herein.

WHEREAS, the VENDOR hereby warrants and shall defend its title to the condominium unit
herein sold, transferred and conveyed in favor of the VENDEE, his/her heirs, assigns and nominees,
against all future claims of all persons or entities.
(a) Further, VENDOR unconditionally agree to defend and pay all reasonable cost of attorney’s fee
against future legal actions or proceedings with respect to the sale of this property including but not
limited to fraud, liquidated damages, all fees, taxes and all other charges or incidentals that maybe
brought upon or enforce to this property or its certificate of title.

 WHEREAS, cancellation of this contract by any of the party, it is agreed that all reasonable
cost of expenses equivalent to the fees, taxes pre-requite to the registration and transfer of the title
will be paid by the VENDEE.

NOW THEREFORE, the parties hereby agree as follows:

That, for and in consideration of the sum of ____________ IN TOTAL as ____________, to be

paid in cash, due and payable to the VENDOR, Philippine currency, which is hereby acknowledge by
the VENDOR and said VENDOR hereby SELLS, TRANSFERS, and CONVEYS unto the VENDEE his/her
heirs, legal representatives or assigns, the Properties together with all the improvements found
therein, free and clear from all liens and encumbrance.

It is expressly provided and agreed that the corresponding Capital Gains Tax and Real Estate
Tax, Documentary Stamps Tax, Registration Fee, Registration Expenses, Transfer Taxes and all other
miscellaneous fees and expenses shall be to the account of the VENDEE.

Further, possession to the subject property shall be delivered by the VENDOR to the VENDEE
upon full payment of the total consideration;

The VENDOR shall settle all the utility bills prior to the final sale and turnover of the
property.
