CORPORATE GUARANTEE AGAINST RETENTION

This Corporate Guarantee is executed on this day the 3rd February 2024.

By

Ucon PT Structural System Pvt Ltd a company incorporated under the provisions of the
Companies Act 1956, having its Head office at New No.45, 5 th Street Padmanaba Nagar,
Adyar, Chennai – 600 020, India and represented by its Managing Director (hereinafter
referred to as “Guarantor” which expression shall, unless repugnant to the context or
meaning thereof, be deemed to mean and include its group companies, affiliates,
successors and assigns) of the One Part.

Aurum Girnar LLP having its Registered Office at Q Parc Plot No Gen-4/1, TTC
Industrial Area,Thane Belapur Road Ghansoli Navi Mumbai.Navi Mumbai, Thane
Pincode - 400701
hereinafter referred to as the “Owner” (which expression shall, unless it be repugnant to
the context or meaning there of be deemed to include its successors and assigns).

Whereas

A. The Guarantor namely Ucon PT Structural System Pvt Ltd has entered into a
Contract (hereinafter referred to as the “Contract”) vide ref No
APIPL/GAL/WO/2021/0016 dated 16.12.2021 for Bonded Systems Post
Tensioning works for proposed Q3 Building at Aurum Platz IT Pvt Ltd
at Q Parc, Gen-4/1, TTC Industrial Area, Thane Belapur Road,
Ghansoli Navi Mumbai 400710.

B. The Guarantor has agreed to provide Corporate Guarantee to the total

retention value of Rs. 3,34,020 /- (Rupees Three Lakh Thirty Four Thousand
And Twenty Rupees Only) to the Employer against any default in execution
for Bonded Systems Post Tensioning works for proposed Q3 Building at
Aurum Platz IT Pvt Ltd at Q Parc, Gen-4/1, TTC Industrial Area, Thane
Belapur Road, Ghansoli Navi Mumbai” and rectification of the same during
Defect Liability Period of the said contract.

C. Employer has agreed to accept this Corporate Guarantee as requested by the

Guarantor.

NOW THIS GUARANTEE WITNESSES AS FOLLOWS:

1. In consideration of Employer agreeing for the release of Retention payment to the

Guarantor in accordance with the request placed by them, the Guarantor
absolutely, unconditionally and irrevocably guarantees, as a continuing
obligation, to the Employer, for proper and punctual performance by the
Guarantor. In case the Guarantor does not perform the contractual obligations
during defect liability period, the Guarantor shall pay to the Employer, a sum (the
Guaranteed sum) not Rs. 3,34,020 /- (Rupees Three Lakh Thirty Four Thousand
And Twenty Rupees Only)
 2. The Guarantor shall pay to Employer forthwith on demand the sum specified
under Clause 1 above, without any protest or demur and without any court
intervention. The guarantor further agrees that the Employer shall be the sole
judge to decide.

The Guarantor represents to Employer as of the date hereof that:

i. This Guarantee is legal, valid and binding on the Guarantor for the
amount received. It is enforceable against in accordance with the
terms and conditions specified therein.

ii. This Guarantee shall come into force from the date of realization of the
retention amount of Rs. 3,34,020 /- (Rupees Three Lakh Thirty Four
Thousand And Twenty Rupees Only) and shall continue in force and
remain valid till a written notice of discharge is received from
Employer.

Notwithstanding anything contained herein above:

i) Our Liability under this Corporate Guarantee shall not exceed Rs. 3,34,020 /-
(Rupees Three Lakh Thirty Four Thousand And Twenty Rupees Only)

ii) This Corporate Guarantee shall be valid up to 16th August 2024.

iii) We are liable to pay the guaranteed amount or any part thereof under this
Corporate Guarantee only, and only if you serve upon us a written claim or
demand on or before 16th August 2024.

IN WITNESS WHEREOF, This Guarantee is executed on the day and the year first
above written.
