Opportunity

Lead to the Future, LLC has been engaged to assist McLaren Technical Services, Inc. in their search for
one Independent Director for their fiduciary Board. This is an opportunity to serve on the fiduciary
Board of Directors of a highly respected ESOP engineering company serving several markets including;
transportation engineering, marine engineering, construction engineering, entertainment engineering,
industrial engineering, public infrastructure, structural engineering and forensic engineering.

Summary of Position

The Directors of McLaren Technical Services, Inc. (McLaren) shall provide appropriate corporate
governance and, jointly with the CEO, shall monitor, regularly reassess, and revise the company’s
strategic plan, management succession plan, financial plan, and operations plan with the intent of
increasing shareholder value.

Skills

New director candidates should possess expertise in at least 5 of the skills listed to ensure the Board, in
aggregate, maintains proficiency in all skills. This search will place strong emphasis on Finance and
Auditing.

Finance and Auditing • Assist the board in overseeing the integrity of the Company’s financial
statements and annual audit.

• Ensure financial statements are presented to the board in an understandable and actionable manner.

• Review the annual budget prepared by management.

• Review the annual stock valuation.

ESOP Knowledge Working understanding of ESOP shareholder structure.

Strategy Capable of suggesting strategies to improve the competitiveness of the firm and increase its
value.

Sales & Marketing Senior experience generating leads and winning project assignments.

Human Resources Mgt. Senior experience in interpersonal relationships, management of staff, training
and developing leaders and hiring talent.

Emerging Markets & Technology Experience in identifying and exploring newly emerging markets and
ability to assess new technologies in how they may contribute to McLaren’s growth and profitability.

Mergers and Acquisitions Be able to evaluate the terms and conditions of a merger or acquisition, assess
the candidates or provide access to funding.

Governance Ensure the values of the company and rights of its shareholders are preserved through the
execution of the bylaws and passage of amendments.

Business Development Can leverage their existing network to drive business to the firm.

Operations Processes Capable of suggesting strategies to improve the internal operations of the firm.

Qualifications

Management Skills Executive level experience in team building, excellent communication skills and
problem-solving skills with a “big picture” perspective.

Industry Knowledge At least 20 years of direct experience with the AEC industry.

Board Experience Working understanding of the duties and responsibilities of a corporate Board of
Directors. Prior board experience is preferred.

Culture Must be a cultural fit with an engineering firm that prides itself on applied ingenuity.

Commitment and Participation Must have available time and bandwidth to participate in all board
meetings and perform committee obligations

Expectations & Compensation

Time Commitment 1-5 days per month

Meeting Participation 3 all day Board meetings/year, conference calls as scheduled by the Chairman,
and participation on delegated powers committees.

Term 3 Years

Compensation $1,600/month (travel, meals and lodging paid for by McLaren)

Insurance Directors are covered by Directors and Officers insurance.
