CONTRACT TO SELL

This CONTRACT, made and entered into by and between:

RODELLE Y. DACUMOS, of legal age, Filipino, married to Charo

Dacumos, a resident of Banilad, Dumaguete City, Negros Oriental;
hereinafter called the SELLER – and –

BABY GWENDOLYN Y. RA, of legal age, married to Dalju Ra, Filipino,

and with residence and postal address at 4-33-14Kamata, Ohtaku, Tokyo,
Japan, hereinafter called the BUYER,

WITNESSETH:

That the SELLER is the registered owner of a parcel of land with Lot
No. 1-B (TCT No. 41393) situated at Banilad, City of Dumaguete, Negros
Oriental, with the improvements existing thereon, by the virtue of a DEED
OF SALE, notarized by Atty. Louie A. Rustica per Doc No. 79; Page No.
17; Book No. IX; 2019;

That the SELLER does by these present agree and bind himself to
sell to the BUYER the above-mentioned property and the Buyer agrees to
buy the same;

That the agreed purchase price is FIFTEEN MILLION PESOS (P

15,000,000.00), Philippines currency;

That a down payment in the sum of SEVEN MILLION FIVE

HUNDRED THOUSAND PESOS (P7,500,000.00) shall be paid by the
BUYER upon the execution of this instrument;

That upon payment of the total purchase price above-mentioned and

the other obligations set forth, the SELLER shall execute and deliver to the
BUYER a final Deed of Absolute Sale conveying the above-described
property, free and clear of all liens and encumbrances;

However, it is stipulated herein that the expenses for the transfer of the
title to the BUYER, including attorney’s fees, documentary stamps, and
registration fees, shall be for the exclusive account of said BUYER;

That in consideration of the actual possession which the BUYER is

given to enjoy from the date of the execution of this instrument, all taxes
and special assessments, if any, imposed by the government on the
property, beginning with the month in which this contract has been entered
into, shall be assumed and paid by said BUYER.
