SUB-LEASE CONTRACT

KNOWN ALL MEN BY THESE PRESENTS:

This agreement is made and entered into by and between:

SANDY H. PIÑEDA, of legal age, Filipino, single, with residence address


at B40 L3 San Jose St. Villa Belen South Santo Cristo, Angeles City, Pampanga,
hereinafter reffered as SUB-LESSOR

-And-

ARNOLD VALENCIA VILLA, of legal age, Filipino, single, with residence


address at Lot 10 Blk 4, Sitio Nagkamayan Tuyo, Balanga City, Bataan,
hereinafter referred to as SUB-LESSEE.

-WITNESSETH -

Whereas, SUB-LESSOR will sub-lease its leased premises situated at


Block 1 Lot II, Don Juico Ave. Josefa Subdivision, Balibago, Angeles City,
Pampanga; Whereas, SUB-LESSEE is willing to sublease a portion of the
aforesaid leased premises by way of desk space/s.

For and in consideration of TWENTY THOUSAN PESOS (Php 20,000)


monthly rental fee. SUB-LESSOR hereby leases a portion of its leased premises,
particularly for a VAPE SHOP under the following terms and conditions agreed
upon by the parties:

1. THE LEASED SPACE/ PREMISES: It is understood that the leased


space shall be used for VAPE SHOP only and the SUB-LESSOR will
shoulder all the cost of improvements for the said shop;

2. THE MONTHLY RENTAL: The SUB-LESSEE shall pay unto SUB-


LESSOR without need of any demand the agreed monthly rental fee of
TWENTY THOUSAND PESOS (PHP 20,000) every 29 th of the
month. Prior to occupying the space, two (2) months deposit and two
(2) months advance rental equivalent to such monthly rental fee shall
also be paid unto the sub-lessor to answer for any damages to leased
space or furniture of the SUB-LESSOR;

3. RETURN OR FORFEITURE OF DEPOSITS: The deposit shall not be


used as payment for rental, as the same shall be held accountable for
whatever damages that may be incurred in the premises and for the
unpaid electric, water, and other utility bills; the deposits are
reimbursable upon the expiration of this contract, after their application
on damages incurred or unpaid bills if there be any and the SUB-
LESSEE shall be liable to pay additional amount in the event that the
deposit is not sufficient;

4. IMPROVEMENTS and RENOVATIONS: The SUB-LESSEE at their


own expense may introduce improvements. Any and all improvement
made by the SUB-LESSEE on the leased premises or subject building
shall automatically belong to the SUBLESSOR upon the termination of
the SUBLEASE without reimbursement as to the costs thereof.

5. PERIOD OF LEASE: This lease agreement shall be valid from


February 29, 2024 to February 29, 2026;
6. NATURE OF BUSINESS ACTIVITY: The SUB-LESSEE shall
undertake legitimate business only and shall acquire, register and pay
its owns licenses, duties and taxes to the government;

7. SECURITY DEPOSIT: A security deposit in the amount of Ten


Thousand Pesos (Php 10,000) shall be paid immediately; which will
be used for utility bills such as but not limited to electricity;

8. INCREASE OF RENT: The monthly rental fee shall increase at a


yearly rate of five (5%) percent per annum;

9. TERMINATION: This lease agreement shall be considered terminated


upon the expiration of the period of lease unless otherwise extended or
renewed in writing by both parties. However, the SUB-LESSOR may
AT ANY TIME unilaterally terminate his lease agreement due to
nonpayment of rents and/ or violation of any provision of this
agreement or the main LESSOR terminates the SUB-LESSOR’S lease
agreement.
