CONTRACT OF SERVICE

This Agreement which is made on the 1st of September 2023 containing the terms and conditions that
shall govern the contract of service arranged between XXXXXXXX (Employer), a company duly
registered under the Companies Act and whose registered place of business is ZZZZZZ and YYYY
(Employee) of National Identification number YYY and a resident of ZZZZZ

Whereas the Employer desires to obtain the benefit of the Employee’s services and the Employee to
render such services, all in accordance with the terms and conditions set in this contract.

1. APPOINTMENT

The employee in this contract shall join the Employer for the purpose of rendering his services as an
Operations and Sales Administrator.

2. EMPLOYMENT AND DURATION


a) The Employee agrees that he will at all times, apply and utilise his skills, talents and experience in
performing the duties associated with his role as Operations and Sales Administrator.
b) The duration of this contract shall be indefinite and subject to fair labour practices relevant in Kenya.

3. WORKING HOURS
a) Office hours shall be as from 8:00 AM to 5:30PM from Monday to Friday and 8:00 AM to 5:00 PM
on Saturdays.
b) Lunchbreak shall be as from 1:00PM to 2:00PM.
c) The Employee shall work on alternate Sundays as from 8:30 AM to 1:00 PM, subject to the terms set
in clause 6.

4. PLACE OF WORK

Your duties shall be undertaken at the company’s main office which is situated on ZZZZ and where
necessary, at any other location at which the company shall be operating or engaging in business
activities.

5. JOB DESCRIPTION
As an Operations and Sales Administrator, you shall have the following duties:

i) monitoring the company’s sales;


ii) facilitating the growth of the company’s sales;
iii) promoting client satisfaction and building client relationships in order to maintain and grow
client retention;
iv) collection of debts;
v) conducting site visits and recording developments;
vi) accounts and customer reconciliation;
vii) marketing of the company’s products and services.

6. REMUNERATION
a) In compensation for his services rendered, the employee shall be awarded a monthly salary of ZZZZ
which shall be subjected to normal statutory deductions by the employer.
b) The employer shall pay the employee his salary by way of bank standing order at the end of each
month.
c) As compensation for overtime hours worked, the employee shall be payed GGGG for each Sunday
worked.

7. INCURRED EXPENSES
a) All reasonable expenses arising out of employment or in the fulfilment of the employee’s duties shall
be immediately reimbursed upon the furnishing of appropriate receipts to management, under the
condition that they were authorized prior to being incurred or were expenses necessary to be
immediately met for the smooth running of business.

8. STATUTORY DEDUCTIONS
a) The remuneration referred to in clause 6 shall be subjected to all statutory deductions relevant in time.

9. REQUIREMENT TO TRAVEL
a) In fulfilment of this contract, the employee may be required to travel for any of but not limited to the
following purposes:
i) acquisition of skill/knowledge in Industry practice;
ii) growth of the company’s clientele;
iii) sourcing of products and stock;
iv) Fulfilment of training and development programmes undertaken by the employee.
b) The expenses incurred in the fulfilment of the above clause (Clause 8 (a)) shall be borne by the
employer; the employee shall be availed with a per diem that shall be determined at the relevant point
in time and in consideration of all projected and necessary expenses, duration of travel, fair practice,
market conditions and any other relevant considerations.

10. ANNUAL LEAVE AND PUBLIC HOLIDAYS


a) During each 12-month period of consecutive service, the employee is entitled to 25 (twenty-four)
leave days on full pay which could be taken in any manner chosen so long as if taken as one
consecutive period, be upon management’s approval and in consideration of the business’s smooth
operation.
b) Where the employee is required to work on public holidays, they shall be remunerated accordingly
for extra hours worked as provided for under clause 6(c).

11. SICK LEAVE


a) During each 12-month period, you shall be entitled to sick leave of 9 days with full pay and
thereafter, to sick leave of seven days with half pay, as long as in each scenario, a certificate from a
qualified medical practitioner showing incapacity to work is furnished to management.

12. DRESS CODE


a) The employee shall be required to be dressed in smart attire with closed official shoes at all times

13. TRAINING AND DEVELOPMENT


a) The company shall continuously avail options of different training and development programmes that
shall both better the employee’s performance and further their growth and development.

14. PROMOTION
a) This contract shall envisage the employee’s promotion which shall be subject to management’s
discretion and in due consideration of the employee’s growth in skill and delivered output.

15. APPLICATION OF GOVERNING LAW


a) This contract shall at all times be read and construed in accordance with relevant Kenyan law that
shall be in force at the time, which during the formation of this contract includes the Constitution of
Kenya 2010 and the Employment Act of 2007.
16. REVISION OF CONTRACT TO INSTALL KEY PERFORMANCE INDICATORS
a) This contract shall be revised in 6 months’ time (on or around March 1st) for the instalment of Key
Performance Indicators that shall govern the company as well as this very contract.
