MEMORANDUM OF UNDERSTANDING

Nomor: 2024/ /I/001

This Agreement is made and entered into by and between:

, as Director of
, Selangor-
Malaysia, (hereinafter referred to “First Party”) and

as Director of PT. , having its address


at Jalan , Jakarta,
Indonesia (hereinafter referred as “Second Party”),

Regarding the agreement of sale and purchase of seafood products, both parties agree
as follows:

A. Roles of Each Party


First Party role as buyer, who buy the seafood products from Second Party. Second
Party role as supplier, who supply (sell) the seafood products to First Party

B. Basis of Sale and Purchase Agreement


The basis of a sale and purchase agreement in accordance with sharia provisions is
mudharabah where the seller determines the selling value of the goods at the
beginning of the agreement with a certain credit period given to the buyer without any
additional costs at the end of the payment settlement.

C. Guarantee of Order Fulfillment


The Second Party provides a guarantee to fulfill orders from the First Party which
includes:
1. In accordance with the specifications, quality and quantity required by the first
party
2. On time according to the schedule agreed by both parties

D. Payment Settlement Guarantee


First Party provides a guarantee to settle the payment to of goods purchasing on
time according to the due date agreed by both parties. The guarantee is stated in a
written agreement made and witnessed by a notary who is appointed and agreed by
both parties.
E. Procedures to Order
1. Second Party provide an offering letter regarding seafood products based on
available stock and catching season
2. Based on the offering letter or market demand, First Party provides a purchase
order to Second Party with details information of consignee details, description of
goods, specification of goods (size, processing style, packaging style), quantity,
destination, terms of delivery, terms of payment, and ideal price
3. Once received the purchase order, Second Party provide the Performa Invoice as
the confirmation to First Party that the order can be fulfilled by Second Party. The
Performa Invoice contains information asthe Purchase Order with the additional
information of:
 Estimation shipment schedule
 Bank details

F. Shipment Documentation
1. First party provides the legal information such as company name, address,
phone, contact person, tax id,and bank details to Second Party for the
registration purposed
2. Second party provides the draft of shipment documentation with basic
(mandatory) documents asfollows:
 Commercial Invoice
 Packing List
 Certificate of Origin
 Health Certificate
 Bill of Lading
 And other additional documents when requires by First Party or Regulation
at destination Country
3. The draft documents must be checked and confirmed by the First Party
before proceed the originaldocuments by Second Party
4. Original documents will be released and delivered to First Party upon First
Party’s instruction and thepayment have been settled and done by the First
Party according to the agreed terms.

G. Term of Payment and Payment Due Date


1. Both parties agree that the term of payment can be under L/C or Non L/C (T/T,
Bank Guarantee)
2. Due date payment starts from the arrival container at Destination Port to 45
days for 20ft container and60 days for 40ft container
H. Agreement Validity
This agreement is valid for one year from the signing of this agreement and can be
changed, corrected, modified or extended according to the agreement of both parties.

I. Violation of Agreement
Both parties agree that any violation on this agreement shall be discussed internally
and if cannot solved then the case shall be reported to the authorities (court) based
on the laws and regulations in force in the Republic of Indonesia and Republic of
Malaysia

IN WITNESS WHEREOF, the parties have caused this Agreement to be signed and
sealed in both Indonesia and Malaysia Languages by their duly authorized
representatives, both texts in duplicate, with each party hereto retaining one (1)
copy thereof in each language.
