Dear Hrushikesh,

Further to our discussions with you, we are happy to offer the role of Consultant with Yucca IT
Solutions Private Limited, Bangalore effective from 10-08-2023.

1. During the Contract period, you shall be paid as per the following terms:
1. Morning Shift Allowance: Rs 500 per day
2. Night Shift Allowance: Rs 700 per day
3. Weekend Allowance: Rs 750 per day

Yucca shall duly and punctually deduct statutory deductions such as income tax deducted at
source (TDS) when applicable.

2. The present contract duration is for one year.

3. Assessment will be done after 6 months by the manager based on the following aspects:
- code, test, build, run & support (external training on Dot Net/PHP)
- short-term courses/certifications on online learning platforms
- Performance check – On the job training
- Attitude

Assessment will also be done after 6 months by the director. Regular fresher interview will be
done.

If you perform well in the assessment post 6 months, you will be offered as regular employment.
One more chance will be given again after 6 months, if you do not succeed in the first assessment.

4. You will be governed by the contract & service rules of this company as may be applicable to you
from time to time.

5. Time sheets are very critical for us to track the utilization and productivity of our business. You
shall fill your timesheets on our time tracking tool – Easy Schedule on ideally a daily basis, but no
longer than a weekly basis. The timesheets should be sent to your reporting manager’s approval
on weekly basis (Every Friday evening, or the following Monday, if you expect work during the
weekend). By end of the month, you are requested to submit the consolidated approved
timesheet to the Finance and HR departments. This should be done on or before the last working
day of every month.

6. Your consultancy fee will be processed by the Finance team upon the submission of your
approved timesheets by you at the end of the month.
7. During your contract period, the company, at its discretion, may assign you to different locations
within India and abroad. In such cases, the company would inform you of such travel with
sufficient notice and you would be required to undertake the travel. It is also possible that you
may be assigned to such a project where you will need to work directly with the client’s team or
their manager, which, in other words, may be akin to an Individual Contributor role. In such a
role, you will be expected to meet the client’s expectations to the extent that they are
reasonable, and any disagreement can be appropriately defended and attempted to be brought
to a mutually beneficial closure. Regardless of the role that you have in a project, i.e., as a team
member, team lead etc. or as an individual contributor, you are required to keep your Yucca
manager updated on a regular basis on the project work that you would be involved in and shall
also seek advice and guidance from your Yucca manager, as and when required. Yucca expects
continuous alignment between you, the Yucca team (where applicable), your Yucca manager and
your client team member(s) and/or client manager. Any conflicts should be attempted to be
resolved amicably, as far as possible, in consultation with your Yucca manager.

8. During the course of your contract, you will render your services efficiently, honestly, faithfully
and to the best of your abilities, and shall devote your whole time and attention to promote the
interest of the company and generally carry out duties and work as assigned to you and shall
obey and comply with all the lawful orders and directions given to you by the concerned superiors
in the company.

9. You are expected to deal with company’s money, material and documents with utmost honesty
and professional ethics. Your service may be dispensed any time without any previous notice if
you are found guilty of gross indiscipline, fraud, and misappropriation or acting against the
interest of the company.

10. You will not give anyone, by word of mouth, writing, facsimile any devices or otherwise any
particulars or details, which you acquire during the course of your contract of our working
systems, technical know-how, security arrangements, administrative and/or organization
matters of our and our clients whether confidential, secret or otherwise, either during your
contract with company or afterwards.

11. During the course of contract, you are required to keep all Confidential Information in strictest
confidence and not use it for any purpose adverse to the Company & it’s Clients’ interests and
will not disclose any Confidential Information to any person (except solely in performing your
duties as a trainee of the Company or as and when required under any law in India) directly or
indirectly.

12. All discoveries and inventions which relate in any manner to the business or the future business
of the Company, and which are conceived, authored, or made by you (either alone or with others)
during your contract with us will be the sole property of the Company. You will promptly disclose
these discoveries and inventions to the company in writing and/or orally, and further, will not
disclose these discoveries and inventions to any other persons.

13. For a period of 6 (six) months following the termination of your contract for any reason
whatsoever, you shall not, either on your own behalf, or on the behalf of any other person, firm
 or corporation, compete or endeavour to compete with Yucca directly or indirectly, solicit or
endeavour to solicit or obtain the business of any person, firm or corporation that is a client of
Yucca or otherwise deal in any manner adverse to Yucca.

14. You shall not directly or indirectly induce or solicit any of the Yucca’s employees to terminate his
or her employment with Yucca and to engage in employment in the competitive business. You
shall not undertake employment with or offer your services to Yucca’s customers or its
associates, without written consent from Yucca. In the event if you breach this clause, Yucca shall
be entitled to injunctive relief and claim damages from you for all losses in business suffered by
Yucca as a consequence- thereof.

15. This contract is terminable by either party giving a notice of 1 calendar month. Either party is not
bound to give any reason thereof. Further, Yucca may at its discretion relieve you from such date
as it may deem fit even before the expiry of notice period without compensating for the
unexpired period and is not bound to give any reasons thereof.

By signing this offer of contract, you accept the terms and conditions of contract specified herein.
