CASH DISBURSEMENT SCHEDULE ADDENDUM

This addendum (the “Cash Disbursement Schedule Addendum”) is entered into as of the
________________________ and together with the Merchant Agreement (the “Agreement”) signed
between the parties to this Cash Disbursement Schedule Addendum (the “Parties”) on
______________________ shall comprise the entire agreement between them.

1. All capitalized terms and expressions used in this Cash Disbursement Schedule Addendum and
not defined herein shall bear the meanings given respectively to them in the Agreement.

2. Subject to Section 6 of the Agreement, Toters will remit the outstanding balance on a weekly
basis according to the following: the total outstanding balance for each one-week period will be
disbursed seven (7) days following the end of said period (the “Payment Cycle”).

3. Toters will remit the outstanding balance to the Merchant based on the Payment Cycle, and
such moneys shall be disbursed fully in cash, provided that the Merchant disables the credit
card payment option on:
(i) Toters App, and
(ii) the Merchant's delivery channels (being, the Merchant’s application, other
platforms similar to Toters Platform, etc.).

4. In case the Merchant enables the credit card payment option in violation of article 2 above, the
Cash Disbursement Schedule Addendum shall be considered void and null and terminated by
right without the need for any prior notice or judicial or non-judicial proceedings, and Toters
shall apply the previous payment method as agreed between the Parties prior to the Cash
Disbursement Schedule Addendum.

5. All provisions of the Agreement that are not amended by this Cash Disbursement Schedule
Addendum shall remain unchanged.

6. This Cash Disbursement Schedule Addendum shall be considered as an integral part of the
Agreement.

7. This Cash Disbursement Schedule Addendum shall be governed by the Laws of the Lebanese
Republic.

8. The Parties submit any dispute relating to, or arising out of, this Cash Disbursement Schedule
Addendum to the jurisdiction of the courts of Beirut, Lebanon.
