SERVICE CONTRACT

This CONTRACT is made and entered into by and between_______________________ referred to as the Client,
with an address at ____________________________________, and IPASS Business Processing Services, a
document processing agency with a registered address in Rm 1, 2nd Floor, Doña Segunda Complex, Ponciano Reyes
Street, Davao City, hereinafter referred to as the Service Provider.

WHEREAS, the applicant wishes to obtain professional service for (SERVICE AVAILED) ____________________
from the Service Provider. WHEREAS, the Service Provider, IPASS Business Processing Services Inc., has the
knowledge, skill, and capability to perform such services for the Client.

1. Statement of Work

1.1. Whereas the Client and Service Provider desire to enter into a relationship in which the Service
Provider will provide the following services:

1.1.1. Prepare/fill up the application form based on the documents provided and submit the
same to the Third Party (BOARD OF NURSING, CGFNS, DHA, DOH, DataFlow, IdentoGO, A
Fingerprinting U.S. Photo, 123 mail & more fingerprinting) on behalf of the client.

1.1.2. Track the application and inform the client of the latest status or any progress of the
application.

1.1.3. Communicate with the Third Party on any queries on behalf of the Client to ensure that
documents submitted through snail mail are received by the proper authorities.

1.1.4. Communicate with the Third Party through email and phone calls during the application
to ensure any discrepancies will be corrected as soon as possible.

1.1.5. Monitor and follow up on the application to ensure immediate approval within the given
time frame.

2. Terms of Payment

2.1. Service will be performed on a fixed price basis and limited to the Statement of Work stated
above. Any additional service required by the Client must be mutually agreed upon by both
parties for adjustment of service fees.

2.2. Fees for third parties are subject to change without prior notice. The fees for services set forth in
this agreement may be adjusted to reflect increases or decreases in fees by the third parties
involved. All such adjustments shall be your responsibility to pay and shall become effective upon
the date any such change is implemented by the service provider or third party.

2.3. IPASS Business Processing Services Inc. has the right to change the fees during the process based
on the update given by the service provider.

2.4. IPASS Processing will initiate the NCLEX procedure upon receipt of payment for Step 1, and this
same procedure will be followed for subsequent steps. In the case of VisaScreen (VS), we will
initiate the application process once the applicant's payment is confirmed as paid in full. Similarly,
for Endorsement, we will initiate the process upon receipt of the initial payment in full, and this
procedure will be consistent for subsequent steps as well.

2.5. Service fees paid to IPASS Business Processing Services Inc. will NOT BE REFUNDED. All credit
card payments in favor of the third party shall likewise be deemed not refundable as IPASS
Business Processing Services Inc. did not profit from nor withhold any of these payments.

3. Termination

3.1. Due to impossibility of performance – the contract will be terminated if one of the parties is
unable to perform their part of the contract:

3.1.1. The client is unable to continue the application due to an incident that resulted in
disability or death.

3.1.2. IPASS Business Processing Services Inc. is unable to perform the service due to changes
in the application process, especially if the changes limit the access of third parties to
the application.

3.2. Due to fraudulent act – performed by the client, which includes but is not limited to:

3.2.1. Identity theft

3.2.2. Alteration of Documents

3.2.3. Forgery

3.3. Applicant decided to end the contract – at any given stage, the client has the right to end the
contract due to but not limited to:

3.3.1. The change of service application process has already commenced, and the applicant
decided to change service midway.
3.3.2. The applicant decided not to proceed with the application due to some unfavorable
policy changes to the client’s current status.

3.3.3. The applicant has been unresponsive for more than 12 months on the day the update
and follow-up were made.

3.3.4. Applicants have been unreachable through phone calls, texts, chats, email, and other
means of communication for more than 12 months on the day the communication was
done.

3.4. This contract will end after the applicant successfully completes the application she availed from
IPASS Processing.

4. Force Majeure

4.1. Neither party shall be held liable, nor be deemed to be in default, under this Agreement for any
delay or failure in performance resulting from causes beyond its reasonable control due to acts of
state or government authorities, acts of terrorism, natural catastrophe, fire, storm, flood,
earthquake, riot, civil disturbance, sabotage, embargo, blockade, acts of war, power failure,
including negligence on the part of couriers. In the event of such delay, the date of delivery or
time of completion will be extended by a period of time reasonably necessary to overcome the
effect of any such delay.

5. Confidentiality

5.1. Client and Service Provider acknowledges that during the course of processing, all information
under this agreement shall be deemed confidential. Neither party has the right to disclose the
confidential information to the other party, in whole or in part and neither party will make use of
any confidential information other than for the purpose of performance of this Agreement.

5.2. Each party agrees to take all reasonable steps to protect the other’s confidential information from
unauthorized user disclosure.

5.3. The client agrees not to share any resource material the service provider provides (study
calendars, documents, books, publications etc.) with anyone.

6. Liability

6.1. The Service provider will not be liable for the disapproval of your application if it is not found out
that your credentials are not authentic and true (fake documents) during the verification of your
credentials.

6.2. In the event that deficiencies will be encountered along the processing, the service provider is
responsible for assisting the client in solving the deficiency until it is resolved. If any cost will be
incurred, the client agrees to settle the payment as necessary when the deficiency’s Root cause
was not due to the service provider's negligence.

6.3. The contract is NON-TRANSFERABLE from one person to another once the service fee is fully paid
and the contract has been signed.
