RELEASE, WAIVER, AND QUITCLAIM

1. I, Joseph Cipriano, of legal age, with address at Blk14 Lot52 The Istana
Subdivision Cassanueva Street Amaya II Tanza Cavite do hereby acknowledge
that:

2. I have been separated from TRANSCOSMOS INFORMATION SYSTEMS INC.

formerly Merlin Information Systems Philippines, Inc. (the “Company”)
effective 01 June 2022.

2. I have received from the Company the amount of NINE THOUSAND ONE
HUNDRED THIRTY FIVE & 95/100 PESOS (Php 9,135.95) representing my
final pay as of 01 June 2022, corresponding value of tax and other adjustments
arising from my Separation from the Company.

4. In consideration of the foregoing, I hereby:

4.1 acknowledge that I have already been paid all amounts representing my
salaries, back wages, 13th month pay, premium pay for holidays, rest
days, overtime pay, holiday pay, service incentive leave pay,
allowances, separation pay, and other benefits, monetary or otherwise,
due me from the Company, its parent company, affiliates, subsidiaries
and successors-in-interest, their stockholders, officers, trustees,
directors, agents, or employees, arising out of or in connection with my
employment with the Company.

4.2 unconditionally and absolutely release, remise, and forever discharge

the Company, its parent company, affiliates, subsidiaries and
successors-in-interest, their stockholders, officers, trustees, directors,
agents, or employees, from any and all claims or actions of whatsoever
nature, whether civil, criminal, administrative, or otherwise, including,
but not limited to, claims for sums of money, or other obligations arising
from any contract, agreement, or plan, or from any and all incidents of
my previous employment with the Company or the cessation of my
employment with it.

4.3 warrant that I will not at any time and in any manner whatsoever,
directly or indirectly, commit any act prejudicial to the interest of the
Company, its parent company, affiliates, subsidiaries, their
stockholders, officers, directors, agents, or employees, nor will I disclose
any confidential or proprietary information concerning the business of
the Company, its parent company, affiliates, subsidiaries, and
successors-in-interest, their manner of operation, plans, or data of any
kind, as well as personal or confidential information pertaining to or
about any of the employees, stockholders, officers, and directors of the
aforesaid entities pursuant to Clause 6 of my Probationary Employment
Contract dated 21 February 2022.

4.4 undertake to immediately return all properties belonging to the

Company that may still be in my possession or custody, including, but
not limited to all operations manuals, employee manuals, sales and
marketing materials including Company profiles, client lists or other
information, product samples and brochures, pamphlets and other
literature and documents which are proprietary to, or contain any
Confidential Information relating to, the Company, including copies
thereof.

4.5 recognize that my obligations under Clauses 6 and 7 of my Probationary

Employment Contract dated 21 February 2022 shall survive the
termination of my employment with the Company and shall persist until
fully complied with. Subject to Clauses 6 and 7 of my Probationary
Employment Contract dated 21 February 2022 my failure to abide by
my obligations herein shall constitute a material breach of this
Confidentiality Undertaking that shall give rise to an action for damages.

4.6 understand and acknowledge that any violation of this Confidentiality

Undertaking and/or any of my individual undertakings, commitments,
and/or representations herein or in my Probationary Employment
Contract dated 21 February 2022 may constitute immediate and
irreparable damage and harm to the Company for which the Company
shall be entitled to seek injunctive or other equitable relief, without
prejudice to any other rights and remedies at law or equity which it can
seek to enforce against me simultaneously and cumulatively.

4.7 understand that in the event that I violate this Confidentiality

Undertaking and/or any of my individual undertakings, commitments,
and/or representations herein or in my Probationary Employment
Contract dated 21 February 2022, the Company may bring such legal
actions against me as may be allowed by law and I agree to pay all
liabilities and to identify the Company, its parent company, affiliates,
subsidiaries, and successors-in-interest, their stockholders, officers,
directors, representatives, employees, and assigns for any loss,
damage, cost or expense arising from my violation and the consequent
filing of suit by the Company, including, without limitation, attorney’s
fees and expenses of litigation.

5. I finally declare that I have read this entire document and fully understood
every word of it and its meaning. I have affixed my signature hereunder
voluntarily and freely with the full and complete knowledge of the meaning and
intent of this document and of my rights under existing laws.
