AGREEMENT

This Agreement is made at Delhi on this 2nd January 2023

BETWEEN

Sunrise Hospital (A Unit of M/s. Trinity Sunrise Healthcare Pvt. Ltd .) A Company
incorporated under the provisions of the Companies Act, 1956 and having its branch office at F -
1 Kalindi Colony, New Delhi - 110065 and Sunrise Hospital (A Unit of Trinity Sunrise
Healthcare Pvt. Ltd.) G-51, 52, Abul Fazal , Shaheen Bagh, New Delhi -110025 represented
by its Director Dr. Nikita Trehan (Herein after referred to as the ‘Employer’ which expression
shall unless repugnant to the context or meaning thereof, mean and include its successors,
Directors, assignees etc.) of the one part.

AND

Dr. Ashok Panwar R/o D-105, Sector 27, Noida (Herein after referred to as the ‘Employee’
which expression shall unless repugnant to the context or meaning thereof, mean and include
his/her heirs, successors, assignees, executors, administrators etc.) of the other part.

WHEREAS the employer is engaged in the business of Healthcare (Hospitals) in Delhi at the
address mentioned above.

AND WHEREAS the employee has joined the services of the employer as FULL TIME
CONSULTANT –Pediatric. Your Date of Joining is w. e. f. 02nd Jan 2023).

AND WHEREAS both the parties have decided to put certain important terms and conditions
relating to the confidentiality agreement and certain terms of the employment reached between
them into writing as under:

Terms Conditions of Agreement:-

1. The employee shall faithfully observe and comply with all the Employer’s rules, policies,
regulations, practices, processes and procedures that are in force and applicable to the
employee and all changes therein, from time to time , as well as the terms and
conditions mentioned in the appointment letter shall be binding on the employee.

2. The employee must maintain employer’s and employer’s confidential information and
not disclosing it to third parties or other employees unless such persons have a “need to
know”.
However, such discloser shall be made only after obtaining due written permission from
the Studio Manager / Management/ CEO of the employees.

3. The Employee shall maintain secrecy for all training material and information, Images,
Literature, emails and other correspondences, data in any form, and all other business
information which he/ she possesses during the course of his / her tenure with the
employer and shall not disclose the same or share it with any other person / company /
association or entity at any of time i. e. during and after tenure with the employer.
4. Consideration

a. The Employee has agreed on our condition of paying his fixed salary per month
Amount of Rs. 2,00,000/- (Rupees Two Lac only). effective from the date of his
joining and your duty timing 10:00am to 01:00pm and 06:00pm to 08:00pm
Monday to Saturday. TDS will be applicable as per Govt. rule.
i) Employee will get fix Salary of Rs. 2, 00,000 upto revenue generated under his
name Rs. 4,00,000/ per month.
ii) If revenue generated under his name exceed Rs. 4,00,000 per month then
employee will get 10% of bill value above 4,00,000/- [For Example if revenue
generated by employee 5L. incentive will be (5L-4L)X10% = 10,000.
iii) OPD timing Morning 10: 00 am to 1 :00pm
iv) OPD timing Evening 06:00 pm to 08:00pm
v) Emergency Visit Chagres at night (LSCS/NVD) Rs. 4000/-
vi) Emergency Visit Charges at Day ( LSCS /NVD) Rs. 3000/-
vii) On call day visit charges without (LSCS/NVD) Rs. 1500/- at night visit charges
2000/-

5. The Employee shall have no right to save / copy for the purpose of employer’s business
and on behalf of the employer either during or out of the business hours make or retain
copies of extracts from documents or any notes of all information in relation to the
employer’s business clients or customers business and that the employee if requested
by employer shall delete all confidential information upon any reusable material and
destroy all of the documents and tangible items which contain or refer to any
confidential information which are in possession or under control of the employee.

6. One paid holiday every month with information.

7. Employee shall not allow any freelance practice.

8. All payments of surgeries will be only collected by Sunrise Hospitals.

9. The Employee has agreed to go for OPD and IPD as advised by the Employer.

10. The Company undertakes to serve a notice period of 1 (one) month, in a case where it
wishes to terminate this Agreement. If Company fails to serve the notice period as
mentioned, Company undertakes to pay last one month’s salary as notice pay to
employee. This is applicable for both sides.

11. All information , data , technical process or invention developed or discovered , either by
the employee or jointly with others, regardless of form, generated in the performance of
or delivered during employment , as well as any information provided to the employee
by the employer , shall be or remain the sole property of the employer .The employee
shall not have any right to use, in any manner whatsoever, any intellectual Property
Rights (IPRs viz. Copyright / trade/ designs/ software program etc.), in part or in full
belonging to the employer , whether registered or not.
12. Employee shall not use username or password of any other employee of the employer. If
employee attempts to use any part of companies computer system without
authorization or attempt to enter any code name or password to gain access to any
computer data in respect of which he is not authorized to have access the same may be
treated as having committed an act of gross misconduct.

13. Employee shall not claim any other benefit expect as mentioned in the Appointment
letter.

14. Nothing in the agreement is intended to rant any rights to the employee under any
patents, copyrights, trademark or other intellectual property rights of the employer nor
shall the agreement grant the employee any right in or to confidential information
except as expressly set forth in the agreement.

15. Upon the employee’s retirement or the termination of the employment by the Employer
or upon the resignation from the services of the Employer , the employee will promptly
return to the Employer all such material , data in any form, documents ,files, notes,
computer discs ,recordings ,printouts, and the like that are in his possession or under
his control and that relate to the operation and business of the Employer. The employee
shall not be entitled to retain any duplicates or summaries of or notes or data on any of
the foregoing. The employee shall not use it further directly or indirectly for himself or
for any other persons, entities, firms, companies etc.

16. The employee undertakes that during the term of this employment and after completion
of this employment, he / she shall neither reveal confidential information or trade
secrets to any person, firm, corporation, or entity nor violate any of the terms of this
agreement. Should the employee reveal or threaten to reveal such information or violate
any of the term of this agreement, the employer shall be entitled to an injunction or any
other remedy restraining the employee from disclosing same, or from rendering any
services to any entity to whom said
Information has been or its threatened to be disclosed, and that the right to secure an
injunction is not exclusive, and that the employer may pursue any other remedies it has
against the employee for a breach or threatened breach of this condition ,including filing
criminal complaint or filing legal suits or the recovery of damages from the employee.

17. The employee undertakes that after his association with employer is having come to an
end for any reason whatsoever, he shall never divulge confidential information, or trade
secrets to any person, firm, corporation, or entity, at any point of time in future.

18. The employee agrees that during the term of employment and for a period of one year
after the termination of the employee’s employment the employee shall not in any way ,
directly or indirectly:-

a) Induce or attempt to induce any employee of the employer to quit employment with
the employer;
b) Otherwise interfere with or disrupt employer’s relationship with its employees and
clients;
c) Solicit, entice, or hire away any employee of the employer.
d) Not otherwise act in any manner which could disrupt or adversely affect the
employer’s business reputation, interests or goodwill.
19. The remuneration and other terms of offer/appointment is to be treated with utmost
confidentially and shall not be disclosed to other employees of the employer and to any
other person with the exception of the employee’s immediate family members.

20. Notwithstanding anything contained hereinabove, the employer is at liberty to either


suspend or terminate the service forthwith without assigning any reason thereof or any
notice or any compensation, and take all legal actions including to sue the employee
under criminal laws in case the employee is found guilty, of any act of disobedience,
insubordination ,incivility, insobriety, dishonesty, violating any of the terms of this
agreement or of any act or omission, conduct or commission or irregularity, whether
during the course of employment or otherwise which in the opinion of the Employer is
detrimental to its interests.

22. Only the courts at Delhi will have exclusive jurisdiction in all matter, issues and disputes
arising out of or connected with terms, condition and interpretation of this agreement.
