SHORT-TERM TRAINER/RESOURCE
PERSON/AGREEMENT No:
This agreement by and between Jhpiego Corporation office in Ethiopia, an affiliate of the
Johns Hopkins University, organized under the laws of the State of Maryland having its
principal address at 1615 Thames Street, Baltimore, Maryland 21231 and address in
Ethiopia at Kirkos Subcity, Kebele 02/03, House No 693 Addis Ababa, Ethiopia
(hereinafter referred to as Jhpiego), and Tamerat Debele Tulema having
his/her address at Trainer/Resource +251 964337096 (hereinafter referred to as
Person/).
RECITALS
I. Jhpiego desires to obtain services from the Trainer/Resource Person/Independent
Contractor as more particularly described herein (hereinafter referred to as the Services).
Now, therefore, in consideration of the faithful performance of the obligations set forth
herein and other good and valuable consideration the receipt and sufficiency of which are
hereby acknowledged, Jhpiego and the Trainer/Resource Person/Independent Contractor
hereby agree as follows:
3. Time Devoted to Work. In the performance of the Services, the amount of time
devoted by the Trainer/Resource Person/Independent Contractor on any given day will
be entirely within the Trainer/Resource Person/Independent Contractor's control, and
Jhpiego will rely on the Trainer/Resource Person/Independent Contractor to devote
such number of hours as are necessary to fulfill the requirements of this Agreement.

number of days not-to-exceed 1day. Payment for services will be paid by Jhpiego uponpresentation
of invoices by the Trainer/Resource Person/Independent Contractor upon completion of services rendered.
The tax will be deducted from the total consultancy fees payment as per the regulation of the Ethiopian
Federal Inland Revenue Authority. If you have a Trade License and TIN number you will pay 2%
withholding tax from each day pay check (and issue invoices) otherwise you will pay 30%
withholding tax from each day pay check. Invoices shall include the total number of days worked and
a brief description of the services provided. Reimbursement of other previously authorized expenses
under this Agreement will be paid to the Trainer/Resource Person/Independent Contractor upon
itemization of the Trainer/Resource Person/Independent Contractor's invoice. Travel expenses will be
reimbursed to the Trainer/Resource Person/Independent Contractor in accordance with the Jhpiego Travel
Expenses Guide upon completion of the Jhpiego Travel Expense Report which shall be attached to the
invoice along with legal and valid travel receipts. If the funds advanced are not received in a reasonable
time, a daily deduction of 50 Birr will be applied to the consultancy fee dueto the Trainer/Resource
Person. The total not-to-exceed estimated cost shall be 2,560.00 Ethiopian Birr including
reimbursement of authorized expenses. Jhpiego shall not pay any Per Diem/Allowance/Travel expense
for the Trainer/Resource Person whose work place or duty station is in the town the training or
consultancy is taking place.
5. Term. The term of this Agreement shall be from Mar 25,2023 unless extended bymutual written
agreement of the parties or until all work in accordance with this Agreement has been completed. Jhpiego
may at any time terminate all or any part of the services called for by this Agreement for its convenience.
If the Trainer/Resource Person wishes to terminate the contract, he/she must give at least 10 working
days’ notice to Jhpiego. Upon the expiration of the term hereof or earlier termination of this Agreement,
Trainer/Resource Person/Independent Contractor shall deliver to Jhpiego all completed work to date
and any records or other property belonging to Jhpiego.
8. Confidential Information and Copyright. All information and reports disclosed to the
Trainer/Resource Person/Independent Contractor by Jhpiego or Jhpiego’s Sponsor and all information

and reports developed by the Trainer/Resource Person/Independent Contractor for Jhpiego or the Sponsor
during performance of the Services are confidential and shall be revealed only to Jhpiego. Jhpiego shall
be deemed the copyright owner of all such information and reports developed by the Trainer/Resource
Person/Independent Contractor under this Agreement.
9. Property issuance. The Trainer/Resource Person may receive Jhpiego property to be used in
conjunction with the work he/she will provide to Jhpiego. In this case, the Trainer/Resource Person must
sign a property issuance form, a.k.a. ‘Fixed Asset Loaner Form’, supplied by Jhpiego and that
form shall be part of this agreement. Whenever requested by Jhpiego, or at the termination of this
contract, the Trainer/Resource Person shall return the property. The Trainer/Resource Person is not
entitled to retain any Jhpiego property issued for use related to the work described in the Scope of Work
– Attachment A. If the property issued is not returned or damaged fully or partially, Jhpiego retains the
right to claim the amount to compensate for the extent of loss per current market price of the
equipment or parts from the Trainer/Resource Person/Independent Contractor.
10. General. This Agreement shall be interpreted in accordance with and governed under
the laws of Ethiopia. This Agreement constitutes the entire agreement of the parties with respect to the
matters addressed herein and no modifications of this Agreement shall be enforceable unless in writing
signed by both Jhpiego and Trainer/Resource Person/Independent Contractor.
Jhpiego relies on the skill, expertise, knowledge and experience of the Trainer/Resource Person in
the provision of services and the Trainer/Resource Person shall agree to fully identify and keep Jhpiego
fully indemnified against and from all claims, demands, actions, losses, costs (including legal costs),
taxes and other expenses as a result of or in connection with the provision of the contractual services.
Additionally, a leave agreement for those working in the Ethiopian government sector will be provided
to the contractor for signature. That document is considered a part of this contractual agreement. This
leave agreement will indemnify Jhpiego from any consequences of the Trainer/Resource Person’s action
against the leave agreement statements on official leave from their place of work within the
Ethiopian government
11. Dispute Clause: In the event of controversy in the interpretation and implementation
of this agreement, the parties shall attempt to resolve the dispute amicably which otherwise be referred
for a panel of arbitrators elected by the parties in accordance with the provisions of the Ethiopian Civil
Code. The decision of the arbitrators shall be final.

ATTACHMENT - A: SCOPE OF WORK
Scope of Work
The purpose of this exercise is to facilitate a curative maintenance training on a topic 'Maintenance of Biological
Safety Cabinets' on March 25, 2023, prepared for biomedical engineers and technicians in Adama.
Specific
- Facilitating theoretical sessions,
- Coordinate group activities and demonstration and practical exercises with other facilitators.
Deliverables
To be given to Jhpiego no later than one week post the end of the training
1. A well-written training report to be submitted within four days (and no later than one-week post-training)
2. Return the completed consultant invoice form within two weeks of completion of the work

LEAVE AGREEMENT
Jhpiego Ethiopia is a non-profit affiliate of Johns Hopkins University working in Ethiopia in the areas of Maternal
and Child Health, HIV/AIDS, and Strengthening Human Resources for Health. As a part of the strategy to
strengthen the Ethiopian health care system Jhpiego uses resource persons such as trainers, facilitators,
module/manual developers, data collectors or data entry clerks.
Donor rule and regulations, and the terms of bilateral agreements between the US and Ethiopian governments
restrict any payment deemed a salary supplement (aside from standard per diems) to government of Ethiopia
employees, including those at any level of the Ministry of Health. In order to comply with this restriction, we
request that, should you accept to assist Jhpiego in carrying out training and other technical activities, you either
work outside normal work hours in your place of employment or make arrangements to take leave without pay.
In addition, we are now requesting that you attest to this fact by completing this form.
