Please note that the following items and services are not included in our scope:
 Construction
 Intermediate inspection
 Ticket and accommodation for FAT

The Equipment & Service (if any) shall be placed in two separate Purchase Orders.

PRICE VALIDITY AND INCOTERMS

Our budgetary offer can be used as reference until 1 month after offer date and is to be understood FCA Pulomas
Factory, Jakarta according to INCOTERMS®2020. The price does not include any taxes and fees. Transfer of risk
for the goods supplied shall be in accordance with INCOTERMS®2020.

Orders shall only be placed after the release of firm offer from PT Siemens Indonesia.
_ Price above valid for full load bundle.

TERMS AND PAYMENT

Payment shall be made by T/T for Advance Payment and Letter of Credit (or SKBDN) for the remaining payment.
Terms of payment are as follows:

Advance Payment:
20% of the total order value to be paid by telegraphic transfer within 30 (thirty) days upon PO issuance against
our commercial invoice.

Progress Payment:
20% of the goods value, as progress payment upon main material arrival at our warehouse against our signed
delivery note.

30% of the goods value, as progress payment upon the completion of factory acceptance test against our FRT /
FAT (If Applicable) certificate.
In case of delivery in batches, partial FAT and invoicing of the FRT / FAT (If Applicable) portions are allowed.
Typical FRT / FAT (If Applicable) test is allowed unless agreed otherwise.

30% of the goods value shall be paid upon delivery against our commercial invoice, along with supporting
documents as agreed in the order (e.g. delivery note)
In case of delivery in batches, partial deliveries and invoicing of the portions delivered are allowed.

The above progress payment has to be affected out of an irrevocable Letter of Credit (or SKBDN), which must be
payable within 30 days, divisible, and transferable. The L/C (or SKBDN) must be issued by a reputable Bank and
opened in favour of:

The L/C (or SKBDN) must be received by us within 30 (thirty) days after receipt of official purchase order.

In all cases of late payment an interest of 0.5% per week will be applied. In the event that shipment is delayed for
reason beyond our control, payment shall be affected against presentation of notice of delivery readiness.
Additional from such, PT Siemens Indonesia is also entitled to invoice all costs and expenses incurred due to such
delay including but not limited storage costs. It is understood the goods remains under PT. Siemens Indonesia
property until payment received in full.

CANCELLATION AND ADDITION

In the event that PT Wijaya Karya Tbk determines to vary the contracted scope of works by adding or reducing
quantities of panels, the following table of indicative unit rates based upon % of the unit prices quoted above will be
applied. These rates are based upon the intent to maintain the contracted delivery dates, assuming accelerated
delivery of required components and/or new preparation/modification of engineering documentation. If however the
change cannot be accommodated within the agreed delivery period, PT. Siemens Indonesia reserves the right to
decline the variation or negotiate a new delivery period.

** Amount of charges can only be identified after contractual delivery has been amended and allowances for
prolongation, deferment, acceleration and modification have been identified.

TERMS OF DELIVERY

Delivery is refering to scope of supply table as above mentioned effective after receipt of official purchase order,
technically and commercially clarified order, including receipt of requested down payments or payment securities and
confirmed on the basis of the following milestones, according to attached “Submission of Electrical Documentation”:

 Order is technically and commercially clarified 47 weeks before FCA date. Clarification includes at least the
confirmation of the scope of supply and written information about eventually existing engineering
requirements further to the costumer’s specifications, so that the elaboration of Secondary Design may start.
 Receipt of approved for construction Primary Design ca. 1 week after submittal of Primary Design.
 Receipt of technical documentation for free-issue components (also known as “Consignments” or “Customer-
Supplied Components”) and receipt of free-issue components according to attached “Terms and Conditions
for Customer-Supplied Components”.
 Receipt of approved for construction Secondary Design ca. 2 weeks after Secondary Design submittal.
 Both Primary and Secondary Design shall be received by factory with status “approved for construction” or
“approved for construction with comments”, such that those comments will produce no effect to both price
and delivery schedule, according to attached “Submission of Electrical Documentation”.

Any changes, modification, or others beyond the stated conditions above may affect delivery time and equipment
price. The delivery includes packing as described in the attached scope of supply. A detailed project milestone
schedule will be submitted with our order confirmation. Delivery time is subject of our approval during order
confirmation.

Delivery time will be affected if it overlaps with Idul Fitri or Christmas or New Year.

The Parties acknowledge that temporary delays in delivery and service performance concerning Siemens and/or
Siemens suppliers/sub-contractors may occur as a result of the Covid-19 Virus. Therefore, the time delivery

(mentioned above in the offer) is budgetary and Siemens reserves the right to partial delivery of service and shall be
entitled to reasonable adjustment of the time delivery.

STORAGE

In the event shipment is delayed for any reason that is beyond the control of PT Siemens Indonesia., and the
equipment needs to be kept in storage, a storage fee in the amount of 1.5% of the equipment value shall be charged
per month on the first day of each month.
In the event that shipment is delayed for reasons beyond our control, payment shall be effected against shipping
agent’s confirmation that the material is ready for shipment or storage.

CONSEQUENTIAL DAMAGES & LIABILITIES

_ In no case we shall be liable under any condition as a result of this offer for any indirect or consequential damages,
such as, but not limited to: Loss of profit, loss production, loss of use of equipment, loss of power or any other claims
from third parties.

Under no circumstances shall Supplier’ total aggregate liability toward Customer exceeds the Contract Price.
We cannot be held responsible for any delay in delivery / damage caused by Force Majeure, incidence, accidents,
or other events that are beyond our control.

WARRANTY

The warranty period will be 18 months from the date of shipment (Bill of Lading / delivery notes) or forwarding agent’s
receipt with warranty condition as refer to PTSI_General Conditions updated June 2022.
To ensure the proper operation of Siemens product and system, we require the service of Commissioning and Site
Acceptance Test to be done by Siemens engineers; or by the 3rd party trained and experienced service providers
certified by Siemens or under the supervision of Siemens engineers. Any Commissioning and Site Acceptance Test
violating Siemens policy shall lead to a void of warranty conditions.

QUALITY INSURANCE

Our Factories have a comprehensive program of Quality Assurance and Quality Control, which is compliant with,
and accredited to the ISO 9001:2000, ISO 14001:2004, and OHSAS 18001:1999.

COMPLIANCE WITH EXPORT CONTROL REGULATIONS

1 If Recipient transfers goods (hardware and/ or software and/ or technology as well as corresponding
documentation, regardless of the mode of provision) delivered by Siemens or works and services (including all
kinds of technical support) performed by Siemens to a third party Recipient shall comply with all applicable
national and international (re-) export control regulations. In any event of such transfer of goods, works and
services Recipient shall comply with the (re-) export control regulations of the Federal Republic of Germany, of
the European Union and of the United States of America.

2 Prior to any transfer of goods, works and services provided by Siemens to a third party Recipient shall in particular
check and guarantee by appropriate measures that

- There will be no infringement of an embargo imposed by the European Union, by the United States of
America and/ or by the United Nations by such transfer, by brokering of contracts concerning those goods,
works and services or by provision of other economic resources in connection with those goods, works and
services, also considering the limitations of domestic business and prohibitions of by-passing those
embargos;

- Such goods, works and services are not intended for use in connection with armaments, nuclear technology
or weapons, if and to the extent such use is subject to prohibition or authorization, unless required
authorization is provided;

- The regulations of all applicable Sanctioned Party Lists of the European Union and the United States of
America concerning the trading with entities, persons and organizations listed therein are considered.

3 If required to enable authorities or Siemens to conduct export control checks, Recipient, upon request by
Siemens, shall promptly provide Siemens with all information pertaining to the particular end customer, the
particular destination and the particular intended use of goods, works and services provided by Siemens, as well
as any export control restrictions existing.

4 Recipient shall indemnify and hold harmless Siemens from and against any claim, proceeding, action, fine, loss,
cost and damages arising out of or relating to any noncompliance with export control regulations by Recipient,
and Recipient shall compensate Siemens for all losses and expenses resulting thereof.

Contractors, Suppliers, and Consultants, when doing business with us. Any violation of that policies will be considered
as a serious breach of our contracts and agreements.

GENERAL CONDITIONS

Unless specifically addressed within the items above and quotation documentations, then the terms and conditions
detailed in the attached PTSI_General Conditions updated June 2022 will apply.

Siemens shall not be obligated to continue with firm offer if such offer is prevented by any impediments arising out
of national or international foreign trade or customs requirements or any embargoes or other sanctions.

For the avoidance of doubt, the Price Indication given in this document is meant to be budgetary. Any confirmation
or acceptance from your side will not constitute any contractual relationship. This Price Indication does not oblige
Siemens to submit a binding offer. A firm and binding offer may be submitted to you after further clarifications and
upon your request and will be subject to further management approval. Siemens excludes any liability whatsoever
under or in connection with it.
