Non-Disclosure Agreement Talk Media Group

This Non-Disclosure Agreement ("Agreement") is entered into between Talk Media Group
("Disclosing Party") and [Recipient's Name] ("Recipient") on [Date].

1. Definition of Confidential Information. "Confidential Information" shall mean any

information disclosed by the Disclosing Party to the Recipient, whether orally or in writing,
that is designated as confidential or that reasonably should be understood to be confidential
given the nature of the information and the circumstances of the disclosure.
2. Non-Disclosure and Non-Use Obligations. The Recipient agrees to hold the Confidential
Information in strict confidence and to take all reasonable precautions to protect such
Confidential Information (including, without limitation, all precautions the Recipient employs
with respect to its own confidential materials). The Recipient agrees not to disclose any such
Confidential Information or use it for any purpose other than as necessary to perform its
obligations under this Agreement.
3. Term. The obligations of the Recipient under this Agreement shall survive for a period of
one (1) year from the date of disclosure.
4. Remedies. The Recipient acknowledges that the Disclosing Party would be irreparably
damaged if the Confidential Information were to be disclosed in breach of this Agreement
and that the Disclosing Party shall be entitled to seek equitable relief, including injunctive
relief and specific performance, in addition to any other remedies available at law or in
equity.
5. Governing Law. This Agreement shall be governed by and construed in accordance with
the laws of the state of [State], without regard to conflicts of law principles.
6. Entire Agreement. This Agreement constitutes the entire agreement between the parties
and supersedes all prior negotiations, understandings, and agreements between the parties
concerning the subject matter hereof.
7. If the Disclosing Party determines that the Recipient has violated this Agreement, the
Disclosing Party may, at its discretion, reduce the Recipient's salary or terminate any other
compensation or benefits that the Recipient may be entitled to receive.
IN WITNESS WHEREOF, the parties have executed this Agreement as of the date first written
above.
