READ CAREFULLY: THIS IS A LEGALLY BINDING AND ENFORCEABLE CONTRACT.

I, ___________________________, Seller, hereby contracts to give exclusive brokerage rights, to Houseboats
Buy Terry, Inc. to include the promotion and facilitate the sale of _____________________________(“Boat”)
Vessel Description (year, manufacturer, size)
& Hull # _____________________”Boat”) to "Houseboats Buy Terry, Inc.”
Brokerage rights as used herein means to act as the sole intermediary or negotiator in the
contracting and selling of the Boat and all functions and activities related thereto including but not
limited to promoting, advertising, showing, displaying and giving tours for the Boat to any and all
possible buyers so as to facilitate the sale of said Boat.
The contract period (“contract period”) is to begin on this____________ day of _______________, 202_, and
shall continue until the Boat is sold or the contract is terminated in writing by the Seller and Houseboats Buy
Terry, Inc., both agreeing to such termination of this contract in writing.

Seller represents that they are the owner of the vessel and authorized to enter this binding contract in all
regards. Houseboats Buy Terry, Inc. agrees to promote and advertise the Boat locally and nationally,
qualify potential buyers, negotiate sales price, and assist potentials buyers in completing requirements for
purchase of the Boat.

-Seller will provide a $100 listing fee and a photocopy of Seller’s ownership papers (State Title, Registration
Card or Coast Guard Documentation).

-It is agreed that upon the close of the sale the Seller will pay seven (7%) of the gross selling price as a
commission or $2,500.00, whichever is greater, to Houseboats Buy Terry, Inc. within seventy-two (72) hours
of the close of the sale of the Boat.

-When Houseboats Buy Terry, Inc. has performed due diligence to sell Seller’s Boat, brings a full price offer
or higher offer, and Seller decides not to sell the Boat regardless of Seller’s reason(s); Seller agrees to pay
Houseboats Buy Terry, Inc. the full commission of seven (7%) of the gross selling price that was offered to
Seller as a commission or $2,500, whichever is greater to Houseboats Buy Terry, Inc. within seventy-two (72)
hours of the refusal to sell by Seller______ (Initial)

-Seller personally agrees to pay Houseboats Buy Terry, Inc. the full seven (7%) of the gross selling price or
$2,500, whichever is greater to Houseboats Buy Terry, Inc. for any sale of the Boat which takes place during
the contract period. Seller further understands if Seller chooses to conduct any part of the sale of the Boat
without the assistance of Houseboats Buy Terry, Inc., Seller is still obligated and agrees to pay the full
commission of seven (7%) of the gross selling price as a commission or $2,500.00, whichever is greater, to
Houseboats Buy Terry, Inc. within seventy-two (72) hours of the closing of the sale. _________ (Initial)

-Any pre-existing contacts are identified in this contract and are only valid for 30 days from start date on the
contract and must be attached hereto as Exhibits. Only Houseboats Buy Terry, Inc. (For Sale Signs &
Spec. Sheets) can be used on the Boat during the contract period. I understand the Boat may not be
advertised in any other print media, flyers, or websites other than Houseboats Buy Terry, Inc.
advertisements.
-The Boat cannot be listed with another entity, person or broker-type establishment during the contract period.
In the event of a sale to a brokerage contact or otherwise within one hundred and eighty (180) days of the
verified cancellation of this contract (which as detailed above must be in writing signed by both Seller and
Houseboats Buy Terry, Inc.), the full and entire commission rate of seven (7%) of the gross selling price as a
commission or $2,500.00, whichever is greater will apply and shall be due within seventy-two (72) hours of
such sale of the Boat.

Sales deposits accepted by Houseboats Buy Terry, Inc. are deemed non-refundable and in the event of
forfeiture by a Buyer, shall become the property of the Seller, less 50% which shall be delivered to
Houseboats Buy Terry, Inc. as compensation and recoupment of time and expense in dealing with the Buyer
forfeiting the deposit. It is understood by Seller said 50% deducted from forfeited deposits becomes the
property of Houseboats Buy Terry, Inc. immediately upon forfeiture and that such amount is deemed
reasonable by Seller.

-Houseboats Buy Terry, Inc. is not responsible for, nor has custody of, control of, ownership of, or interest
in the Boat, and serves only to facilitate the sale and transfer of the vessel between the owner and the
purchaser. At all times until completion of a sale Seller will keep such Boat insured and in good working
order.

Seller Agrees that this contract is binding on the heirs, administrators, executors, successors, personal
representatives and assigns of Seller.

Seller agrees to immediately (not later than twenty-four (24) hours) contact Houseboats Buy Terry, Inc. upon
any sale, transfer and/or other transaction that affects title, ownership or custody of the Boat in writing.

Seller agrees that this is a binding contract and consents to the jurisdiction of Pulaski County, Circuit or
District Court as the case maybe for any legal proceedings involving this contract and a breach thereof.

Seller agrees that Seller will be responsible for all Houseboats Buy Terry, Inc.’s costs, including reasonable
attorneys’ fees, court costs and litigation fees for any breach hereunder this agreement.

Seller agrees that it will pay 12% interest on any commissions due Houseboats Buy Terry, Inc. that are not
paid to same within seventy-two (72) hours of receipt of payment to Seller.
