SERVICE CONTRACT

This Contract is entered into by and between:

The Local Government Unit of Tampakan herein represented by its Municipal Mayor, Leonard T.
Escobillo, with office address at Mun. hall Bldg., Municipality of Tampakan, South Cotabato, to be
hereinafter referred to as the “FIRST PARTY”;
- and -
Ulysses F. Ballaran of UB dela OBRA Productions with address at Brgy. Zone 1, C ity of Koronadal, to be
hereinafter referred to as the “SECOND PARTY”.

- WITNESSETH -

WHEREAS, the First Party is organizing Tamfaken Lum’alay Festival Grand Opening event and desires to
engage the services of the Second Party to provide national celebrity band for the said event; and

WHEREAS, the Second Party is willing to provide the services of national celebrity band to perform
during Tamfaken Lum’alay Festival Grand Opening on the June 15, 2023 at Tampakan Municipal Ground
venue, in accordance with the terms and conditions set forth in this Contract.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties
agree as follows:

A. SERVICES TO BE PROVIDED

The national celebrity band contracted by the SECOND PARTY shall serve as the performers for
Tamfaken Lum’alay Festival Grand Opening on the June 15, 2023 at Tampakan Municipal Ground.
The national celebrity band shall perform a total of 45-60 minutes.

B. RESPONSIBILITIES OF THE PARTIES

B.1 The FIRST PARTY shall be responsible for the following:

B.1.1 Provide food for the members of the celebrity band, production team/head, and staff
during the event.
B.1.2 Arrange the performance venue and stage
B.1.3 Providing a suitable dressing room for the members of the band and production staff.
B.1.4 Implement security measures for the safety of all participants and attendees.
B.1.6 Provide a professional Light and Sound System for the event.
B.1.7 Arrange an airconditioned van for the exclusive use of the Celebrity Artists and their
entourage throughout their stay.

B.2 The SECOND PARTY shall be responsible for the following:

B.2.1 Provide a celebrity band to perform during the Tamfaken Lum’alay Festival Grand
Opening.
B.2.2 Arrange hotel room accommodation and food for the celebrity artists and their
entourage during their travel and stay at the hotel.
 B.2.2 Cover the airfare and other incidental expenses for the celebrity artists, including
technical staff and production staff.

C. REMUNERATION & MANNER OF PAYMENT

The FIRST PARTY shall pay the SECOND PARTY a total amount of SIX HUNDRED THIRTY-ONE THOUSAND
FOUR HUNDRED FIFTY PESOS (P631,450), inclusive of talent fees and other incidental charges as
enumerated in Section B.2 above, net of applicable taxes.

The payment shall be made in the following manner:

Full payment shall be paid by the FIRST PARTY to the SECOND PARTY on the day of the event .

D. TERM AND TERMINATION

That this does not authorize FIRST PARTY any other party to assign the rights of the aforementioned
performance to a third party without the written consent of the SECOND PARTY.

In case of cancellation or postponement of the event due to causes which are considered as fortuitous
event, force majeure, “acts of god,” acts of war, civil disturbances, riots, mutiny, social unrest sickness,
and other similar incidents, the FIRST PARTY and SECOND PARTY agree to conduct further negotiations
for the resetting or rescheduling of the subject event on a date and time to be mutually agreed upon.

In the event the SECOND PARTY cancels the engagement for reasons not considered as fortuitous
events, force majeure or “acts of god”, the SECOND PARTY shall be obligated to return whatever
payments or deposits already made plus damages.

In the event FIRST PARTY cancels the engagement herein for reasons not considered as fortuitous
events, force majeure or “acts of god”, all payments already made by the FIRST PARTY shall be forfeited
in favor of the SECOND PARTY.

In case, FIRST PARTY postpones the engagement for reasons other than fortuitous event, force majeure
or “acts of god,” the following rules shall apply:
In case of postponement of the event, the following rules shall apply:

If the show is postponed to another date within thirty (30) days after the original date of the
event. All payments received by the talent shall apply to the re-scheduled date.

If the show is postponed to another date beyond thirty (30) days after the original date of the
event, all payments received by the talent shall apply to the re-scheduled date plus a
postponement fee of 75% of the contracted price.

The SECOND Party together with the celebrity artists shall arrive at the designated venues at least 3
hours prior to the scheduled time of performance.

The SECOND Party shall cause to select a flight schedule for celebrity artists to give an ample time for
the artists. In case the artist cannot make it to the scheduled time of event, the FIRST PARTY has the
right to cancel the celebrity performance without compensation to SECOND PARTY.
That SECOND PARTY’S TALENT shall perform to the best of his ability and shall not accept any other
engagements which may conflict with this contract.

That this contract is deemed valid and effective upon signing. There will be no show unless the balance
is paid on the date agreed upon by both parties.

That in the event of a “no show” of the contracted TALENT for causes considered fortuitous events,
force majeure, acts of God, acts of war, civil disturbances, riots, mutiny, social unrest, sickness and other
similar incidents the SECOND PARTY shall replace said contracted talent(s) with another talent with the
approval of the FIRST PARTY.

This Contract shall be effective from the date of signing and shall continue until the completion of the
services outlined in Section A above.

Either party may terminate this Contract in writing if the other party materially breaches any of the
terms and conditions herein.

E. AMENDMENTS

Any amendments or modifications to this Contract shall be made in writing and signed by both parties.

F. CONFIDENTIALITY

Both parties agree to keep the terms and conditions of this Contract confidential and shall not disclose
any details to third parties without the prior written consent of the other party.

IN WITNESS WHEREOF, the parties hereto affixed their signatures this ______ day of May, 2023 at
Tampakan, South Cotabato.
