THIS DEED OF ASSIGNMENT is made and entered into this 20th day of
January, 2024 BETWEEN Hudson B. Usman, of Lassandi, mile six ward Jalingo,
Taraba State, (hereinafter referred to as the ‘ASSIGNOR’ which expression shall
where the context so permits include her heirs, agents, executors, administrators,
representatives, assigns and successors in title) of the first part.
AND
ASKAPANDE TANKO FILIBUS of No. 5 NTA, Jalingo Taraba State(hereinafter
referred to as the ‘ASSIGNEE’ which expression shall where the context so
permits include their assigns and successors in title) of the second part.
WHEREAS:
1. The Assignor as beneficial owner acquired ownership, rights and interest of
the property measuring 100X100ft lying and situate at behind deeper life
camp ground. The said property is properly described in the Schedule to this
Deed.
2. The Assignor is desirous of selling the said property together with its
appurtenances and the Assignee is willing to purchase same from him.
3. The Assignor is desirous of transferring his rights, interests, and title in the
said property and any property or structure thereto attached to the Assignee
free from all encumbrances.
4. The Assignee desires to purchase same property from the Assignor.
NOW THIS DEED WITNESSES AS FOLLOWS:
In consideration of the sum of ₦3, 900,000.00 (Three Million Nine hundred
Thousand Naira only) paid to the Assignor by the Assignee (the receipt of which
the Assignor acknowledges by executing this Deed of Assignment). The Assignor
as the beneficial owner hereby conveys and/or assigns unto the Assignee ALL
THAT property together with the apartments fully built thereon to HOLD UNTO
THE USE OF THE ASSIGNEE in accordance with the provisions of the Land Use
Act 1978 and to the intent that all covenants and conditions as maybe imposed by
the Land Use Act will be observed and performed.

THE ASSIGNOR HEREBY COVENANTS WITH THE ASSIGNEE AS

FOLLOWS:
 1. That he or any person claiming through him has not done or permitted or
suffered anything to be done to frustrate the transfer of his rights and
interests to the Assignee; and that the Assignor agrees at all times to
indemnify and keep indemnifying the assignee against all costs, damages,
loss and expenses incurred or to be incurred in consequence of any action,
loss and eviction or anything done by any rival claimant to the title.
2. To give all necessary assistance to the Assignee towards procuring the
Governor’s consent and perfection of the Deed of Assignment.
THE ASSIGNEE HEREBY COVENANTS WITH THE ASSIGNOR AS
FOLLOWS:
1. Henceforth to pay to the relevant authority the rent accruing on the title and
to observe and perform all such covenants and conditions contained in any
legislation pertaining or relating to title.
2. That should the sale be set aside by the court for any reason whatsoever, the
Assignee shall be entitled to full refund of the purchase price and also
damages.
IN WITNESS WHEREOF the parties hereto have hereunto executed this
Deed in the manner hereinafter appearing.

Attached to this Deed are the previous title documents covering the property
subject to this transaction? Same is hereby attached and it is accompanied by:
a. The property subject to this transaction is not covered by a C of O but only
sales agreement duly executed by the previous owners.
