1.0 INTRODUCTION
1.2 The scope of work and details of the requirements are specified in the CONTRACT FORM and
EXHIBITS. BIDDER is requested to please study these carefully.
1.3 In order for PCIHBV to fully assess the relative merits of each bid, BIDDER is requested to
furnish PCIHBV with all relevant and complete information as set forth in this Bid Document
and PCIHBV hereby invites BIDDER to submit bid proposals for the PROVISION OF
SAFETY AND HEALTH OFFICER FOR PETRONAS CARIGALI IRAQ HOLDING
B.V. under Tender No. PCIHBV/2019/HSE/2286.
1.4 An agreement between BIDDER and PCIHBV will be established based on PCIHBV’s terms
and conditions as per CONTRACT FORM in SECTION V. Important factors to be used
during the process include, but not limited to: -
Any bid proposal, which does not comply with the instructions stated in this bid document,
will be disqualified at PCIHBV’s discretion. Prior notification will not be given to any
BIDDER.
1.5 BIDDER is urged to comply strictly with each and every one of the provisions of the Bid
Documents and must submit BIDDER's proposal strictly in accordance with the terms of the
Bid Documents. Nothing shall be deemed to change or supplement this basis except revisions
to the Bid Document issued to all BIDDERS in writing by PCIHBV. If BIDDER wishes to
present alternatives, BIDDER may do so only after having duly complied with the
requirements of this Bid Document.
1.6 All Bid Proposals must be signed and certified by an officer duly authorized by
BIDDER.
1.7 Any amendments appearing in the Bid Proposal must be signed or initialled by the
BIDDER's authorised officer.
1.8 The successful BIDDER will be invited to enter into an agreement with PCIHBV
(reference is made to the CONTRACT FORM of the Bid Documents). Prior to such
an invitation, PCIHBV will send a Letter of Award via email to the successful
BIDDER.
3.1 BIDDER is requested to check the Bid Documents upon receipt and to advise PCIHBV
IF THERE IS ANY OMISSION OR PAGES MISSING.
3.2 BIDDER is also advised to confirm within three (3) days upon receipt of Bid Documents
whether BIDDER intends to submit a proposal and also to confirm its address and name
of representative to whom PCIHBV shall address all communications.

5.1 Bid Proposals shall be binding for a period of one hundred twenty (120) calendar days
after the Bid Closing Date. BIDDER may assume that award for the CONTRACT will be
made within one hundred twenty (120) calendar days from the Bid Closing Date.
5.2 PCIHBV shall have the right to extend the bid validity beyond the validity period as
stipulated in item 5.1 above.
5.3 BIDDER is required to confirm his understanding of the Bid Document and agreement to
bid by executing the Proposal Form as per APPENDIX T2, to be submitted together with
the bid proposal. The Proposal Form must be signed by an officer duly authorised by
Bidder without any changes to the form.
5.4 Should BIDDER decline to submit a proposal, BIDDER is required to promptly return all
Bid Documents to PCIHBV, and in all such cases this shall be done not later than the Bid

GENERAL INFORMATION TO BIDDERS
Closing Date. BIDDER shall also state in writing the reason(s) for declining to submit
the proposal.
5.5 All Bid Documents shall be returned to the address as given in Section III Item 5.4 herein
with the following wordings clearly marked on the cover/envelope:
6.1 Subject to the termination provision provided in the CONTRACT FORM, the duration of
the CONTRACT will be for three (3) years with one (1) year renewal option.
7.1 The tentative date of commencement of the CONTRACT will be by May 2019 or on a
date (earlier or later than the date indicated herein) to be mutually agreed between
PCIHBV and the successful Bidder.
BIDDER's attention is drawn the CONTRACT FORM whereby BIDDER shall be responsible for
and shall bear all the cost of obtaining all necessary registration, licenses, permits and
authorizations required by law from the relevant governmental authorities of the respective
country. BIDDER is therefore advised to consult its consultant on requirements for registration
and/or incorporation of companies that may be imposed on BIDDER by the relevant governmental
authorities in connection with the performance of the WORK in the respective country.
BIDDER's attention is also drawn to the CONTRACT FORM which requires BIDDER to be
responsible for any taxes, levies and duties (corporate or personal) of whatever nature imposed or
levied on the BIDDER, Subcontractor and/or his employees including but not limited to claims
for liability for income/profit and excess profits, royalty, other taxes assessed or levied against or
on account of any payment made or earned, wages, salaries or other benefits paid to or enjoyed
by employees of BIDDER or its Subcontractors and any property or equipment of BIDDER or its
Subcontractor by any governmental and other authorities of the respective country having
jurisdiction in connection with taxes and duties. BIDDER is therefore advised to consult its tax
consultant on the applicable taxes, levies and duties that may be imposed or levied on Bidder in
connection with the performance of the WORK.
10.1 BIDDER's attention is drawn to the CONTRACT FORM whereby the successful
BIDDER is required to provide to PCIHBV an irrevocable and unconditional SBLC
issued by an international commercial bank acceptable to PCIHBV to guarantee
performance of CONTRACTOR's obligations under the CONTRACT. The value of the
SBLC shall be five percent (5%) of the total estimated CONTRACT PRICE, and shall
be valid for the duration of the CONTRACT. The format of the SBLC shall be as set out
in Exhibit V.
10.2 PCIHBV shall, in addition to the above, have the right to require the BIDDER to furnish
PCIHBV with a PERFORMANCE GUARANTEE issued by its principal, or parent
company. Such PERFORMANCE GUARANTEE shall be in the format attached hereto
as EXHIBIT V. PCIHBV shall notify the successful BIDDER of its requirement, if any,
in this regard prior to award of the CONTRACT.
11.1 PCIHBV may provide BIDDER with soft copy of the relevant Bid Documents.
11.2 If BIDDER has any change that is considered of mutual benefit or if there is any
exception to the terms and conditions of the CONTRACT or any other part of the Bid
Document, BIDDER must state the changes or exceptions proposed by using the format
in ATTACHMENT E – EXCEPTION FORM in APPENDIX T4 of SECTION IV
FORM OF BIDS AND APPENDICES and giving specific reasons thereof. BIDDER
must indicate clearly the effect, if any, these changes or exceptions may have on
BIDDER's price quotation and work schedule if the changes or exceptions are rejected by
PCIHBV.
11.3 If the BIDDER does not highlight the exceptions using “Attachment E – Exception
Form” (APPENDIX T4 of SECTION IV FORM OF BIDS AND APPENDICES) or
as an alternative proposal, then PCIHBV shall construe that the BIDDER is
agreeable with the Bid Documents as they are issued.
11.4 BIDDER shall ensure that BIDDER's base quotation excludes such change(s) or
exception(s). Change(s), exception(s) and unsolicited commercial submission to the
CONTRACT expressed after the Bid Closing Date will not be entertained.
11.5 PCIHBV reserves the right to accept or reject any or all of the proposed change(s) or
exception(s). PCIHBV will review each change or exception on a case-by-case basis.
11.6 BIDDER shall quote the firm amount (unit rate) by which the Contract Price will be
adjusted (either up or down) in the “Attachment E – Exception Form” (APPENDIX
T4 of SECTION IV FORM OF BIDS AND APPENDICES) should BIDDER's
proposed changes or exception(s) be rejected by PCIHBV.
11.7 If BIDDER cannot accept PCIHBV's wording at any price, and is willing to risk having
its Bid Proposal rejected on this basis, then BIDDER must make the following statement
under the "CHANGE IN BID PRICE" column in “Attachment E – Exception Form”:
12.1 All rates proposed by BIDDER shall be quoted in United States Dollars (USD). The
CONTRACT PRICE shall be firm throughout the duration of this CONTRACT, in
accordance with EXHIBIT II – SCHEDULE OF COMPENSATION, and shall not be
revised for any reason whatsoever, unless agreed to in writing by PCIHBV and
CONTRACTOR.
12.3 Payments under the terms of this CONTRACT shall be in accordance the CONTRACT
FORM.
INSTRUCTIONS TO BIDDERS

1.1 These INSTRUCTIONS TO BIDDERS are part of and are to be read in conjunction with
all other sections of the Invitation to Bid Documents.
1.2 The purpose is to inform BIDDERS of the proper practices which must be adopted to
satisfy the requirements of PCIHBV for the submission of Bids and award of the
CONTRACT, and to enable PCIHBV to fully assess the relative merits of each Bid.
Deviations from these practices may result in the offered Bid being rejected at
PCIHBV’s discretion.
2.1 As a base case, BIDDER's proposal shall be in full conformity with requirements as set
out in these Bid Documents. Nothing shall be deemed to change or supplement this basis
except revisions to the Bid Documents issued in writing by PCIHBV to all BIDDERS. If
BIDDER wishes to present alternatives, BIDDER may do so ONLY AFTER having duly
complied with the requirements of the Bid Documents.
2.2 BIDDER is required to complete the Bid Proposal in black ink (typed or handwritten)
and return the Bid Proposal, along with any annotations and accompanying material. All
documents submitted must be in the English language.
2.3 BIDDER shall state in the Bid Proposal the registered address of the BIDDER and the
Bid Proposal shall be signed by the usual signature of its principal officer whose full
name and position shall be typed or printed in the space provided below the signature.
2.4 When requested by PCIHBV, satisfactory evidence of the authority of the person signing
on behalf of the BIDDER must be furnished.
2.5 The BIDDER’s company official stamp must be inserted at the foot of each page of the
Bid Proposal and all such pages are to be initialed by the BIDDER. Alterations or
erasures in any details submitted by the BIDDER shall be explained and initialed in the
margin by the BIDDER.
2.6 Should the BIDDER consider that any of the items contained in these Bid Documents for
which BIDDER is not given specific opportunity to individually price, have a cash value,
BIDDER will include the same into the appropriate element of its prices and/or rates
and/or percentages.
2.7 The BIDDER shall bear responsibility for and pay all costs and expenses and other
charges incurred in preparing its Bid Proposal.
2.8 At the Bid Closing Date, BIDDER must submit two (2) sealed Bid Proposal packages in
accordance with 4.3 below and addressed and marked as indicated in item 4.4 and 4.5.
2.9 PCIHBV wishes the Bid Proposal to be made without exceptions and reserves the right to
reject any Bid Proposal if it contains any exceptions.
2.10 If the BIDDER is prepared to carry out and can price a requirement, but would prefer an
alternative, the BIDDER should submit its alternative Proposal(s) in detail as per
Appendix T4/C3) – UNPRICED CHANGES, ALTERNATIVES OR EXCEPTIONS of
Section IV - FORM OF BID AND APPENDICES, such alternatives must be submitted
2.11 BIDDER is required to submit a Bid Proposal for the complete scope. Partial Bid
submissions will be disqualified. PCIHBV will not accept and will disqualify any
BIDDER who submits more than one proposal.
3.1 BIDDER must submit its Bid Proposal in three (3) separate sealed packages for:
a) TECHNICAL PROPOSAL
b) ORIGINAL BID BOND/TENDER DEPOSIT
b) COMMERCIAL PROPOSAL
which must be in accordance with the formats stated in Item 3.3 and Item 3.4, hereinafter.
All packages/envelopes must be stamped using Bidders’ official company stamp on each
packages/envelopes submitted.
3.2 BIDDER must ensure that the "TECHNICAL PROPOSAL" does not contain any
pricing or cost. Failure to comply with these instructions will render BIDDER's Bid
Proposal invalid.
3.3 “TECHNICAL PROPOSAL” shall include but not be limited to the following:
1.1.1 BIDDER shall submit a cover letter together with the Bid Proposal using
its official company letterhead and signed (in ink) by the usual signature
of its principal officer whose full name and position shall be typed or
printed under his/her signature.
1.1.2 BIDDER shall list the contents of BIDDER’s proposal and qualify any
special additions not specifically requested for.
1.1.3 BIDDER shall state whether the company, if awarded this CONTRACT,
will actually undertake the WORK or it will be undertaken by an
affiliated company, principal, associate, subsidiary, Subcontractor or
other.
1.1.4 BIDDER shall state the name of the parent company and/or technical
partner that BIDDER is representing/working with.
BIDDER shall provide a detailed resume for each employee proposed for
assignment to the WORK as per Appendix T5. (PLEASE PROVIDE)

BIDDER may also submit any other applicable text to support the
capability of BIDDER necessary to supplement this proposal.
3.4 “COMMERCIAL PROPOSAL” shall include but not be limited to the following:
4.1 The Bid Closing Date and time for receipt of Bid Proposal shall be as advised in Section
II - GENERAL INFORMATION TO BIDDERS of these Bid Documents.
4.2 BIDDER is requested to submit the Technical and Commercial Packages in one (1)
original set, one (1) copy and one (1) soft copy (PDF and native file format) as follows:
4.3 (a) BIDDER shall ensure that all proposals for submission to PCIHBV pertaining to
the tender are properly wrapped, sealed and labeled accordingly as follows:-

(b) BIDDER shall ensure that BIDDER's name and address, tender number and title
are indicated on the cover of each package.
All packages/envelopes must be stamped using Bidders’ official company stamp on
each packages/envelopes submitted.
4.5 The Bid Proposal must be contained in sealed envelopes or packages bearing the name of
the BIDDER and be marked, besides that as described in Clause 4.3 above, as follows:-
“STRICTLY CONFIDENTIAL”
There must be no other mark on the envelope or package, except PCIHBV’s address and
the name and return address of the BIDDER.
Where a pre-addressed envelope or label is provided with the Bid Documents, the Bid
Proposal is to be submitted using that envelope or label.
4.6 The Bid Proposal may be forwarded by courier service or may be delivered by hand. Bid
Proposals delivered by hand to PCIHBV office are to be deposited into the designated
tender box at the address as mentioned in item 4.4 above, directions to which are
available with the receptionist at the main office lobby.
4.7 Any Bid Proposal received later than the Bid Closing Date and time stated in the Letter
of Invitation to Bid will be rejected, notwithstanding the means of delivery to PCIHBV.
4.9 A Bid Proposal may be withdrawn by written or email requests only, which must be
received by PCIHBV prior to the Bid Closing Date.
4.11 The BIDDER’s cover letter shall not contain any financial or contractual matters. Neither
shall any financial or contractual matter be transmitted by email unless specifically
instructed otherwise by PCIHBV. Failure to comply with these instructions may
render the Bid Proposal invalid.
5.1 PCIHBV hereby reserves the right to request any further information it may deem
necessary to evaluate the Bid Proposal, which may include but not be limited to a
breakdown of, or supplement to, any lump sum prices, rates or percentages tendered.
5.2 PCIHBV will require BIDDER to provide satisfactory evidence of the BIDDER’s credit
worthiness and financial soundness and capacity to handle the CONTRACT and in this
connection the BIDDER may be required to furnish a certified copy of its latest published
accounts, details of similar contracts successfully completed, a banker’s reference, details
of existing third party loans or guarantees (if any) and other relevant information.
5.3 No part of any Bid Proposal submitted will be returned to the BIDDER.
6.1 PCIHBV may, at its option, reject all Bid Proposals received or may accept any Bid
Proposal which in PCIHBV’s sole judgement is the most advantageous to PCIHBV.
PCIHBV reserves the right to accept or reject all or part of the Bid Proposals at
PCIHBV’s discretion and PCIHBV will be under no obligation to explain the reason
thereof.
6.2 The successful BIDDER (if any) will be required to enter into a formal contract with
PCIHBV which will be subject to the same terms and conditions as contained in these
Bid Documents and the Bid Proposal, subject to any mutually agreed modifications. Such
formal contract shall be made in accordance with Section V – CONTRACT FORM.
6.3 PCIHBV shall not be deemed to have accepted any offer unless and until a Letter of
Award is sent by PCIHBV to the successful BIDDER and a contract is duly signed
between the parties thereafter..
7.1 Any further information which may be required by the BIDDER in order to complete its
Bid Proposal or any interpretation thereof, must be obtained by email:
Any such request must be made not later than seven (7) calendar days prior to the Bid
Closing Date.
7.2 Any further information, interpretation, advice or modifications given by or agreed upon
by PCIHBV pursuant to this clause shall be distributed to BIDDER by letter or fax
without revealing the identity of the original enquirer.
7.3 Except as provided herein BIDDER are not permitted to contact or communicate with
any member of PCIHBV’s staff for the preparation of the Invitation to Bid Documents on
any matter relating to this exercise. Any uninvited visit to PCIHBV’s office to discuss
the Invitation to Bid Documents is NOT permitted.
8.1 Any modification to these Bid Documents required by PCIHBV shall be advised to
BIDDER not later than seven (7) days prior to the Bid Closing Date. Any modification
thus advised, shall be issued as an addendum to, and shall be deemed to constitute part of
the Invitation to Bid Documents. Should it consider necessary, PCIHBV may, at its sole
discretion, revise the Bid Closing Date to comply with this requirement.
9.1 BIDDER’s intentions regarding the submission of joint venture or contractor partnership
arrangements (if any) must be clearly indicated in the space provided in these Bid
Documents or in a letter accompanying the Bid Proposal. Certified assurances regarding
the financial structure and standing of any such partner companies may be required by
PCIHBV. Bid Proposal by partnership shall disclose the full names of all partners and
shall be signed with the partnership name by one of the members of the partnership or by
an authorized representative.
(a) No attempt has been made or will be made by the BIDDER to induce any other
person or firm to submit or not to submit a Bid Proposal for the purpose of
restricting competition.
(b) The BIDDER has adhered to the highest standards of business ethics and, in
particular, has established precautions to prevent any of its officers, employees,
or agents from making, receiving or offering substantial gifts, entertainment,
payment, loans, or other considerations which may influence individuals in
respect of this Invitation to Bid.

BIDDER’s submission in response to the above Appendices will be used in the bid evaluation to ascertain
the BIDDER’s competence for the WORK. BIDDERS are advised that PCIHBV may decline to consider
any bid in which the required Appendices are not completed in full.
BIDDERS are advised that they may include any supplementary or continuation sheets deemed necessary
to provide all of the information required by the Bid Appendices.
The BIDDER shall insert its company official stamp and sign each page of the Bid Proposal.

1. If the BIDDER wishes to submit an alternative offer based upon modifications to Section V –
CONTRACT FORM or any other part of the Bid Documents, Bidder may include such
alternatives in this Appendix and submitted as SECTION T4 (for Technical Proposal). The
BIDDER must state the precise details of the suggested alternative(s). Alternatives must be clearly
distinguished from Changes or Exceptions. Alternatives do not affect the offer made by the
BIDDER in the Bid Proposal, they are alternative offers. A Bid would not be rejected because it
contains alternatives.
2. The BIDDER is encouraged to develop and propose alternatives that will reduce the rates and
prices or improve the services required by PCIHBV. Alternatives shall be presented in a manner
that enables PCIHBV, at PCIHBV’s sole discretion, to accept or reject any, or all, of the

BIDDER shall submit in this SECTION T5 the following resume duly completed and signed.
BIDDER must ensure that the personnel proposed and accepted by PCIHBV for this contract are to be
available at the commencement of the contract. BIDDER shall also advise PCIHBV should a substitution
is necessary, the successor must possess equal or above level of expertise.
Note: For personnel requirement, please refer to EXHIBIT I - SCOPE OF WORK of this tender.
Sample of resume format is as per Exhibit VI - CONTRACTOR’S PERSONNEL AND RÉSUMÉS.
BIDDER shall complete the following questionnaire and submit as Appendix T5 together with full details
of BIDDER’s proposed Personnel.
1. Organization chart showing the BIDDER’s proposed local organization, including line
responsibility / reporting.
2. International Organization chart showing the BIDDER’s proposed technical back-up / support to
be provided within this region and worldwide (if any).
3. Brief description of the responsibilities of the key positions within BIDDER’s proposed
organization.
The proposed personnel whose resumes are being submitted in the proposal must give consent for
his resume to be furnished to PCIHBV for the purpose of this tender. The personnel is required
to sign on the cover letter of his resume consenting the usage of his resume.
BIDDER’s proposed personnel must satisfy the minimum required qualification and experience
(capability) of undertaking the work as listed in EXHIBIT I - SCOPE OF WORK of this Bid
Document.
5. PCIHBV shall have the right to interview (if deemed necessary) the proposed personnel as part of
its Technical Evaluation of the BIDDER’s ability to perform the work and all cost incurred in
attending the said interview shall be borne by BIDDERS.
6. PCIHBV reserves the right not to award the CONTRACT in the event the successful BIDDER is
unable to provide the proposed personnel at the time the contract is awarded.

1. The BIDDER shall submit in this SECTION T7 the following questionnaire duly completed and
signed.
(i) Bidder/Partner/Joint Venture company shall have similar experiences in providing manpower
supply services. Bidder shall submit supporting document e.g. Letter of Award and/or
Contract Agreement for the said experiences.
Note:
1) BIDDER shall be able to submit evidence on project(s) experience e.g. Letter of Award
and/or Contract Agreement, Contract Completion Certificates etc.
2) BIDDER is required to provide separately, details of BIDDER, its principal or Affiliate and
its proposed Subcontractor's qualifications and experience in executing work of a similar
nature in the above format.
FINANCIAL REPORT
1. BIDDER shall submit as SECTION T8 to the Technical Proposal the following questionnaire
duly completed and signed.
(iii) Summary of assets and liabilities based on the audited financial statement of the latest
three (3) financial years (2015, 2016 and 2017) copies of which must be attached to
support this submission.
2. BIDDER shalll submit copies of audited Financial Statements for the last three (3) years
(latest) for PCIHBV‘s review and evaluation. Management Account is strictly NOT acceptable.
If BIDDER’s operations are less than three years, please submit any audited Financial
Statement(s) available.
3. BIDDER shall submit copies of documents to support information provided in this Appendix.
(a) Audited financial statements for the last three (3) years;
(b) The Company’s audited financial statements submitted to the Trade Registrar in Iraq; or
If newly registered, the company registration & trade license in Iraq.
(c) The latest tax clearance letter from General Commission of Taxes (GCT) – applicable for
the company that had file the audited financial statements to the Trade Registrar in Iraq
TECHNICAL QUESTIONNAIRE
3. BIDDER shall submit in this Appendix to the FORM OF TENDER the detailed answers required.
2. The BIDDER shall provide all relevant specifications of all the items of
equipment/hardware/software which are proposed to be provided as detailed in EXHIBIT I –
SCOPE OF WORK.
3. BIDDER must demonstrate its capability in supplying all equipment/ hardware/software that is in
compliance with those listed in EXHIBIT I – SCOPE OF WORK.
4. The BIDDER shall insert its company name and sign each page of this Appendix.
TECHNICAL QUESTIONNAIRE
BIDDER is required to answer every single item as questioned in this Section. BIDDER’s information shall be used by PCIHBV to evaluate the
technical performance of BIDDER related to this tender. PCIHBV has the right to inspect the BIDDER and its principal and to clarify all the
information provided in this Technical Questionnaire.
Bidder to provide Letter of Undertaking for fully acceptance and compliance to the Scope of Work
requirements as per Invitation to Bid (ITB) Documents.
Bidder shall have five (5) years of company experience in manpower supply services.
Bidder shall submit supporting document e.g. Letter of Award and/or Contract Agreement for the
said experiences.
4 PERSONNEL REQUIREMENT
Bidder to submit all eight (8) resumes/CVs for the SHO personnel that meets the above
requirement for PCIHBV’s evaluation.
Bidder to confirm compliance to this requirement and provide PCIHBV the supporting documents
proving that Bidder is meeting this requirement.
OR
Bidder to provide Commitment Letter to adhere to the requirement upon Contract Award.
6 ACTIVE CONTRACTS WITH PCIHBV
Has your company registered with the Iraqi Tax Authorities (General Commission of Taxes)?
If yes, please provide the Tax registration letter / Card (with Tax Registration Number) &
List of registered employees.
If not, the Bidder shall provide a written undertaking to complete registration on or before
the EFFECTIVE DATE should bidder is identified as the successful Bidder.
Bidder confirms its understanding of PCIHBV’s terms and conditions. The Bidder confirms it
will fully comply and adhere to PCIHBV’s terms and conditions and all PCIHBV requirements
stated therein.
Bidder confirms its understanding and provides all necessary information and documents as
specified in SECTION IV – 3 YEARS AUDITED FINANCIAL REPORT: APPENDIX T8 of this
ITBD.
BIDDER must submit the Unpriced Commercial Proposal as per EXHIBIT II - SCHEDULE OF
COMPENSATION by completing the Exhibit.

1. The BIDDER shall submit as SECTION T12 to the Technical Proposal the following information to
enable a CONTRACT to be executed in the event of BIDDER's Bid being accepted.
