COMMERCIAL CONTRACT (CIF - Incoterms 2020)

This Commercial Contract ("Contract") is entered into on March 10, 2024, by and
between:

Buyer:
Global Importers Inc.
789 Trade Street
Cityville, Countryland

Seller:
International Exports Ltd.
456 Export Avenue
Export City, Exportland

1. Product Description:
The Seller agrees to sell, and the Buyer agrees to purchase the following goods:
- Commodity: XYZ Widgets
- Quantity: 1,000 units
- Price: USD 100,000.00

2. Terms of Delivery:
- Incoterms 2020: CIF (Cost, Insurance, and Freight)
- Place of Delivery: Port XYZ

3. Payment Terms:
Payment shall be made through an Irrevocable Letter of Credit (L/C) in favor of the
Seller.

4. Delivery Schedule:
The goods shall be delivered on or before April 10, 2024.
- Shipment Date: April 5, 2024
- Latest Date of Shipment: April 10, 2024

5. Insurance:
The Seller shall obtain marine insurance covering the CIF value of the goods.

6. Inspection:
The goods shall be subject to inspection by SGS at the port of loading.

7. Governing Law:
This Contract shall be governed by and construed in accordance with the laws of
Countryland.
