with you and Cherry Capital Airport (TVC). In this document, you will find a benefits/deliverables section that describes each item The Festival Foundation has agreed
to for the event you are sponsoring. There is also an investment section that details the investment by your organization.

The final section is the Sponsorship Agreement section, which lays out the terms and conditions of the relationship between Cherry Capital Airport (TVC) and the
Festival Foundation. Once you have reviewed and approved the document, please sign the agreement; I will then fully execute the agreement and return it.

The National Cherry Festival website, www.cherryfestival.org, received more than 1.6M views over the past year. Logo files must be received no
later than 14 days after contract is signed to guarantee correct logo usage. Vector or PNG files are preferred but will accept files in any format.

Use of NCF Logo $5,000


Sponsor has the rights to NCF logo & wordmark, with written approval from the National Cherry Festival. Sponsor may incorporate NCF logo on
product packaging with written approval. Please contact the National Cherry Festival Office for correct logo files.

Attachment to Official Festival Program $3,000


Produced and distributed by the Traverse City Record-Eagle Newspaper. Official Program circulations of 30,000 include overruns for Festival
Guests.

Listed on Airshow Center Tickets $2,000


Cherry Capital Airport (TVC) will be listed on all Air Show center tickets.

Added as an Additionally Insured on the Festival Foundation's Insurance Policy


Cherry Capital Airport (TVC) will be added as an additionally insured on The Festival Foundation's insurance policy and the Airshow specific policy. In return The
Festival Foundation Must be added as an additional insured on the Cherry Capital Airport (TVC)'s policy. Cherry Capital Airport (TVC) will not be added to the
Festival Foundation policy until proof of additionally insured is provided to The Festival Foundation.

Cherry Capital Airport (TVC) will be mentioned during radio spots on
Midwestern Broadcasting FM 107.5 live two-day broadcast during the
Airshow. Cherry Capital Airport (TVC) will also be attached to produced spots
with WTCM.

Annual Media Programming $6,000


Cherry Capital Airport (TVC), National Cherry Festival affiliation will be
highlighted in traditional annual media programming year-round. This may
include media visits to local, regional, statewide, and national media
partners.

Banner/Signage Onsite $25,000


Cherry Capital Airport (TVC) branded signage and atmosphere pieces such as table displays and branded giveaways to all sponsors inside the new
VIP area located inside Airshow Center for the duration of the National Cherry Festival Air Show, which includes 3 tables of 8 (24 total tickets) per
day in the front row closest to West Grand Traverse Bay. Cherry Capital Airport (TVC) will also have the opportunity to use their branded tent as
the entrance tent for Air Show Center.

Hosting & Hospitality Package for the Festival $17,160


Hosting & Hospitality Package includes, Cherry Royale Parade Hosting Closing Saturday for 20, & one (1) foursome in the Sponsor Golf Outing
before the festival, a table for 8 to the Queen's Coronation.

VIP Deck Experience - One (1) table (eight (8) guests) will be reserved nightly on The VIP Deck Experience inside the Bayside Music Stage.

Reserved Seating - 60 tickets for the Bayside Music Stage Reserved Seating with cherry dollars included to be used throughout the week of the
National Cherry Festival. Please let your Fesitval Foundation Contact know which concerts you want tickets for. Tickets are on a first-come, first
serve basis, and every effort will be made to honor your requests.

Potential TV Interview $5,000


Radio & television media interview opportunities with Cherry Capital Airport (TVC) representatives or Festival spokesperson on behalf of Cherry
Capital Airport (TVC) throughout the National Cherry Festival Air Show.

Parade Registration $2,500


Guaranteed entry into the Cherry Royale Parade held on the closing Saturday of festival. Placement behind emergency vehicles in parade is
guaranteed. Please email kmcardle@cherryfestival.org prior to May 1 to exercise this option.
ICEMAN COMETH CHALLENGE BENEFITS

The following benefits will be coordinated for Cherry Capital Airport (TVC):

Logo & Link on Website $2,000


The Iceman Cometh Challenge website, www.iceman.com, received more than 250,000 views over the past year. Logo files must
be received no later than 14 days after contract is signed to guarantee correct logo usage. Vector or PNG files are preferred but
will accept files in any format.

Commercial inclusion on Iceman broadcast $5,000


Sponsor inclusion into the Iceman broadcast, which reached over 9,000 in 2023.

Use of Iceman Logo $1,500


Sponsor has the rights to Iceman logo & wordmark, with written approval from The Festival Foundation. Sponsor may incorporate
Iceman logo on product packaging with written approval. Please contact The Festival Foundation Office for correct logo files.

Glacier Gazzette Ad - 1/2 Page (10.5"x4' or 5.25"x8') $1,000


Cherry Capital Airport (TVC) will have the opportunity to submit an ad for the Glacier Gazette. The glacier Gazette is the official
periodical of the Iceman Cometh Challenge. Artwork must be uploaded to the Festival Foundation before August 1, 2023. No
Exceptions will be made

Banner/Signage Onsite $5,000


Cherry Capital Airport (TVC) branded soft-fencing (scrim) will be on display on the FLYOVER of the Celebration Zone/Finish Line at
Timber Ridge Resort. In addition to scrim, Cherry Capital Airport (TVC) brnaded chloroplasts will be displayed in the finish chute of
the Iceman Cometh Challenge.

Support should not exceed the amount of $90,000 in in-kind expenses.
SPONSORSHIP
AGREEMENT
THIS AGREEMENT, between The Festival Foundation (hereinafter the “Festival”), a Michigan Non-Profit Corporation,
with the address of 521 South Union Street, Traverse City, MI, 49684, and:

Name: Cherry Capital Airport (TVC)

And, their affiliates and related entities, hereinafter collectively referred to as “Sponsor”, which sets forth all the terms
and conditions governing the Agreement between the parties relative to the Sponsor’s participation in the sponsored
Event. The Festival and Sponsor agree to be bound by this Agreement regarding the respective rights and liabilities of
the parties and mutually agree as follows:

1. Sponsor hereby agrees to be a sponsor of the following Festival Foundation Event(s):

2024 National Cherry Festival

National Cherry Festival Air Show

In return for sponsorship of the above-stated event(s), Sponsor hereby agrees to compensate the Festival in the
following manner:

1. Festival is the sole owner of all right, title, and interest to all Festival information, including Festival’s logo, trademarks, trade names, and copyrighted information,
unless otherwise provided. Festival hereby grants to Sponsor a limited, non-exclusive license to use certain of Festival’s intellectual property, including Festival’s
name, acronym, and logo (collectively, the “Festival Property”), solely in connection with promotion of Sponsor’s sponsorship of the Event. Sponsor agrees that it
shall not use Festival’s Property in a manner that states or implies that Festival endorses Sponsor (or Sponsor’s products or services). It is understood that
Festival retains the right to review and approve in advance all uses of such intellectual property, which approval shall not be unreasonably withheld.
2. Sponsor is the sole owner of all right, title, and interest to all Sponsor information, including Sponsor logos, trademarks, trade names, and copyrighted
information, unless otherwise provided. Sponsor hereby grants to Festival a limited, non-exclusive license to use certain of Sponsor’s intellectual property,
including names, trademarks, and copyrights (collectively, “Sponsor Property”), solely to identify Sponsor as [a/the] sponsor of the Event. It is understood that
Sponsor retains the right to review and approve in advance all uses of such intellectual property, which approval shall not be unreasonably withheld. Sponsor
represents and warrants that it has not previously disposed of any of the rights herein granted to Festival nor previously granted any rights adverse thereto or
inconsistent therewith; that there are no rights outstanding which would diminish, encumber or impair the full enjoyment or exercise of the rights herein granted
to Festival; and that the Sponsor Property does not and will not violate or infringe upon any patent, copyright, literary, privacy, publicity, trademark, service mark,
or any other personal or property right of any third party.
3. Sponsor hereby agrees to abide by all federal, state, and local ordinances and laws as well as the rules and regulations governing the operation of the Festival
and Event. Sponsor is responsible for compliance with all state, federal, and local ordinances or laws relating to its sponsorship activities. Festival hereby agrees
to abide by all federal, state, and local ordinances and laws in the operation of the Event.
4. The Sponsor shall indemnify and hold the Festival free and harmless from any and all liability, claims, loss, damage, or expenses, including attorney fees,
sustained by any person caused or allegedly caused by any negligent or intentional act of the Sponsor, or by Sponsor’s failure to perform any covenant, term,
condition, or act required by this Agreement.
5. Sponsor shall maintain insurance in such amounts and covering such risks with respects to its obligations under this Agreement as is usually carried by
companies engaged in similar businesses, either with reputable insurance companies or, in whole or in part, by establishing reserves or self-insure, either alone
or with other companies or associations.
6. The Festival shall indemnify and hold the Sponsor free and harmless from any and all liability, claims, loss, damage, or expenses, including attorney fees,
sustained by any person and caused or allegedly caused by any negligent or intentional act of the Festival, or by the Festival’s failure to perform any covenant,
term, condition, or act required by this Agreement.
7. The Festival shall provide the Sponsor with a current certificate of insurance listing, at the minimum, liability, property and workers compensation coverage, upon
written request.
8. The Festival and Sponsor verify to each other that, by proper corporate action, each has the authority to undertake the obligations set forth herein and has
authorized the representative signature(s) to confirm that authority.

9. The Sponsor hereby agrees that it is voluntarily committing to this Agreement, and is not relying on any past performance of the Festival; nor is Sponsor relying
on any representations made by the Festival or its agents relative to any aspect of the Festival not otherwise contained in writing in this agreement.

10. The Festival reserves the right to make changes in the above stated event as determined necessary at the sole discretion of the Festival or its agents. Such
changes may include by example, but are not limited to, a relocation of the event or a change in the scheduled time and date. The parties further understand
that performance by the Festival may be interrupted or delayed by an occurrence outside of its control, including, but not limited to the following: An act of God,
or conduct by a third party or government agency, such as the City of Traverse City and/or the Traverse City Public Schools. If that should occur, the Festival
shall be excused from performance unless alternative arrangements can be mutually agreed upon between the parties.

11. Any controversy or claim arising out of or relating to this Agreement, or breach thereof, shall be first submitted to non-binding mediation in the county of Grand
Traverse. Unless otherwise agreed, the parties to the dispute will share equally in the costs of the mediation, including forum fees, expenses, and charges of the
mediator. Mediation will be conducted by Conflict Resolution Services, or other mutually agreed upon mediator, and shall take place within 60 days of written
notice of the request of either aggrieved party. This Agreement shall be governed in all respects by the laws of the State of Michigan, and Jurisdiction of Grand
Traverse County.

12. Each provision of this Agreement is severable, and in the event that any provision or provisions herein are determined to be unenforceable, all other provisions
shall remain in full force and effect. No amendments or modifications shall be valid unless in writing and signed by the parties. This Agreement sets forth the
entire understanding of the Parties; further, this Agreement shall supersede and/or replace any oral or written agreement(s) relating to this subject matter
entered into by the Parties before the date of this Agreement.

13. This Agreement, inclusive of its terms and provisions, shall survive the annual sponsorship and shall be binding on and inure to the benefit of, and be
enforceable by, the respective heirs, legal representatives, successors, and assigns of the Parties.

14. This Agreement shall be effective as the date signed below.


The Festival Foundation proposes to Cherry Capital Airport (TVC) outlined in this proposal for an all-inclusive fee of $0.00 plus in-kind support as outlined.

The Parties have mutual executed this Agreement, effective as of this date signed below.
