THIS AGREEMENT (the "Agreement") is made and entered into this [Day] of [Month], [Year] (the

1.0 SCOPE OF SERVICES

1.1 The Recruiter agrees to provide comprehensive recruitment services (the "Services") to the Client
that include, but are not limited to:

● Identification of potential candidates suitable for vacant positions as provided by the Client.

● Pre-screening of potential candidates, including verifying qualifications and employment history.

● Presenting a shortlist of qualified candidates to the Client.

● Arranging and facilitating initial interviews between the Client and the candidates.

● Assisting in negotiations between the Client and the candidate upon request.

● Ongoing communication and coordination with the Client throughout the recruitment process.

2.0 RESPONSIBILITIES OF THE RECRUITER

2.1 The Recruiter shall:

● Utilize industry best practices and exercise professional judgment in performing the Services.

● Treat all information related to the Services and received from the Client as strictly confidential,
except as expressly authorized by the Client or required by law.

● Comply with all relevant local, state, federal, and international laws and regulations applicable to
the performance of the Services.

● Maintain adequate insurance, including professional liability insurance, to cover its obligations
under this Agreement.
3.0 RESPONSIBILITIES OF THE CLIENT
3.1 The Client shall:

● Provide all necessary and accurate information required by the Recruiter to perform the Services.

● Cooperate with the Recruiter and act reasonably in responding to the Recruiter’s recommendations
and requests for information.

● Respect the confidentiality and proprietary rights of the candidates presented by the Recruiter.

4.0 FEES AND PAYMENT

4.1 The Client agrees to pay the Recruiter a fee for each candidate who is successfully placed within the
Client's organization. The fee structure is set forth in Exhibit A attached hereto and incorporated by
reference.

5.0 DATA PROTECTION

5.1 Both parties shall comply with all applicable data protection and privacy laws and regulations in
[jurisdiction], including but not limited to, the General Data Protection Regulation (EU) 2016/679
(GDPR), Data Protection Act 2018 (UK), and any applicable state privacy laws in the United States.

5.2 Each party shall implement and maintain appropriate technical and organizational measures to
protect the personal data processed under this Agreement against unauthorized or unlawful
processing, accidental loss, destruction or damage.

6.0 CONFIDENTIALITY
6.1 Both parties shall keep confidential all non-public, confidential or proprietary information obtained
from the other party during the course of performing this Agreement, unless required by law to
disclose such information.

7.0 INDEMNITY AND LIMITATION OF LIABILITY

7.1 Each party shall indemnify and hold harmless the other party from and against all losses, damages,
costs, and expenses arising out of any breach of any warranty, representation, or agreement made by
that party in this Agreement.

7.2 Neither party shall be liable for any indirect, consequential or special damages, or for any loss of
profits, loss of data, loss of business, business interruption, or loss of business opportunity arising out
of or in connection with this Agreement.

8.0 TERM AND TERMINATION

8.1 This Agreement shall commence on the Effective Date and shall continue until terminated by either
party upon thirty (30) days' written notice, unless otherwise terminated for cause in accordance with
the provisions of this Agreement.

9.0 GOVERNING LAW AND JURISDICTION

9.1 This Agreement shall be governed by and construed in accordance with the laws of [jurisdiction],
without regard to conflict of laws principles. Each party agrees to submit to the exclusive jurisdiction of
the courts of [jurisdiction] in relation to any dispute arising out of or relating to this Agreement.
