I. 1) PURPOSE & SCOPE

The purpose of this MOU is to clearly identify some of the roles and
responsibilities of each party as they relate to the implementation of the Future
CLASSIFIED AND CONFIDENTIAL

and present dealings between both parties.

Both Party A and Party B should ensure that future dealings activities are
conducted in compliance with all applicable Federal laws, rules, and
regulations including Civil Rights and OMB regulations governing cost issues.

Party A is the funding source for the proposed paymaster for Party B

Business Dealings/conversation between both Party A and B must be strictly

private and confidential.

III. [PARTY A] RESPONSIBILITIES UNDER THIS MOU

[Party A] shall undertake the following activities:

After mutual conversation over the phone between both parties
CLASSIFIED AND CONFIDENTIAL

* Party A verifies Party B via ID verification

* After successfull verification, Party A instruct payment to be released to Party B
accounts.
* After Party B receive funds in the accounts provided, Party A will send
disbursement instructions to Party B accordingly

IV. [PARTY B] RESPONSIBILITIES UNDER THIS MOU

[Party B] shall undertake the following activities:

• Comply: must make sure he or she follows instructions agreed by both

parties at all time and at exact time,

• Deliver: must make sure he or she delivers all funds profit according to
agreement between both parties and provide all receipts via picture copy of
scan copy

For Investment • Must ensure all investments are documented and reports are provided daily
or weekly based on agreements between both parties

For Investment • Profit and lost monthly will be discussed between both parties

V. IT IS MUTUALLY UNDERSTOOD AND AGREED BY AND BETWEEN THE

PARTIES THAT:

1. Modification: negotiation is allowed on profit % and any other issues

CLASSIFIED AND CONFIDENTIAL

2. Termination: Transaction will be terminated if party B does not comply with

adequate directives as agreed by both Parties

VI. FUNDING

Funding requirements: These funds are strictly for business

purpose/Paymaster which must be private and confidential to both parties

These are clean and legitimate funds

VII. EFFECTIVE DATE AND SIGNATURE

This MOU shall be effective upon the signature of Parties A and B authorized
officials. It shall be in force from the month in the MOU
CLASSIFIED AND CONFIDENTIAL

Parties A and B indicate agreement with this MOU by their signatures.

NOTE: Additional agreement may apply; Partnership agreement, shares

agreement and anymore
