RELEASE, WAIVER AND QUITCLAIM

KNOW ALL MEN BY THESE PRESENTS:

This Release, Waiver and Quitclaim Agreement (Agreement) is entered

into between ___________, located at ____________, herein represented by its
President, ______, and __________________________________ ("____________t"),
a resident of _____________________________________________. Collectively, the
Company and the _________ shall be referred to as the "Parties", and agree on
the following stipulations:

1) The __________previously provided massage therapy service to the

Company as an independent contractor.

2) The_______received the amount of ___________________, as full and

final payment of all outstanding allowance and commission owed.

3) In consideration of the payment received, the _____________hereby

agrees to release, acquit, and forever discharge the Company, its officers,
directors, employees, agents, successors, assigns and clients, from any and all
claims, actions, liabilities and demands of any kind, nature or description,
whether in law or in equity, known or unknown, arising out of, or related to the
massage therapy services provided.

4) The _________ voluntarily waives any rights or claims under any

applicable laws, statutes or regulations, including but not limited to the
Philippine laws on labor. Likewise, in consideration of the said payment, the
_________ shall not institute any action, whether civil, criminal, labor or
administrative against the Company, its officers, directors, employees, agents,
successors, assigns and clients.

5) The _________ shall not directly or indirectly divulge any confidential

information of the Company, including but not limited to client information,
business strategies, and trade secrets. The Massage Ther_________in the
confidentiality of all confidential information and shall not disclose or use such
information for any purpose other than the performance of their services under
their previous Commission Agreement.

6) The _________ acknowledges that this Quitclaim Agreement is

voluntary and that no coercion or undue influence has been exerted upon by the
Company, its owners, or representatives.

7) The _________ agrees that Quitclaim Agreement shall be binding upon

the _________, as well as the heirs, successors, representatives, and assigns of the
_________ The _________ have read this document carefully, understand its
contents, and voluntarily sign it without any reservation.
