Letter of Intent Date: 06th May 2023
LiebeMan Holdings (Pty) Ltd (LMH) is in the process of appointing a Carrier partner to provide
logistics services to its client for a period of twelve (12) months with the possibility of renewal,
based on carrier performance.
Please note that this document is a Letter of Intent to appoint a carrier partner, and should not
be construed as a contract, as the appointment of the carrier is based on the submission of all
the required documentation from the carrier which may but not necessarily result in a Contract
or Service Level Agreement (SLA) being issued or entered into. The issuing and subsequent
signing of the contract will only be possible where deemed necessary based on individual
project requirements and after the submission of all the required and requested documentation.
It must also be noted that this opportunity is offered on a First Come, First Served basis, and no
preferential treatment is given to any carrier, but to those who will fulfil the requirements in the
shortest time.
Required Documents in Truck Pack Format:
I. Clear photograph of front of Truck, displaying Make and Registration Number;

II. Clear photograph of Trailer 01, displaying the Registration Number;
III. Clear photograph of Trailer 02, displaying the Registration Number;
IV. Current, Valid Truck and Trailers’ Registration Documents;
V. Current, Valid GIT – R350,000 minimum cover
VI. Current, Valid Tracker Certificate, with Login Details;
VII. Completed and Signed LMH Carrier Take-On Application Form;
VIII. Company Registration Documents;
IX. Business Banking Account Confirmation Letter
X. Truck Spread-sheets, which MUST include Driver Full Name, ID No & Contact No

Payment Terms, Conditions The amount payable to LiebeMan Holdings (Pty) Ltd will be deducted from the
and percentage breakdown. Gross Income generated, and will be paid directly to LiebeMan Holdings (Pty) Ltd.
The Operator, Facilitation Operator, Facilitation & Management fees are deducted from the Gross Income,
and Route Management per truck. No “Immediate Clearance” of payments will be authorised and payments
Fees are calculated as made will be subject to normal Interbank Transfers and Processing Timelines. All
displayed in the table to the Slips, (Loading, Weighbridge, Fuel, Offloading) MUST be photographed and
right. submitted via Whatsapp immediately upon receipt. No slips must be handed over to
anyone until it has been sent to LiebeMan Holdings. Failure to adhere to this
instruction may result in Non-Payment.

Remarks Trucks can undertake more than the prescribed loads, at the transporters discretion, and driver availability, also depending
on Mine Operating Hours. Trucks load immediately after booking and Induction. Recording of Payments will be captured for
processing after loading. Weighbridge, Loading Slips, POD’s and any other delivery notes MUST be photographed and
immediately sent via Whatsapp, to LiebeMan Holdings for processing, and the original will be handed to the authorised
party for processing. No Slips should be handed over to anyone if it was not first photographed and sent to LiebeMan
Holdings. Failure to adhere to this requirement will result in Non-Payment.

Terms and Conditions

 No payments will be processed without load numbers and photographs of original Loading Slips, Weighbridge Slips and POD’s
submitted.
 All Slips MUST be submitted to LiebeMan Holdings (Pty) Ltd upon receipt, for Invoice to be paid.
 Delivery Note must reflect the relevant order/load numbers at all times.
 Drivers MUST forward a clear, legible photograph of the Weighbridge Slips, Loading and Off-Loading Slips, as well as the Delivery
Notes via Whatsapp after every delivery.
Loading and Offloading

 Drivers must check tonnage and quantities before departure from the loading point.
 LiebeMan Holdings (Pty) Ltd will not be held liable for short loading if not informed prior to departure from the loading point.
Fines and Penalties

 The Transporter is responsible for any default in providing the transportation services as described in this Letter of Intent and will be
liable for all Penalties, Non-Compliance and/or Loss of Income Claims which may arise as a result of not having the said vehicles
available when instructed to provide such vehicles, as prescribed in this Letter of Intent. Acceptance of this Letter of Intent is
considered a Binding Contractual Agreement between the parties, and the Transporter will endeavour to supply the required trucks
as indicated in this Letter of Intent, and completely indemnifies LiebeMan Holdings (Pty) Ltd, its shareholders, directors, staff, agents
and any duly authorised third parties from any such claim which may arise as a result of the transporter failing to honour this Letter of
Intent and its associated terms and conditions as contained herein.
 The Transporter is responsible for all the fines and penalties related to traffic violations, permits, overloading (without the proper
addressing thereof) or delays in loading and offloading.
 No claims on the above will be accepted.
 Should the transporter accept this LOI and not deliver the said service as stipulated, they will be held responsible for the loss of
income for the time it takes to appoint a new subcontracted transporter.
Late Loading and Offloading

 The transporter is responsible for any claims arising from late coming at loading points and offloading points.
Withdrawal of Trucks (contracts)

 The transporter must give LiebeMan Holdings (Pty) Ltd thirty-five (35) days written notice prior to the withdrawal of any trucks,
whether individual or multiple.
 Should the transporter fail to comply with the above, 50% of the submitted invoice will be deducted.
Special Conditions as per SHEQ Standards

1. Drivers Conduct: The driver will at all times:
1.1 Conduct himself courteously towards all other road users and personnel;
1.2 Maintain clean and neat physical appearance at all times;
1.3 Obey and comply with all security rules and personnel;
1.4 Adhere to speed limits of 20km/h to 40km/h as applicable at loading and offloading sites.
2. Protective Clothing: the driver will, at loading and offloading points, wear the following:
2.1 Overalls;
2.2 Reflective Jackets / Bibs;
2.3 Safety Boots;
2.4 Safety Hats;
2.5 Protective Goggles and Ear-Plugs;
2.6 Protective Gloves.
3. Services of the Truck:

3.1 No open and/or loose wiring on any vehicle;
3.2 No oil leaks on the bin;
3.3 No cracks on the loading bins or around the fifth wheel;
3.4 Only certified welding will be allowed;
3.5 Tyres must be in good condition;
3.6 Wheel nuts must always be in good condition and in place.

the signing of this Letter of Intent means that the attached spread-sheet of the completed details and attached copies hereto, will form part of
the acceptance, and is legally binding. By accepting and signing this Letter of Intent, I further agree to commit a total number of ______ x 34
Ton Side Tipper Trucks, to LiebeMan Holdings (Pty) Ltd. Load confirmation will be issued and forwarded on receipt of the documents as
stipulated above. I further acknowledge and agree that I have read and understood this Letter of Intent in its entirety, including all terms and
conditions.
