We appreciate you giving us the opportunity to assist you with the above-
captioned issue. Because one of our partners, Attorney Leo Vasquez, has
been and still serves as Valeria Construction's primary counsel in other
matters, our firm has a conflict of interest with Valeria Construction's
involvement in your lawsuit. According to the Rules of Professional Conduct,
there would be a conflict of interest if you continued to represent clients. We
are therefore required to decline to represent you at this time. Furthermore,
Valeria Construction will be referred by Attorney Leo Vasquez to independent
counsel solely for legal representation in your matter.

Along with this letter, we are enclosing your complete file and a check for
P150,00.00, which is a refund of unearned fees. To pursue (and defend) your
interests in this matter going forward, you should get in touch with additional
counsel right away. Attached is a status report that includes any applicable
deadlines. You should give your new attorney enough time to look out for your
best interests and send them the enclosed file and status report.

Enclosed is our last service rendered invoice. Serving you was a pleasure,
