Terms & Conditions

1. PRICE BASIS: FOR SITE


The prices shall remain firm & binding during the tenure of the order / supply of entire quantity and shall not be subject to escalation on any account
whatsoever, except for statutory variation / imposition of new taxes, levies & duties, if any.

2. TAXES AND DUTIES:


The price includes VAT/CST/Entry Tax, Octroi / Road permits / Excise duty / import or other duties applicable to the goods or services Purchased under
this Order and No tax Claims will be paid other than the appropriate tax charged in the invoice.

3. BILL / INVOICES:
Delivery Challan and Invoice should carry following information,(1) TIN No. (2) VAT/CST, ED No (3) PO No. & date (4) Line Item No. as per our P.O. (5)
Description (6) Quantity (7) Rate. (8) Test Certificates wherever applicable

4. PACKING & FORWARDING : Loading & forwarding in the scope of vendor.

Final inspection and acceptance of materials shall be carried out at our site and in case of any deviations, defects w.r.t. IS standards and/ or specifications
furnished, materials are liable for rejection and the same shall be replaced at your cost and risk.

6.WARRANTY / GUARANTEE :
The vendor shall submit all manuals, guarantee / warranty documents applicable as discussed or as applicable for full & final payment.

7. RISK PURCHASE:
During execution of this order, if any delay is observed due to reasons attributable to you other than force majeure conditions, DS MAX is at liberty to
cancel the order in

8. OTHER TERMS & CONDITIONS:


The unit rates indicated in the PO shall remain firm and is not be subject to any variation in price till the completion execution of the PO in full.

9. DISPUTES AND JURISDICTION:


This agreement and the PO issued under this agreement shall be subject to exclusive jurisdiction of courts situated within limits of Bangalore. Neither the
vendor nor DS MAX shall take or adopt any legal proceedings to enforce any claim against the other relating to this order from in any Court other than the
Court of Competent jurisdiction located within limits of Bangalore.

10. ORDER ACCEPTANCE:


The vendor is required to sign and return a duplicate copy of the P.O as a token of acceptance. P.O. Shall be deemed as accepted in its entirety in the
event of non-reciept of acknowledgement in two days.

11.WEIGHT TOLERANCE:
Quantity tolerance will be considered up to +/- 0.5 perc of the total PO Qty.
