1 INTRODUCTION

1.1 Objective

The purpose of this procedure is to furnish the basic philosophy of subcontract formation and the
letting of subcontracts (hereinafter refer to as Subcontract), and to set out the procedure required
for Subcontract for ERC Refinery Project (Project).

This procedure is developed to cover the non-reimbursable portion of Contractor’s Scope of


Work. But there are some expectations of Reimbursement Work, additional Work, and to cover
those reimbursement cases, there are some special clauses to handle such cases of reimbursement
at the end of relevant clauses.

1.2 Scope of Application

This Procedure shall be applied to the subcontracting required for the construction related Work
at Site during and prior to the construction phase of Works and shall covers below activities such
as:

(1) pre-qualification of the prospective bidders corresponding to the proposed Subcontract plan,

(2) preparing the inquiry documents (ITB) for the various work packages by tailoring the
standard documents,

(3) conducting bidding, such as ITB distribution / clarifications

(4) receiving and unsealing bids,

(5) assessing, evaluating and comparing the bids,

(6) conducting bid clarification and negotiation, and

(7) selecting Subcontractor for the respective subcontract packages,

(8) notifying selected Subcontractor to Company 1

(9) signing Subcontract.

This procedure will not be applied to the minor works such as service contracts for security,
catering, etc.

In the case of subcontracting for the reimbursement Work (In the Case of Reimbursement),
above-mentioned activities shall be altered as below;

(1) getting approval of Company for the prospective bidders.

(2) conducting bidding, such as ITB distribution / clarifications

(3) receiving and unsealing bids by Company,

(4) assessing, evaluating and comparing the bids,

(5) conducting bid clarification and negotiation, and

(6) reporting to Company the result of clarification and negotiation with Contractor’s
recommendation

(7) selecting Subcontractor for the respective subcontract packages,

(8) signing Subcontract,

As specified, in the Case of Reimbursement, Company shall be involved in some key activities
such as approval of Bidder List, receiving and unsealing of Bid document and final approval of
successful bidder.

2 DEFINITIONS
(1) “Company” means the Egyptian Refining Company (ERC)

(2) “Contractor” means GS Engineering and Construction Corp. (GSE&C)

(3) “Work” means as defined in the Contract Agreement between the Company and
Contractor.

(4) “Subcontractor” means any company or person, who is employed by Contractor to


execute any part of Work.

(5) “Contract” means that agreement made between Company and Contractor for the
execution of ERC Refinery Project in Mostorod, Egypt.

(6) “Subcontract” means that agreement made between Contractor and Subcontractor for the
execution of ERC Refinery Project in Mostorod, Egypt.

3 SUBCONTRACT PACKAGES

The Work shall be divided into several subcontracting package in consideration of the contract
value, scope of works and services that could competently be performed by a competent
Subcontractors.
The overall configuration of subcontract package shall be as attached schematic drawing in the
Attachment #9.

4 DOCUMENTS FORMING THE REQUISITION


4.1 Intention to Bid-Inquiry

An inquiry letter shall be sent to the pre-qualified bidders to confirm their interest to participate
in the subcontracting of Work. (The sample format of this letter is attached in the Attachment
#1).

Pre-qualified bidders shall be selected by Contractor considering;

(1) previous experience in the same kind of Works,


(2) resources that can be mobilized from local and aboard,
(3) key personnel’s composition and experiences,
(4) financial stability,
(5) workloads,
(6) reputation and relationship with Contractor.

ITB document shall be distributed to the bidders who express its interest for the Work by return
confirmation of this inquiry letter called “Intention to Bid”.

4.2 Instructions to Bidders

This document shall contain cover-letter to bidders that briefly describes the Contractor’s
requirement for the bid as attached in the form of Attachment #2. This document shall detail also
those items which the bidders are required to take into account in the preparation of the bid, and
shall give also instructions as enumerated below:

(1) the preparation of the proposal


(2) the price structure,
(3) the time schedule,
(4) the bid address,
(5) the closing date,
(6) the bid validity
(7) the criteria of acceptance and rejection, and
(8) the information to be submitted with the bid.

Bidders shall herein be reminded that all bids are to be prepared in the English language, and any
resulting Subcontract sublets.

These documents shall be for inquiry purpose only and shall not be incorporated into the
Subcontract Documents.

4.3 Draft Subcontract Documents

4.3.1 Subcontract Agreement

The Agreement shall, upon award of the Subcontract, detail the major elements of each
Subcontract, such as:

the parties to the Subcontract,


the summary of Project
the scope of Work and Supply
the Subcontract price
the payment terms with method of payment and payment milestones
the conditions of bank guarantees
the time schedule
the guarantee period
the compensation rates of liquidated damage

4.3.2 General Terms and Conditions of Subcontract

The document shall describe the general terms and condition of Subcontract, such as:

definitions of terms adopted in the Subcontract,


duties and responsibilities of Contractor and Subcontractor
subletting and assigning Work to the third party
reporting
insurance requirements
change works handling
payment conditions
indemnification,
provisions relating to suspension, termination, force majeure and liquidated damage
conditions for effectuation of the subcontract.

4.3.3 Technical Documents

The technical and financial documents of the respective inquiries shall meet and satisfy the
requirements of the respective subcontract packages, and shall be comprehensive in their content
in order that all aspects of the works included therein are fully understood by the bidders.

The technical documents shall consist of the following appendix, in principle:

5 SHORT-LISTING OF POTENTIAL BIDDERS


The potential bidders considered eligible for the respective subcontract work package shall be
pre-qualified by Contractor utilizing its global pre-qualification process such as the bidders
gathered background will possess the following criteria.

- Having a business permit or an operation license.

- Having registered into the Contractor’s internal subcontracting management system which will
be controlled and monitored by other individual group apart from the project execution team.

- Technically and financially capable to meet the requirements defined in the PQ document and
its past experiences with Contractor.

The potential bidders for each subcontract packages are to be listed in the Bidder List (to be
developed later and submitted to the Company).

The latest version of the Bidder List shall be submitted to Company whenever it is revised and or
updated.

In the Case of Reimbursement;


This Bidder List for the package shall be submitted to Company to get approval and
recommendation if any.

6 REQUIREMENTS FOR BIDDING

6.1 Criteria For Bidding

(1) All Subcontracts shall be awarded through bidding of by utilizing appropriate form under
the ordinary circumstances.

(2) All personnel involved in the bidding process for any of the Subcontracts shall act fairly
and neutrally at all times.

The code of ethics shall be strictly observed and no person shall be permitted to disclose

to any bidder any information with regard to any part of so as to maintain bidders’
commitment for confidentiality.

- any proposals submitted by any other bidders,


- bid clarification and evaluation being, or having been made on any bidders proposals,
and
- negotiations being or having been made with any other bidders, and, no person shall
show to any bidder personal favor or preference.

(3) All correspondence, memos, notes and so forth with regard to bidding, bid clarification
and evaluation, contract negotiation, finalization of the respective Subcontractors shall be
kept in strict confidence and may be made available only to such personnel as are
permitted to participate in the bidding and subcontracting processes.

6.2 Bidding and Bid Collection

(1) Bidders shall be reminded in the Instructions to Bidders, that no deviations and
exceptions from the proposed commercial conditions shall be accepted, unless beneficial
to Contractor.

(2) Based on the time schedule for the construction works of the Project, a bidding schedule
of the respective subcontract packages shall be prepared.

Bids shall be collected in accordance with the time schedule and, as necessary, bidders
instructed to accelerate the preparation of their proposals to ensure compliance with the
schedule.

(3) The period to be given to the bidders for working on their proposals shall depend on the
nature of subcontract package, and be a minimum of one (1) week.

If a majority of the bidders request an extension to the period for bidding, due
consideration shall be given only when the bidding time schedule permits.

(4) Bids shall each be submitted in one (1) original, and no less than two (2) copies, together
in a sealed envelope.

The bids shall be opened by the approved personnel, and the respective offer prices
representing the total offer value shall be recorded.

In the Case of Reimbursement;


The commercial bid shall be opened by Company as specified in the clause 1.2 above.

6.3 Bid Evaluation and Selection of Successful Bidder

Bid evaluation shall be carried in two steps described as below.

(1) The conformity of the bid with the technical and commercial requirements shall be

checked (eg. Perform mathematical checking) after receipt of the bids as the first step
evaluation.

(2) After necessary clarification and negotiation, complete price evaluation shall be carried
out and successful bidder shall be decided.

(3) Following document shall be submitted by bidder with its BID for the technical
evaluation.
- Manpower Mobilization Plan.
- Equipment Mobilization Plan.
- Utility Consumption Plan.
- Temporary Facility Plan.
- Site Organization Chart and Key Personnel's Function.
- Quality Control Procedure and QA/QC Manual
- Safety Plan
- Work Experience and Ongoing Work List
- Rigging Plan (If necessary for Heavy Lift)

(4) Technical and commercial bid evaluation shall be made applying Contractor’s standard
format of Attachment No.3 and No.4 respectively.

(5) Bid clarification meeting between Contractor and bidder shall be held, if required to
insure the compliance of bid requirements.

(6) Selected Subcontractor shall be notified to Company with adequate details as to the
standing of Subcontractor, relevant experience and scope of works. In case of the amount

of Subcontract is in excess of Two Million USD (US$ 2,000,000), Subcontractor shall be
approved by Company.

(7) Unsuccessful bidders shall be informed the bid result applying the Contractor’s standard
format of Attachment No.5.

In the Case of Reimbursement;

(1) Technical and Commercial clarification shall be carried out by Contractor and shall be
reported to the Company for its approval and selection of successful bidder. But 1
negotiation with bidder shall be carried out by Company if necessary.

(2) Company shall decide to choose the preferred and/or successful bidder.

6.4 Subcontract Signing and Kick-off Meeting

Kick-off meeting shall be held in between Contractor and Subcontractor after or before
subcontract signing for the timely commencement of subcontract work.

Official Notice to Proceed of Attachment No.8 shall be issued to Subcontractor to notify

commencement of work immediately after effective of Subcontract.

In the Case of Reimbursement;


Company shall be invited to the Kick-off meeting

7 FINALIZATION OF SUBCONTRACT DOCUMENTS


Each word or phrase employed in the text of the Subcontract Documents, and in particular the
defined words and phrases, shall be used in a consistent way, and each provision, whether for
commercial conditions or technical requirements, shall allow no more than one interpretation.

Out of the documents comprising the Inquiry, the following shall form no part of the Subcontract
Documents :

(1) Request for Proposals, and


(2) Instruction to Bidders,

and, only the draft Subcontract Documents of the Inquiry Documents shall be developed to form
the final Subcontract Documents of the individual subcontract package.

All conditions and requirements duly clarified, changed, modified, deleted or added during the
contract negotiation with the successful bidder shall be incorporated into the final Subcontract
Documents. In general case they will be incorporated in the compilation of Contractor’s
officially issued Addenda to be attached in the Subcontract Documents

Care shall be taken to prevent any discrepancy or contradiction between the conditions and the
requirements of the original Inquiry Documents, and those which result from negotiations.

8 REVIEW/APPROVAL BY COMPANY

All subcontracting status shall be reported to the Company in weekly basis applying the
Contractor’s standard format of Attachment No.6.
