UGC CREATION CONTRACT BETWEEN BRAND AND [Name]

I. INTRODUCTION

THIS UGC CREATION CONTRACT (“Contract”) was made on XX/XX/XXXX. This contract is entered
into by and between [Name], (“UGC Creator,” “You,” “Your”), and COMPANY NAME (“Brand”)
having an address at COMPANY ADDRESS and shall take effect on the last date it is executed. The
parties are hereinafter sometimes referred to individually as a “Party” and collectively as the
“Parties.”

II. ACKNOWLEDGMENT

The Brand desires to collaborate with UGC Creator for the Brand’s Organic Marketing Campaign.
The brand and the UGC Creator acknowledge the terms of this Contract and will comply.

III. TERM

The term of this contract shall commence on XX/XX/XXXX and shall terminate on XX/XX/XXXX. A
new contract will be created for renewal of term.

IV. PAYMENT FEES

The total payment will be £XXX.XX. Payment will be made by XX/XX/XXXX. The brand agrees to
send 50% payment upfront via Stripe invoice delivered via email and 50% payment upon
completion of content delivered via Dropbox. Upon the completion of the services, if the payments
are not made within 3 days after XX/XX/XXXX , the UGC Creator shall have the option to consider
the Brand in breach of this Contract and claim a late penalty of £50 per day. The mode of payment
shall be via Stripe or any other payment mode as mutually agreed by the Parties.

V. CONTENT REQUIRMENTS

During the term (as defined above), UGC Creator agrees to provide to Brand the following services:

A. The UGC Creator is to create X videos ranging from X-X seconds each.

B. The UGC Creator will deliver a variation of videos within the following categories:

 Problem/Solution
 How To Use
 Educational
 Trends

C. The UGC Creator agrees to deliver content to the brand by XX/XX/XXXX. That is if he receives the
product (gifted) by XX/XX/XXXX to allow enough time to film and edit. The brand agrees to review
and get any edit requests to the creator within 3 days of content delivery.

D. The UGC Creator agrees to make one revision edit per concept script/content brief submitted for
approval for free. The UGC Creator also agrees to make two revision edits per video for free such as
adjusting filters, effects, cropping video, adjusting/editing text overlay such as hook/body/call to
action. Any additional edits will be for a fee at an hourly rate of £20 per hour.

E. If requesting raw footage, the Brand will be charged a fee of 50% of the rate of each video.

F. The Brand should approve all content within 3 business days of content delivery.

G. The UGC Creator should create original content which is decent, honest and factual.

H. The content should not contain any vulgar language and should be suited for everyone.

VI. RELATIONSHIP OF PARTIES

The Parties understand that this agreement is not an exclusive agreement so the Brand & UGC
Creator are free to take up other projects & similar agreements with other parties throughout the
term of this Contract. This contract also does not create an employee/employer relationship
between the Parties. It is the Parties’ intention that the UGC Creator will be an independent
contractor for purposes.

VII. INTELLECTUAL PROPERTY & USAGE RIGHTS

The Brand has full ownership of all the copyrights to the content creation provided to the Brand
upon completion of payment to the UGC Creator. Brand will own the copyright of the uploaded
media to use across social platforms, website and company communications (newsletter, email) as
organic content only. However, both parties are allowed to share it on their own respective
channels. The brand agrees to not use content for paid use and to discuss paid usage terms with the
creator if they would like to do so.

VIII. CONFIDENTIALITY

This contract is strictly confidential and only authorized persons are allowed to see. The Parties to
this contract agree that each shall treat private information such as strategies, campaign and
content plans, that may be provided by either Party during the term of this Contract strictly
confidential. All such confidential information exchanged between the Parties, shall be used solely
for the purposes of rendering services pursuant to this Contract and, shall not be disclosed to any
third party without the prior written consent of either party.

IX. LIMITATION OF LIABILITY

Neither Party shall be liable to the other for any indirect, special, or consequential damages arising
out of this Contract.

X. FORCE MAJEURE

Neither Party shall be liable for any failure in performance of the obligation under this Contract due
to cause beyond that Party’s reasonable control (including and not limited to any pandemic, fire,
strike, act or order of public authority, and other acts of God) during the pendency of such event.

XI. AMENDMENT

This contract can only be changed or modified through the written consent of both parties (Brand
and UGC Creator)

XII. NOTICES

All notices required or made pursuant to this contract to be given by the Parties shall be given in
writing through e-mail to the following addresses of record.

You hereby agree that all agreements, notices, disclosures and other communications that
COMPANY NAME provides electronically to you satisfy any legal requirements that such
communications be in writing. All communications via email shall be deemed received by sending an
email to the email address listed above.

XIII. TERMINATION

This Contract may be terminated by either Party as follows:

 Upon the breach of any terms and conditions mentioned herein the Contract.
 Upon completion of the services by the UGC Creator and full payment by the Brand.

XIV. GOVERNING LAW

This contract shall be governed under the laws of England (United Kingdom).

XV. ENTIRE CONTRACT

This Contract constitutes the entire understanding of the Parties, and revokes and supersedes all
prior contracts between the Parties, and is intended as a final expression of their Contract. It shall
not be modified or amended except in writing signed by the Parties hereto and specifically referring
to this Contract. This Contract shall take precedence over any other documents which may conflict
with this Contract.
XVI. ACCEPTANCE AND SIGNATURE

It is agreed, by signing below, the Parties agree to be bound by the terms of this Agreement. The
Parties signing this Contract represent and warrant that they are duty authorized and have the legal
capacity to execute and deliver this Contract.
