**SALE DEED**

THIS SALE DEED is made on this 15th day of March, 20XX

BETWEEN

Mr. Rajesh Kumar, aged about 45 years, son of Mr. Suresh Kumar, residing at 24B, Sea Face Park,
Mumbai - 400021, hereinafter referred to as the **SELLER** (which term shall, unless repugnant to
the context or meaning thereof, be deemed to mean and include his heirs, executors, administrators,
and legal representatives) of the ONE PART;

AND

Mrs. Anita Desai, aged about 38 years, daughter of Mr. Anil Desai, residing at 98C, Lotus Colony,
Worli, Mumbai - 400018, hereinafter referred to as the **BUYER** (which term shall, unless it be
repugnant to the context or meaning thereof, be deemed to mean and include her heirs, executors,
administrators, and legal representatives) of the OTHER PART.

WHEREAS the SELLER is the absolute owner and in possession of the shop premises situated at
Shop No. 10, Ground Floor, Lotus Arcade, Veer Nariman Road, Mumbai - 400020, more particularly
described in the Schedule hereunder written.

AND WHEREAS the SELLER has agreed to sell and the BUYER has agreed to buy the said shop
premises for a total consideration of INR 1,00,00,000 (Indian Rupees One Crore only).

NOW THIS DEED WITNESSETH AS UNDER:

1. **Sale Consideration:**
The BUYER hereby agrees to pay the SELLER a total sum of INR 1,00,00,000 (Indian Rupees One
Crore only) as the full and final consideration for the sale of the said shop premises, of which INR
10,00,000 (Indian Rupees Ten Lakhs only) has been paid as earnest money on the execution of this
deed, and the balance amount of INR 90,00,000 (Indian Rupees Ninety Lakhs only) shall be paid to
the SELLER at the time of handing over possession of the said premises.

2. **Transfer of Title:**
The SELLER hereby conveys, transfers, and assigns to the BUYER all the rights, title, interest, claim,
and demand whatsoever of the SELLER in or to the said shop premises, together with the buildings,
fixtures, fittings, and appurtenances thereto belonging or in anywise appertaining thereto, free from all
encumbrances.

3. **Possession:**
The SELLER shall deliver the possession of the said shop premises to the BUYER on the execution
of this Deed.

4. **Indemnity:**
The SELLER hereby agrees to indemnify and keep indemnified the BUYER against any loss or
damage arising out of any claims, charges, or encumbrances on the said shop premises not disclosed
by the SELLER.

5. **Governing Law:**
This Deed shall be governed by and construed in accordance with the laws of India.

6. **Dispute Resolution:**
Any disputes arising out of or in connection with this Deed shall be resolved through arbitration in
accordance with the Arbitration and Conciliation Act, 1996, by a sole arbitrator to be appointed by
both parties.

IN WITNESS WHEREOF, the SELLER and the BUYER have hereunto set their respective hands
and seals the day and year first above written.

SCHEDULE OF PROPERTY

Description of the Property: Shop No. 10, situated on the Ground Floor of Lotus Arcade, Veer
Nariman Road, Mumbai - 400020, admeasuring about 500 square feet, along with all fixtures and
fittings attached thereto.

IN WITNESS WHEREOF, the parties hereto have set their hands to this Deed on the day, month, and
year first above mentioned.
