CONTRACT OF LEASE

KNOW ALL MEN BY THESE PRESENTS:

This Contract made and entered by and between:

Wilson Lee, of legal age, married, Filipino Citizen, and with postal address at 31 Perez Blvd., San Carlos
City, Pangasinan. Represented herein by the LESSOR, hereinafter referred to as the LESSOR;

-and-

AEROMIX PAINT, a sales duly organized and existing under the laws of the Philippines, with principal
place of business at #04 Quezon Blvd., San Carlos City, Pangasinan, represented by Augusto B. Manebog
hereinafter referred to as the LESSEE;

WITHNESSETH:

That the LESSOR hereby leases unto the LESSEE and the latter hereby accepts in lease from the former, a
commercial space situated at 4 Quezon Blvd., San Carlos City, Pangasinan, under the following terms a
and conditions herein setforth;

That the term of this lease shall be one (1) year only, commencing on January 2, 2024 and expiring on
January 2, 2025 renewable for another term upon agreement of the parties, provided that the intention
to renew is made to use to the LESSOR in writing at least two (2) months prior to the expiration of this
Contract of Lease;

That the LESSEE agrees to pay the LESSOR a monthly rental of FOUR THOUSAND FIVE HUNDRED ( PHP
4,500.00) to be paid on or before 7th day of each month;

That the LESSEE agrees to pay to the LESSOR the amount of THIRTEEN THOUSAND FIVE HUNDRED
PESOS (PHP 13,500) which is equivalent to two (2) months rental deposit and one (1) month rental
advance.

That any illegal activities that the LESSEE may engage will not make the LESSOR liable.
That the LESSOR will not be held liable to any accident that may be fall the occupants while living in the
premises, as well as to any robberies that may take place without LESSOR fault;

That the LESSEE hereby covenants with the LESSOR as follows

- To pay the rents stipulated at the time and in the manner aforesaid;
- To pay all electric and water bills and other services in the leased premises during the term of this
contract.
- To keep the premises in such habitable condition and make minor repairs and maintenance of the
premises during the term of this contract;
- To freely introduce improvements on the leased premises at its expense provided that all
necessary permits and licenses are secured by it door and under the name of the LESSOR;
- Not to make or surfer any lawful, improper or offensive use of the leased premises other than
herein specified.
- To permit the LESSOR at all responsible times to enter upon and examine the premises and
suggest such repair as he may think necessary for the protection thereof
- The LESSEE shall maintain the leased premises in a tenantable condition and shall bear expenses
of the leased premises shall be borne by the LESSOR;
- The LESSEE may not sublease any part and/or portion of the premises by virtue of the contract
without written consent of the LESSOR.
- That the parties hereto are bound by this agreement and likewise binding upon their heirs,
administrator signs, or any other persons acting for and in behalf of the LESSOR and LESSEE
herein;
- That any illegal action arising out of this agreement shall be bought before the court of proper
jurisdiction only and exclusively thereby waving any all other venue;

That it is hereby agreed that in the interpretation and construction of this Contract of Lease, whenever
the context so permits, the expression “LESSOR” and “LESSEE” shall include and embrace 0065ecutors,
administrators and assigns, and that the covenants and stipulations hereof shall be binding upon and
inure to the benefit of the person included and embraced under said expressions respectively as
foresaid.

That violation of any of the above terms and conditions shall produce ipso facto the rescission of this
Contract of Lease.

Known to me and to be known to be the same persons who executed the foregoing instrument and
acknowledged to me that they executed the same as their free and voluntary act and deed and the
corporate act of the entity represented.

This instrument consisting of three (3) pages including this page where the acknowledgement is written
signed by the parties and their two (2) instrumental witnesses on each and every page thereof refers to a
CONTRACT OF LEASE.
