The DSH volunteer application is getting loads of responses! We should have a pretty full
meeting next Monday. Please see below for fwded email to all of the folks who signed up.
I know that Pam had mentioned that some of the volunteer staff may not be able to make it to the
staff day training, so please feel free to invite any library staffers to our training on Monday,
May 22nd from 6-7pm.

Thank you so much for your interest in participating in the Drag Queen Story Hour events. We
are SO pleased to offer each of you a position.
Please come to each of the event(s) that you expressed interest in. We will do our best to put you
in the specific positions that you expressed interest in as well, however, we may need to move
some folks around depending on what is most needed. That being said, if you are volunteering
with a friend, family member, or partner that you would like to stay with- we will accommodate
you.
There will be leads that will help orient you and guide you through what your position will
entail.
TRAINING MEETING: There will be a training meeting held at Our Center (1745 S. Wells
Ave.) in Reno on Monday, May 22nd from 6-7pm. We will have some folks affiliated with the
Black Rock Rangers ("Burning Man's non-confrontational meeting agency made up of trained
volunteers who help to resolve disputes within our community and bridge the gap between the
ethos of the culture of our citizens and the needs and responsibilities of law enforcement.") who
will be leading a deescalation and conflict resolution training should folks.
These rangers will be working as volunteers for their community, not as representatives of
Burning Man.
We will also be going over event logistics. If you cannot make it to the meeting:
- Please email me individually to let me know.
- I will send you notes from the meeting and a write up of everything we go over (I will also be
distributing this email to folks who can make it to the meeting for review if needed).
You do not need to respond to this email if you will be at the meeting.
Please feel free to park in the parking lot located behind the building. There is also street
parking.
Please let me know if you have any questions or concerns! Though- if they are related to the
events, please save them for the training Q+A portion as I'm sure other folks may have similar
questions. I'm also frequently inundated in my inbox, so if it can wait until we see each other on
Monday, I would greatly appreciate it.

As you know, our book kiosks are scheduled for install next week, May 23-26th. I wanted to check in and
see if there were any questions or concerns or if I may have missed anything in the preparation process.
I know the following:
Dumpsters (14 yards) have been ordered for both sites and will be dropped off picked up:
• Sun Valley: 5/22/23 -5/25/23.
• Cold Springs: 5/24/23 – 5/27/23.
These were “free” as part of our county contract with Waste Management.
Kiosk delivery/Install/Training:
• Sun Valley: 5/23/23-5/24/23.
• Cold Springs: 5/25/23-5/26/23.
I will be the point person from the branch for both site installs and for the waste management actions.
I’ve “cleared” my schedule and plan to be mostly on site for these to alleviate work for our partners
(parks and SVGID teams). If anyone needs me please contact me on my cell: 775-980-9000.
I do not know an arrival time for I am generally planning to be available as of 7AM on all days until I
hear for sure from Bill or Fred.
Questions:
• Brenda: Who from your team will be on site or the contact person as needed for both projects?
• Debi: How would you like us to get materials for each site (not sure what total number of
materials is)? I can certainly pick up and transport personally.
• Jamie: Is there anything specific you need from me or this process re: the LSTA grant for Sun

• Belief that only parents/families should teach their kids about sexuality/gender
• Concerns that such events would cause gender confusion or loss of innocence in young children

• Doubts regarding the value or educational benefit of DQST programming
• Belief that the events could distract children from learning or that libraries should focus on core
educational subjects (such as math, science, and reading) rather than social issues
Stacey Piro and Valerie Fiannaca wanted to be able to email concerns and comments regarding DQST
events to the Trustees. Ms. Fiannaca believed each Board member should have their own email address.
Ms. Fiannaca also spoke positively regarding non-DQST-related library services but added that she did not
appreciate the library website’s celebration of diversity and the LGBTQ+ community.
In addition to comments regarding his opposition to DQST events, Bruce Parks thanked the Board for
approving revisions to the March 2023 meeting minutes.
The following members of the public spoke in support of DQST events: Sarah DePaoli; Nicole Obritsch;
Rebecca Allured (who spoke on her own behalf as well as reading a statement written by her friend,
Angela [last name not provided]); Wayne Holland; Edwin Luyngar; Kari Buccambuso; Sheena (last name
not provided).
Reasons cited by the above commenters for their support of DQST events included:
• Appreciation for the general creativity and diversity of library programming available
• Compliments regarding the libraries’ passionate, dedicated, and welcoming staff
• Gratitude for efforts to celebrate diversity, inclusiveness, and acceptance
• Increased awareness of social issues faced by the LGBTQ+ community, including children & families
• Evidence that DQST events helped teach children to treat others with dignity, respect, and kindness

b. Presentation and Discussion: Washoe County Library Strategic Plan Update [Non-Action Item]
Director Jeff Scott reviewed a PowerPoint presentation, a copy of which was provided in the Board packet,
regarding updates to the Strategic Plan.
Trustee Perez asked Director Scott which libraries had zoom rooms. Director Scott believed all branches
had a zoom room except for Northwest.
Library Director Jeff Scott read a proclamation received from the Washoe County Board of County
Commissioners for National Library Week.
6) REPORTS
Library Director Jeff Scott reviewed the Library Director’s Update, a copy of which was provided in the
Board packet, and briefly discussed topics including the upcoming ‘soft launch’ reopening of the Sierra
View Library, book machines due to arrive within the next two weeks, the approval of the budget for the
new fiscal year, and anticipated review of applications for the Library Board of Trustees Vacancy by the
Washoe County Board of County Commissioners (BCC). Director Scott noted the review was expected to
be on the agenda for the BCC meeting on Tuesday, April 25.
b. Northwest Reno Library Report by Robin Posniak [Non-Action Item]
Librarian I Robin Posniak reviewed a PowerPoint presentation to the Board, a copy of which was included
in the Board packet.
Chair Amy Ghilieri inquired regarding the types of activities done by volunteers. Mr. Posniak explained
branch volunteers often assisted with tasks such as shelving, processing missing or hold lists, and cleaning.
South Valleys branch Librarian Toni Farris reviewed a PowerPoint presentation, a copy of which was
included in the Board packet.
• Community Resources Week and dementia-friendly nature walks at Idlewild Park, offered in
collaboration with the Truckee Meadows Parks Foundation every Tuesday from 10:00 to 11:00 AM
• The Community Resources Center, a collaborative effort by multiple local non-profit organizations,
and the Northern Nevada Veterans Resources Center, which was dedicated to veteran homelessness
prevention and rapid rehousing of homeless veterans
• The Solace Tree, another non-profit resource which provided youth grief support for children, teens,
and their family members; free services available included peer support groups and grief workshops
• The availability of Nevada ‘talking books’, and positive feedback from the community regarding
Resources Week activities
7) STAFF ANNOUNCEMENTS
Library Collection Development Manager Debi Stears discussed an additional $4,000 for new materials.
Trustee Ann Medaille inquired regarding emails mentioned by public commenters and stated she had not
received anything. Director Jeff Scott indicated he would follow up to find out what the cause might be.
Vice Chair Frank Perez stated it was important to respect opinions being shared, but also important to do
whatever possible to prevent the possibility of altercations at Library Board of Trustees meetings. He
opined the behavior he had observed during the meeting had been unacceptable on both sides and hoped
there was a plan in place in case things ever escalated further. He also noted there had been many Spanish
speakers present during the meeting and thought it might be valuable to consider offering translation
services so the public could voice their opinions. He concluded that he was pleased with the progress
regarding the Strategic Plan, which he followed closely, and he looked forward to hearing about further
plan updates in 2024.
Director Scott provided brief clarification regarding the years covered by the Strategic Plan, noting it
would be in place from 2022 through 2025.

The Governor thought he was appointing a Republican, but at this point Andriola seems to be a
disciple of (D) Commissioner Alexis Hill. In the photo, Androla's
sudden Democratic slant might explain why Lombardo looks so uncomfortable, and what is the
woman doing standing on a table in the back, trying to infiltrate
the group? Why? But again, this photo sort of sums up Lombardo's appointment of Andriola,
one big hot mess.
We haven't heard Andriola asking for public comment to return to the beginning of the BCC
meetings - she is remaining mute. Unlike the other two Republican's
Mike Clark, Washoe County Commissioner, District 2 and 5th District Washoe County
Commissioner Jeanne Herman who speak about bringing public comment
back on the dais at every commission meeting - Andriola sits there and says nothing.
The Reno Gazette Journal reported at the May 9, 2023 BCC meeting, Andriola had to have
breaks. Andriola wasn't able to take the heat from the public commenters,
you know, mainly Republicans. When there is a break Clark and Herman come into the
audience and meet the residents attending the meeting, while Andriola exits
the 'secure' route with Hill and Garcia for Nevada.

Washoe County Library System is looking forward to having a new Trustee appointed to the
Washoe County Library Board. At this time, the library system does not know when the
appointment will be placed back on the agenda. The Library System is awaiting more
information from the Board of County Commissioners on a timeline for the appointment.

Our Center is seeking volunteers to assist with the outdoor portion of the Rainbow Fest events
while Washoe County Library concentrates on providing a fun, literacy focused Drag Story Hour
inside their facilities. We are doing a Create a Crown or Tiara art project for kids, A Glow Up
Booth and a We are Family Photo Booth. We are creating a fun family friendly event which
focuses on inclusivity.

Do you have details you can send me such as on the expanded activities, what help you're
seeking and any comments that might pre-empt concerns such as about the voluntary-attendance

we’d have permission to use, please send that, too.

Summer is here and that means it’s time for the Summer Reading Challenge. This year’s theme
is All Together Now / Todos Juntos Ahora. You’re invited to gather for reading opportunities
and plenty of fun activities at Washoe County Library, and beat the summer slide! All ages can
sign up and participate to earn free books and a book bag. Use the Beanstack app or get a bingo
log at your favorite Washoe County Library location (see pages 12-13).
We continue to meet our goal to provide welcoming spaces with the completion of our latest
library renovation project at the Sierra View Library. The popular branch, which opened in
1987, is now open with updated paint, flooring, and furniture. Access to the library has been
enhanced with a new back entrance and an ADA-accessible lift. It’s an exciting change and we
invite you to come see it in person. Also back in business is the popular Friends of Washoe
County Library booksale, returning this month (see page XX).
This year, even more exciting changes are in the works. We’re adding two new Library To Go
book kiosks at Sun Valley Park and the Cold Springs Community Center. These self-service
library machines allow anyone with a Washoe County Library card to discover and check out
popular materials. We are also finalizing our new bookmobile, with plans to be on the road and
ready to go later this year.

As we discussed last Friday, I have attached a copy of the Draft Board Policies and
Procedures. I believe this is a good starting point and I am sure there are several
items to discuss and modify in this document. I hope we can discuss those items,
make the changes, and have a solid start for new board members that will
provide them with information to make an informed decision to join the board.
I want to remind all of you that I did sign an engagement letter with Kerry Eaton
with Drinkwater Eaton who was helping NNLC create appropriate bylaws for the
organization. I asked Kerry about the bylaws approved in March and if they were
the bylaws we were to be following. My concern, the March minutes did not
indicate who initiated the motion to approve the bylaws, but did state Melissa 2 nd
the motion. Additionally, I do not have signatures on the bylaws. Kerry has
advised, if we do not have the revisions to the 2019 bylaws clearly documented,
we should be following the 2019 bylaws until this board documents the revisions
clearly, and then the board approves the new bylaws. I am not sure if any of you
have the revisions. So to answer Melissa’s question, based on what I know to be
true, we should be following the 2019 bylaws until the board revises the bylaws.
Once the bylaws are revised, Kerry can move forward with amending the Articles
of Incorporation with the secretary of state aligning them with the approved
bylaws. I told her I will let her know when we get to that point.
I created a shared file where I am putting the board documents. In this file, you
can find the 2019 bylaws, and the bylaws approved at the March meeting, but
without the revisions. Also included in the file are the NNLC Articles of
Incorporation, and other board documents I thought you may need. You can
access the shared file here: FY2023.2024 Board Documents.
I hope to get to the banks next week to get the new signature process started.

direction for the agency, provides financial oversight, establishes policy, and supports the
organization’s generation of adequate resources to carry out its mission.
This Policy and Procedure Manual is designed to facilitate active and accountable governance
within the organization, as well as compliance with applicable legal requirements.
NNLC is governed by a comprehensive set of bylaws, which are reviewed annually by the Board
of Directors for effective governance and compliance with relevant law. The Board Policy and
Procedure Manual serves as a guide for the implementation of the Bylaws, as well as a manual
for Board practice and function. The manual institutionalizes best practices for continuity and
succession planning among Board and executive leadership, and serves as a guide for new Board
member orientation.
On an annual basis, the Policy Committee will review the Bylaws and this Policies and
Procedure Manual and will recommend revisions as appropriate to reflect changes in: applicable
legal and regulatory requirements; changes in board governance; and to maintain standards of
best practices. Any such recommended revisions will be reviewed and approved by the
Executive Committee of the Board, which has the authority of the Board. All such changes will
be communicated to members of the Board within a reasonable time after they are made. In the
event of any conflict or inconsistency between the Bylaws and the Policy and Procedure Manual,
the provisions of Bylaws supersede the Manual.
➢ Well-informed and passionate about the mission of this organization, NNLC board
members work as ambassadors for NNLC, making connections and introductions to
generate financial support, partnerships, and job opportunities for participants, within
their businesses, professional and personal networks.
➢ NNLC Board of Directors work in close partnership with the Executive Director. All
organization powers are exercised by the Board or through the delegated authority of a
committee of the Board which, pursuant to the Bylaws, has the authority of the Board. In
all cases, such committees of the Board are subject to the ultimate direction of the Board.
The board's commitment to personal generosity will inspire others throughout the community
and set the standard of generous giving. Each board member should make the most generous
personal gift their circumstances allow. While some board members have the capacity to make
very large gifts, all board members have the capacity to be generous given their circumstances.
We celebrate the generosity of all board members to establish a high standard of generosity for
the entire community by setting an ambitious but attainable goal for giving by their related
corporate and foundation entities.
Every board member should annually participate in at least one or more NNLC development
activity. Those activities may include:
o Introducing prospective donors to NNLC
o Adding donor names to the NNLC mailing list
o Working on NNLC’s fundraising events (including, but not limited to major annual
events and smaller donation events such as #Giving Tuesday)
o Signing personalized solicitation letters
o Signing thank you letters
o Making thank you phone calls
o Participating in donor cultivation meetings and events
o Hosting small donor cultivation events at home or office
o Soliciting prospective donors face-to-face, etc.
Each board member is expected to notify the development committee, and/or Executive Director
to discuss their financial commitment to NNLC and share their personal work plan with
development activities.
Because fundraising is critical to advancing the mission of this organization, it is the Executive
Director’s responsibility to prepare an annual fundraising plan and it is the board's responsibility
to approve the plan and to periodically review progress against goals, etc.
All board members are welcome to serve on NNLC’s Development Committee whose
responsibility is to oversee progress of the fundraising plan, serve as resources for the Executive
Director and to lend their support to fundraising activities.
Fiscal oversight:
The Board of NNLC ensures that resources are managed in a fiscally sound and responsible
manner. The Board sets financial and personnel policies, reviews financial performance, engages
auditors, and establishes investment policies. A finance committee will meet monthly to review
monthly financial reports and prepare a financial report to be reviewed at each board meeting.
To this end, the Executive Director prepares the annual budget for the finance committee to
review in May, in preparation for the board to approve at the annual meeting in June.
Board Development:
The Board of NNLC works actively to ensure a committed and effective and dynamic board of
directors, through the recruitment and cultivation of individuals with the skills and connections
NNLC needs. The Board provides information and training to develop and inspired board
members and to assess its own performance and the participation of individual board members
on a regular basis.
Newly elected Board members are informed of their election within one (1) week of the Board
meeting at which the election took place, in a letter that also confirms:
a) Dates of Board term
b) Dates and plans for new Board orientation
c) Dates for Board meetings for fiscal year
d) Name of Board partner
e) Expectations of Board partner role
For Cause: The Executive Committee, upon finding a board member in question to be involved
in fraudulent or dishonest acts, gross abuse of authority or discretion or breach of any of the
duties referenced above in Vacancies.
Officers:
To be eligible to serve as an officer, the candidate must be a duly elected member of the Board.
NNLC officers are:
o Board Chairperson
o 1st Board Vice-Chairperson
o 2nd Board Vice Chairperson
o Board Secretary
o Board Treasurer
o Provide general oversight and direction for the affairs of NNLC, subject to the limitations
of and in accordance with, the Bylaws, resolution of the Board and/or applicable Nevada
law.
o Perform the duties as are customarily designated to the Board Chairperson of a
community non-profit organization as necessary and appropriate to the operation of the
organization.
o Lead the direction of the Board of Directors on annual and ongoing basis, by among other
things, leading the establishment of Board goals, facilitating Board member leadership
development and tracking the accomplishment of Board goals.
o In partnership with the Executive Committee, lead the planning of NNLC’s committee
structure; appoint NNLC committee chairs and assist with committee planning and
activities as appropriate.
o Plan, convene and chair NNLC Board and Executive Committee meetings and Board
Strategy sessions.
o Provide leadership to NNLC fundraising and development programs annually and for the
long term, including solicitation of major gifts and cultivation of major donors.
o Provide direction and leadership in advocating for NNLC in the community at large and
with government and private funding entities.
o Conduct annual evaluation of Executive Director, in consultation with Executive
Committee, with input from board members and community leaders.
Agenda Planning
Executive Committee meetings are scheduled within a month before Board meetings, so that the
Executive Committee can plan the upcoming Board meeting agendas.
Number of Votes
Directors each are entitled to have one vote. Each Director is entitled to vote in person or by
proxy as described in the NNLC bylaws.
Voting by Proxy
Each Director may vote by one or more agents authorized by written proxy, provided the proxy
specifies the nature of the specific matter for which such proxy is given and is signed by the
person giving the proxy. A proxy is deemed signed if the Director or the Director's duly
authorized attorney-in-fact manually signs the proxy, or it is typewritten and it is sent by
facsimile transmission, electronically or otherwise.
Adjournment
A majority of Directors present at a meeting, whether or not a quorum is present, may vote to
adjourn the meeting to another time and place.
o NNLC Board Secretary forwards minutes of Board meetings, included in the Board
Meeting Packet, to Board members within a week prior to the next Board meeting, after
review and signature by the Board Secretary.
o The Board approves each Board meeting's minutes at the subsequent Board meeting
Committees
The NNLC Board of Directors conducts much of its business and fulfills much of its
responsibility through committees which report directly to the Board. Committees may have
explicit authority delegated by the Board or may be advisory in nature. The broad and robust
committee structure fosters deep and focused work on specific tasks and issues and enables the
Board as a whole to devote more of its meeting time to strategic and generative discussion rather
than operational business.
Executive Committee
The Executive Committee is comprised of the officers of the Board, and has full power and
authority of the full Board in the oversight of the business and affairs of NNLC, as limited by the
Bylaws. The Bylaws authorize the Executive Committee to evaluate and set the Executive
Director's annual compensation, and to approve contracts that require Board approval other than
those explicitly described in the Bylaws.
The NNLC Board Chair serves as chair of the Executive Committee, which meets as needed to
facilitate decision making between board meetings, and/or in urgent and crisis circumstances. In
addition to the actions described above, the Executive Committee supports the successful
accomplishment of NNLC’s strategic and annual goals. It reviews the committee structure on an
annual basis and establishes committees to support the agency in its efforts to fulfill its strategic
and annual goals. The Executive Committee also monitors committee work to evaluate progress
in meeting goals. The Executive Committee plans full Board meeting agendas and leads the
evaluation of the Board's annual work.
The Executive Committee works in close partnership with the NNLC Executive Director, which
is invited to participate in all Board and Executive Committee meetings. Through this
collaborative work, the organization's volunteer and professional leadership form an effective
team to identify and anticipate challenges and opportunities and work together to respond to
them.
The Executive Committee addresses succession planning, updating the NNLC succession plan
on an annual basis, to enable continuity of leadership in the event of an emergency or planned
short-term or long -term leave of the Executive Director. The close partnership between the
Executive Committee and the Executive Director creates a strong leadership group designed to
ably steer NNLC in the transition to new executive leadership.
Finance Committee
The Finance Committee is responsible for overseeing the financial management of NNLC and
for recommending the annual budget to the Board for approval. The Finance Committee reviews
and monitors financial reports, accounting policies and procedures and reports to the Board on
the financial health of the organization. The Finance Committee, sets direction and monitors
results of the agency's investments. By virtue of giving the Finance Committee delegated
authority to oversee the financial management of NNLC, the Bylaws authorize the Finance
Committee to work with the Executive Director to develop the Corporation’s proposed annual
budget, overseeing the executive of the Corporation’s annual budget, and work with the auditor
or Certified Public Accountant on the Corporation’s periodic financial review and accountings,
and resolving all issues raised during any audit.
The Bylaws specify the composition of the Finance Committee, which is chaired by the Board
Treasurer, have 1 board member, and may have other qualified community members approved
by the board.
Development Committee
The Development Committee will consist of a minimum of 2 board members appointed by the
board chair, 1 of which will chair the committee, and at least 2 community non-board members
approved by the board. The Development Committee ensures that the organization's total
development program is in concert with the organization's strategic direction and needs. The
committee serves as the mechanism by which board members and other volunteers are involved
in the fundraising process.
Nominating Committee
A nominating committee, consisting of at least two board members, which shall be appointed by
the Chair each year, one of which shall act as chair. It shall be the duty of the Nominating
Committee to annually prepare a slate of officers for election by the Board of Directors, and the
slate of directors to fill vacancies of the Board. The slate shall include those directors standing
for re-election and new candidates where appropriate. The Nominating Committee may also
propose candidates for vacancies should they occur during the year. The Nominating Committee
shall also be responsible for the following activities, as needed: the orientation of new Board
members, periodic self-assessments of Board members, and leadership development.
Access to Staff
Effective partnership between the NNLC Board of Directors and NNLC administrative staff rests
on open communication. The Executive Director attends and participates in all board meeting,
and all board committee meetings. Other NNLC staff and non-board member committee
members participate as needed and when invited for presentations and relevant discussions. The
Executive Director also supports the work of the board committees as a committee liaison
working closely with all committee chairs. Board members are welcome to contact NNLC
Executive Director and any NNLC staff with questions or suggestions at any time.
Risk Management Philosophy
General Principles
NNLC strives at all times to operate in compliance with local, state, and federal laws and
regulations. NNLC bears responsibility for the health, safety, and security of service recipients.
This is a primary responsibility of the Board of Directors, Executive Director and all NNLC
Staff.
Safety and risk management activities are multi-faceted and include:
o Thoughtful screening, selection and training of operational volunteers and employed
staff.
o Creation and enforcement of policies, standards, guidelines, and procedures as guides for
planning.
o Maintaining safe and secure facilities.
o Establishing procedures to be followed in the event of an emergency.
o Maintaining clear communication channels.
o Purchasing insurance coverage as a financing mechanism for certain risks, recognizing,
however, that insurance is not a substitute for vigilance in planning and implementing
programs.
Finance Committee
Sets risk management goals with respect to the financial health and well-being of the
organization:
o Presents annual budget with risk management in mind.
o Reviews monthly fiscal reports to determine compliance and future priorities.
o Ensures compliance with policies and standards imposed by any accrediting/auditing
organizations.
o Adopts and establishes accounting policies and standards.
o Reviews the organization's insurance program periodically.
Investment
The Finance Committee, together with recommendations from donors and the Executive
Director, sets direction and monitors results of the agency's investments.
Audit
The annual Single Audit begins with a prior fiscal year Single Audit Engagement letter, and a
Nonprofit Income Tax Return Engagement letter, submitted by the CPA/Auditing Firm to the
Executive Director for signature in May. One the engagement letter is signed and authorized by
the Executive Director, the CPA works with the Executive Director to secure a time frame to
begin the field work. Generally, field work will begin in August to September. A draft audit
report should be ready for the finance committee to review and submit to the board of directors
by mid-October. The Executive Director will work closely with the finance committee to ensure
the 990 nonprofit income tax return is submitted on time or an extension is filed to avoid IRS
penalty fees.
Contracts
The By-laws state that the board of directors will enter into agreement and contracts with
individuals, groups of individuals, corporations, or governments for any lawful purpose. All
contracts that require execution by the corporation shall be signed by the NNLC Board Chair, 1st
Vice-Chair, or Treasurer, or such other person or persons, which may include employees of the
corporation, as the Board may designate. The Board of Directors has authorized the Executive
Director to sign contracts, The By-Laws, in Article III, Section 3.2, authorize the Executive
Committee to) approve contracts that require Board approval.
Strategic planning
In April of the fiscal year in the final year of the strategic plan, the Board of Directors, working
in close consultation with the Executive Director, decide on a time and place for a Strategic
Planning meeting. Led by a chair (or co-chairs) who are members of the Board, includes NNLC
staff, as well as individuals who are not members of the Board. The Board encourages input and
participation from diverse stakeholders, including public, foundations and other partners to
broadens the committee's perspective, enriches the quality of analysis and discussion, and
deepens the connection and commitment of these partners to NNLC.
The Board of Directors may also engage outside consultation, on a paid or pro bono basis, to
help design and guide the planning process, facilitate meetings, and facilitate NNLC's use robust
and current planning tools and practices. The strategic planning process typically includes an
analysis of the external environment which will affect the work of NNLC: economic, labor
market, demographic and public policy trends; a competitive analysis of the local market; and,
identification of best practices in the workforce development field across the northern Nevada
area. Key stakeholder interviews, usually conducted with funding and community partners,
Board members and employers yield rich information on perceptions of NNLC, trends and
opportunities. In addition, surveys and focus groups with current and former clients provide
invaluable customer feedback on the quality and consistency of services.
NNLC staff participate actively in the strategic planning process, through involvement on the
Strategic Planning process, and through regularly scheduled department and all-staff meetings. .
The Strategic Planning sessions brings strategic planning recommendations to the full Board in
June for adoption.
Although the strategic plan sets broad directions over a longer planning cycle, typically three
years, the NNLC Board also identifies a set of annual priorities in implementation of the strategic
plan. The Executive Committee, working closely with management staff, identifies these annual
priorities and presents them to the Board at the last meeting of the fiscal year, usually in June.
Progress on these priorities is presented to the Board throughout the year, through presentations
at Board meetings and semi-annual written summaries of progress compared to goals.
These annual priorities become the framework for the annual work-plan, which is developed,
managed and evaluated by NNLC staff. Through this plan, departmental and program objectives
align with the organization's board-approved annual priorities. The Executive Director, together
with board committees, works closely with staff to develop and implement performance
measurement tools and evaluate performance on a quarterly basis.
l . Orientation session
In July, after election by the Board in June, new Board members are invited to an orientation
session, usually conducted by the NNLC Board Chair and the Executive Director. At this
session, new Board members are introduced to their "Board Binder," which contains planning
documents, Board rosters and biographies, the Bylaws, financial reports and other written
materials. The orientation session also covers an overview of agency strategy and programs, as
well as an introduction to Board operations and culture, and committee structure and
participation. New members have the opportunity to meet their peers on the Board, and learn
about the Board partner and orientation process.
Board Assessment
The Board Executive Committee conducts an annual assessment of Board effectiveness and
engagement. The committee administers a survey asking Board members to evaluate the Board's
performance on multiple components of Board practice, and then rank each component on its
priority for current Board work. The Board Executive Committee analyzes the survey results and
develops recommendations for strengthening Board practice, which are then reported to the full
Board, and developed into strategies for implementation.
New Board members are invited to a feedback session during their first year on the Board,
conducted with the Board Chair and members of the Board Executive Committee. At this time,
new members provide feedback on their initial year on the Board, including the effectiveness of
the Board orientation and committee participation.
With Board terms renewing every three years, renewals of Board terms also serve as a tool for
evaluating individual Board member engagement and effectiveness and confirm a renewed
commitment.
Board Education
To build an informed and engaged Board, NNLC provides ongoing Board education through the
following methods:
o Regular staff updates to the Board giving updates on agency programs, services, and
funding, as well as staff news and changes.
o Presentations at Board meetings by outside speakers including but not limited to CPA
Auditors, Funders, and community leaders.
o Invitations to NNLC Staff Meetings: All board members are invited to attend the weekly
administration staff meetings and weekly instructional staff meetings. Attendance of
board members encourage connection between Board and staff.
Technical Assistance
Board members may also provide technical assistance to NNLC staff, either through their
committee involvement or through individual work. The breadth of skill and connection with
the NNLC Board provides expertise and resources to NNLC that help deepen the organization’s
impact in the community and serve as a tool for staff development. Examples of technical
assistance provided by Board members include advice on legal documents, such as contracts and
leases, advice on human resources issues, building and maintenance, communication issues,
marketing and advertising support.
Board members focus their efforts on strategic issues and delegate the operational management
of NNLC to the Executive Director who then directs the NNLC staff.
The Board of Directors hires the Executive Director and evaluates the Executive Director's
performance on an annual basis. This evaluation is conducted by the NNLC Board Chair and
Executive Committee in May of the fiscal year and encompasses:
o A review of the Executive Director Self-Evaluation.
o An evaluation of the organization’s performance throughout the fiscal year compared to
goals.
o An evaluation of professional performance and growth compared to goals.
o Any feedback from direct staff who reports to the Executive Director, as well as
community partners identified by the Executive Director.
Succession Planning
Succession planning of executive leadership is addressed through the close partnership between
the Board and Executive Director, and the informal ongoing planning for leadership
development of management staff. More formally, the Executive Committee and executive
leadership have written an emergency succession plan, which is reviewed annually and revised
when needed. This plan addresses unplanned short- term absences of three months or less as well
as long term of three months or more, or the permanent absence of the Executive Director. The
Board Chair will inform the Board of Directors if there are any changes to Succession Plan that
change the authorities of the Acting Executive Director.
Planning for executive leadership transition is a critical governance responsibility of the Board,
delegated to the Executive Committee. The Executive Committee will work closely with the
NNLC Executive Director, other board members and outside consultation to plan for a stable
transition.
