COMMERCIAL TERMS & CONDITIONS

Price basis : Ex- Works. Pune

Packing & forwarding : 2 % Extra on basic order value
GST : 18% extra
Payment terms : 40% along with PO and
45% along with 100% taxes and duties against
proforma invoice prior to dispatch and 15 % against
commissioning or within 30 days from the date of last
dispatch whichever earlier
Delivery : 8-10 weeks from the date of approval of drawing along
with advance payment.
Freight & insurance : By Purchaser.
Validity : 30 days.
Warranty : 12 months from date of commissioning or 18 months
from date of dispatch whichever is earlier. The
Warranty is valid only if original Spares and
accessories of RIECO are used in the equipment
supplied. The Warranty for the equipment would null
and void if spares and accessories of unauthorized
vendors are used. In the event, RIECO parts are not
used, any service requested will then be on chargeable
basis

ANNEXURE AA
RIECO INDUSTRIES LIMITED
MAJOR COMMERCIAL
TERMS

01. PRICE : The price quoted by us includes delivery.

a) Ex-Works for equipment dispatched by us.
b) Ex our sub-supplier’ works/stores in India for equipment ordered by us with
them for direct dispatched to the destination.
02. PACKING & : We shall claim included of quoted price extra for packing and either loading at
FORWARDING our Works or dispatch ex-near railhead. We shall employ our standard packing
for safe transit except for those items which by reason of their shape, size or
weight are dispatched invariably in unpacked condition.
03. TAXES & DUTIES : The quoted prices are exclusive of all Central, State or Local taxes payable by
us on the manufacture and supply of materials covered by our offer. We
shallclaim all such taxes, duties and levies in addition to the contracted price
at therates applicable on the date of supply of every consignment. The taxes
paid toour suppliers on direct despatch items shall be claimed as surcharge. If
by any statutory law or order, we are called upon to pay any levies
retrospectively in respect of supplies of already invoiced. We shall be entitled
to receive from you full reimbursement of such additional amounts.
04. TERMS OF PAYMENT : * in advance along with the order, by Demand Draft payable at Pune.
* against despatch of preliminary drawings.
Balance against Proforma Invoice, Pro-rata for each and every despatch,
alongwith 100% duties and taxes by D.D., thereon, freight and insurance
charges it any.
Any delay in release of payment beyond the due dates mentioned above will
entitle us to suspend further supplies without any liability for delay and shall
receive interest on the period of delay at a rate 24% p.a. Also we shall be
entitled to claim storage charges.
05.. DELIVERY : We expect to commence supplied ex-our works within a period of * months
after the receipt of your fully clarified order and complete them within,
_* months thereafter. This delivery period has been quoted in good faith
based on our present commitments and is therefore subject to
reconfirmationby us at the time of acceptance of our offer.
The delivery period will be reckoned from the date of:
1) Receipt of all technical/commercial clarifications and amendments to
enable us to proceed with the execution forthwith
(2) Advance. If drawings are to be approved by you, and delay beyond 7-days
in approval of drawings will extend the delivery automatically. Delivery is
also subject to FORCE MAJEURE.
06. MODE OF DESPATCH : By Road on Freight-To-Pay basis. Equipment will be despatched in one or more
lots at our option in assembled condition.
07. INSPECTION : We shall carry out inspection as per our normal procedure. On your request
we can offer visual and dimensional inspection before final despatch. Any
additional requirements should be agreed specifically. Inspection is not carried

out within 7 days from date of our inspection call it will be deemed that the
equipment is accepted and cleared for despatch.
08. WARRANTY : Our liability in respect of any defect in our failure of equipment supplied by us
or any loss. Injury or damage attributed thereto, is limited to making good by
replacement of repairs, defects which under proper use appear therein
(Provided the equipment is installed under our supervision or is erected.
Operated and maintained as per our instructions) and arise totally from
proved faulty design, materials or workmanship within a period of twelve
months from the date of commissioning of the equipment or eighteen months
from the date of the last invoice despatch, whichever is earlier, at the
termination of which period all liability on our part will cease. This warranty is
applicable under the following conditions :
a) Any replacement/repairs required to be made under the provision of this
warranty will be carried out at our option either at site or at works. In the
later case you will arrange to return the defective parts to us promptly,
securely packed and duly insured.
b) After replacement/repairs the period of warranty will limit itself to the
unexpired portion of the total warranty period for the entire equipment.
c) For accessories and fittings not manufactured by us, but which form an
integral part of the equipment, the warranty will be coterminous with the
equipment irrespective of the warranty period extended by the makers.
d) In respect of the equipment where despatch after readiness is delayed at
your specific instructions or lack of instructions, the warranty will be
limited to eighteen months from the date of readiness of the equipment
for despatch as defined under clause 19.
e) No repairs or replacements unless Authorised by us in writing, will be
carried out on the equipment during the warranty period, either by you
or by any other party.
f) The warranty can be involved only if you have fulfilled your obligations
under the contract relating to the release of all due payments etc.
09. CANCELLATION : You will not unilaterally cancel the order once accepted by us. In the event of
the order being canceled by you with our consent, you will be liable to pay to
us cancellation charges, either proportional to the delivery period already
expired or the actual cost of work completed whichever is higher, subject to a
minimum of 20% of the value of equipment canceled. Under no
circumstances, shall we consent to cancellation after expiry of 60% of total
delivery period nor shall you have any claim over the designs, drawings or
materials laying us, which in the event of cancellation of order at your
instance will remain our property.
10. EXCLUSIONS : Items, which are not specifically mentioned in this offer.
11. JURISDICTION : Any contract arising out of this offer will be subject to jurisdiction of Law
Courts in Pune.
12. VALIDITY : Unless otherwise previously mentioned, our offer shall remain valid up to 30-
days from the date of the offer.
