 ANEXURE II - Terms and Condition
1. PRICE :
The above prices on Ex-works basis. However we have quoted freight & port charges (JNPT Mumbai)
separately which is extra on Ex-worksprices.

2. VALIDITY:
This offer is valid for 30 days from date of issue, there after subject to our confirmation in writing.

3. DUTIES AND TAXES :

EXCISE DUTY:
NIL AGAINST "CT-1"
SALES TAX / VAT:
NIL AGAINST FORM ‘H’
4. Port of Dispatch :
Preferably from NAVA SHEVA, India.

5. PACKING:
Standard Sea worthy Packing will be provided, for customized packing actual charges will at extra.

6. PAYMENT TERMS:
50% interest free advance along with Order.
50% against Manufacturing Clearance.
You have to submit an irrevocable Letter of Credit to us for the remaining 50% with the 30
days usance only for the payment as mentioned above at the time of manufacturing clearance
or issuance of PO whichever is earlier.

Applicable taxes and duties on pro‐rata basis against Performa Invoices. All the payment should
be by Demand Draft payable at Jaipur or RTGS to our Bank Account.

7. DISPATCH:
45 Days from the date of Manufacturing clearance
(Manufacturing clearance - All necessary advances, LC, Statuary Forms and other clearances
(if any)

Deliveries quoted are subject to prior sales or confirmation by us. All delivery periods shall start
from the date of receipt of the necessary advance and approvals as per terms and only when
all details of execution have been made clear to both parties are in agreement with the
conditions of the contract. Its strict observance presumes the fulfillment of the contractual
obligations of the buyer particularly the conditions of payment agreed upon. Delivery promises
are based on the current manufacturing program. We will endeavor to keep to the date given
but accept no liability for failure to do so. Delay in the delivery quoted shall not render the
contract violable on the part of the purchaser and no claim either direct or indirect can be
made on us on account of delays. In no case shall the purchaser have the rights to withhold
balance payment or reject goods on account of delay in delivery.

8. WAREHOUSING CLAUSE:
In the event of your failure to take delivery of the Products as per terms of contract as a
consequence whereof the dispatch is delayed and the Products remains stored in our premises
at the risk of purchaser, we shall be entitled to charge for the storage thereof per month or
part thereof @ 2% per month, Maximum up to 10%.

9. INSPECTION:
If necessary the goods will be offered for visual inspection only at our Works on your cost only.
We will intimate the date of inspection in about 15 days in advance. If inspection is not carried
out on the date so advised, we shall be free to dispatch the consignment as per the terms of
delivery.

10. FORCE MAJEURE:

The offer is subject to force majeure by which it means causes such as war, invasion, civil
disobedience, govt. orders/restriction, strikes, lock-outs, riots, fires, epidemics, sabotages
trades, embargoes, earthquakes, floods, accidents, break-down of machinery, delay or inability
to obtain labor, raw materials, wagons, shipping space or any causes Whatsoever beyond our
reasonable control, affecting us or our sub contractors, suppliers Etc.

11. CANCELLATION:
Order once placed by you and confirmed by us will not be subject to cancellation either wholly
or partly for any reason whatsoever without our consent. Advances made against the said
order will be forfeited.

12. JURISDICTION:
Any disputes arising out in connection with this order shall be settled amicably between seller
and purchaser. In default of amicable agreement the dispute shall be subject to INDIA
Jurisdiction only
