ARTICLES OF INCORPORATION

The undersigned incorporators, of legal ages, Filipinos, and all of whom are residents of the
Philippines, have this day voluntarily agreed to form a stock corporation under the laws of the Republic
of the Philippines.

SECOND – That the purposes for which said corporation is incorporated are:
PRIMARY PURPOSE
To establish, operate, manage and/or maintain radio and television broadcasting stations on a
commercial and/or sustaining basis; to act as advertising agent and agent and to carry on the business of
advertising for other radio and television broadcast stations; to make, manufacture and produce musical
records and tapes for broadcasting or for private use and to carry on a recording business for this
purpose.
SECONDARY PURPOSE
1. To manufacture, buy, sell, lease, import, export and generally deal in all electronic
equipment, facilities, materials and supplies of all class and descriptions; to do all kinds of work and
supply all kinds of materials for the repair of radio and television receivers and transmitters; and to
enter into contracts or the erection and repair of radio and television stations and antennas;
2. To carry on the business as exporters, importers, traders, general merchants, agents, of all
kinds and indent brokers for any goods, wares, merchandise and articles of trade;
3. To acquire an interest in or amalgamate with or enter into arrangements for sharing profits,
mutual assistance or cooperation with any person, corporation or entity on or about to carry on or
engage in any business transaction, operation or work capable of being conducted by such person,
corporation or entity, and to purchase, take or otherwise acquire or held shares or stocks or other
securities of or interest in any such corporation or entity and to sell, hold and re-issue with or without
guarantee or otherwise deal with the same;
4. To acquire physical facilities, equipment and devices necessary to the business operations of
the company and to purchase, take, receive, lease or otherwise acquire and own, hold, use and
otherwise deal in and with real and personal property, or any interest therein whenever situated; and
5. To do all and everything necessary, suitable and proper for the accomplishment of any of
the purposes or the attainment of any of the objects or the furtherance of any of the powers
hereinabove set forth, either alone or in association with other corporations, firms or individuals, and to
do, every other act or acts, thing or things, incidental or appurtenant to or growing out of or connected
with the aforesaid objects or purposes or any part or parts thereof, provided the same be not
inconsistent with the laws.
THIRD – That the terms for which the said corporation is to exist is FIFTY (50) YEARS from and
after the date of issuance of the certificate of incorporation.
FOURTH – That the names, nationalities and residences of the incorporators of said corporation
are as follows:

FIFTH – That the number of Directors of said corporation shall be five (5); and the names,
nationalities and residences of the first five (5) directors of the corporation are as follows:
SIXTH – That the authorized capital stock of the corporation is TWENTY MILLION
(P20,000,000.00) PESOS, Philippine Currency, divided into TWO HUNDRED THOUSAND (200,000) shares
with a par value of ONE HUNDRED (P100.00) PESOS, per share. (Amended on 28 June 1991)
SEVENTH – That at least twenty-five (25%) percent of the authorized capital stock above stated
has been subscribed as follows:
EIGHTH – That the above-named subscribers have paid at least twenty-five (25%) percent of the
total subscription as follows:
TENTH – That no transfer of stock or interest which will reduce the ownership of Filipino Citizens
to less than the required percentage of the capital stock as provided by existing laws of the corporation
and this restriction shall be indicated in all stock certificates issued by the corporation.

ACKNOWLEDGMENT
BEFORE ME, a Notary Public for and in Makati, Metro Manila, this 12th day of August 1986

known to me and to me known to be the same persons who executed the foregoing instrument and the
acknowledged to me that the same is their free act and voluntary deed.
The foregoing instrument consisting of four (4) pages including this page whereon this
acknowledgement is written refers to the Articles of Incorporation of
