Dear Ms Ada He/Guangzhou Xinda Trading co Ltda:

I, Bladimir Encalada, representing Impodirect Cia. Ltda. , as the owner of the registered trademark
"Mottox", hereby formally grant authorization for the use of the aforementioned trademark in the
manufacturing of products in the Republic of China.

The "Mottox" trademark has been duly registered and protected in Ecuador, under registration number
IEPI-2015-38184. The authorization granted encompasses the use of the trademark in the
manufacturing of products in China by Ms Ada He/Guangzhou Xinda Trading co Ltda,, in accordance with
the terms and conditions set forth below:

1. Exclusive Use:
*The authorization granted is exclusive and non-transferable to third parties without the prior written
consent of Impodirect Cia Ltda.
* The written consent will be signed with the signature of the PI (Proforma Invoice) and limited only to
the products that appear in the aforementioned Document.

2. Quality and Product Control: Ms Ada He/Guangzhou Xinda Trading co Ltda agrees to maintain high
standards of quality in the manufacturing of products utilizing the "Mottox" trademark. Ms Ada
He/Guangzhou Xinda Trading co Ltda is expected to comply with all applicable regulations and standards
in the manufacturing of the products.

3. Brand Protection: Ms Ada He/Guangzhou Xinda Trading co Ltda undertakes to use the "Mottox"
trademark consistently with the brand's image and values, and to take all necessary measures to protect
it from any unauthorized use.

4.Duration of Agreement: This authorization for the use of the "Mottox" trademark in the manufacturing
of products in China shall become effective as of the date of signature and shall remain in force until
further notice in writing Impodirect Cia Ltda.
