AGREEMENT FOR BAND PERFORMANCE

BETWEEN
THE PAMANTASAN NG LUNGSOD NG MAYNILA COLLEGE OF EDUCATION
AND
FIFTY PER HOUR

This Memorandum of Agreement ("MOA") is made and entered into on this __21st__ day of
__February___, 2024, by and between:

1. PARTIES. Pamantasan ng Lungsod ng Maynila College of Education Student


Council, with its principal office located at Gen. Luna Cor., Muralla St. Intramuros
Manila, hereinafter referred to as the (Student Council) and FIFTY PER HOUR , a
Student Band, with its principal office located at [Gen. Luna Cor., Muralla St.
Intramuros Manila], hereinafter referred to as the (Partner).

Collectively, the University and the Sponsor may be referred to as the "Parties."

2. TERM. This Agreement shall commence upon the approval of the Office of Student
Development and Services (OSDS) and shall remain in full force and effect until
the completion of the activity.

3. TERMINATION
A. Grounds. Any time after the execution of this contract, this MOA may be
terminated at the instance of ANY OR BOTH PARTIES hereto or by reason of
default described hereunder without prejudice to any other rights or remedies
it is entitled under this MOA and applicable law.
B. Events of Default. Each of the following events shall constitute a valid
ground for default:
a. Any failure, neglect or inability on the part of either of the Parties to
comply with any of the terms and/or conditions of this Agreement; and
b. Any misinterpretation or breach of warranty made in connection
herewith and proven to have been incorrect or misleading as of the
time it was made.
C. Validation. This MOA shall only be valid within the Academic Year 2023-
2024.

WHEREAS, the Student Council is organizing an event titled "CEDestination: Gitna ng


Trapiko" (the "Event") to be held on March 20, 2024, at the Tanghalang Bayan (TB).
WHEREAS, the Partner desires to be a partner of the Event in accordance with the terms and
conditions set forth herein;

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained


herein, the Parties agree as follows:

4. PARTNERSHIP DETAILS
A. Scope of Partnership: The Student Council shall provide the partners with
B. Partnership Benefits: The Student Council agrees to provide the following
partnership benefits (overview) to the Partner:
a. LOGO. Brand name and logo will be promoted on the social media pages
b. PAGE BOOSTS. The Student Council will boost the Partner’s social media
pages by liking and sharing their (specified) publication materials.
c. OTHER BENEFITS. See the attached primer for more partnership benefit
details.

5. PARTNERSHIP OBLIGATIONS
5.1 Promotional Materials. The Partner shall provide all necessary promotional
materials, signage, and equipment for its booth, including setup and
teardown.
5.2 Performance. The partner shall perform during the event.
5.3 Compliance. The Partner shall comply with all applicable laws, regulations,
and University policies while participating in the Event.

6 TERM AND TERMINATION


6.1 Term. This MOA shall commence on the date of execution and shall remain
in effect until the conclusion of the Event.
6.2 Termination. Either Party may terminate this MOA with written notice to the
other Party if the other Party materially breaches any provision of this MOA.

7 INTELLECTUAL PROPERTY
7.1 Ownership. Any intellectual property rights associated with the Sponsor's
branding and promotional materials shall remain the property of the Sponsor

8 CONFIDENTIALITY
8.1 Confidentiality. Both Parties agree to keep all non-public information
obtained during the course of this MOA confidential.

9 ENTIRE AGREEMENT
9.1 Entire Agreement. This MOA constitutes the entire agreement between the
Parties and supersedes all prior oral or written agreements, understandings,
or representations.
