Dear Dr. Lipton:

Our law firm represents Rema Vassar, Ph.D., a Trustee of Michigan State University
"MSU"). We are writing to notify you, as Chair of the MSU Faculty Senate, that our firm is
completing an analysis of the Independent Investigation Report prepared by the Miller & Chevalier
firm ("Miller & Chevalier"), on behalf of MSU and/or MSU's Office of Audit, Risk and
Compliance dated February 28, 2024 ("the Report"). We anticipate issuing our response to the
Report very soon.

Our review of the Report so far has revealed that it is not "independent," Miller &
Chevalier's investigation was conducted without providing due process to Dr. Vassar, the
investigation and Report are incomplete with regard to essential matters, and the Report's findings
and recommendations are unsupported and profoundly flawed. We believe it is imperative to read
our response to the Report before determining what weight, if any, to give its findings, conclusions,
and recommendations.

Accordingly, we strongly recommend that the Faculty Senate refrain from making any
judgments, or taking action, in reliance on the Report until after all members have had an
opportunity to review our firm's response. Under the circumstances, it would be premature and
potentially damaging for the Faculty Senate to proceed otherwise.
