PROPERTY SALE AGREEMENT

This Property Sale Agreement ("Agreement") is entered into as of [Date], between:

SELLER: Name: Mr. Rohit Gupta Address: 123 Main Street, Raj Nagar, Ghaziabad,
Uttar Pradesh, India

BUYER: Name: Ms. Priya Sharma Address: 456 Park Avenue, Vaishali, Ghaziabad,
Uttar Pradesh, India

WHEREAS, the Seller, Mr. Rohit Gupta, is the legal owner of the property located at
789 Elm Street, Crossing Republic, Ghaziabad, Uttar Pradesh, India, hereinafter
referred to as the "Property".

NOW, THEREFORE, in consideration of the mutual covenants and agreements


contained herein, and other good and valuable consideration, the receipt and
sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. Sale of Property

The Seller, Mr. Rohit Gupta, agrees to sell, and the Buyer, Ms. Priya Sharma, agrees
to purchase, the Property described above.

2. Purchase Price

The Purchase Price for the Property shall be INR 50,00,000 (Indian Rupees Fifty
Lakhs), payable as follows:

 INR 5,00,000 (Indian Rupees Five Lakhs) as the earnest money deposit, to be
paid by the Buyer, Ms. Priya Sharma, to the Seller, Mr. Rohit Gupta, upon
signing this Agreement.

 The remaining balance of INR 45,00,000 (Indian Rupees Forty-Five Lakhs)


shall be paid by the Buyer, Ms. Priya Sharma, to the Seller, Mr. Rohit Gupta,
in full on or before the date of [Closing Date].

3. Property Details

The Property is described in detail as follows:

 Type of Property: Residential

 Land Area: 2000 Square Feet

 Building Area: 1500 Square Feet

 Description of Construction: 3 Bedrooms, 2 Bathrooms, 2 Floors

 Legal Description: As per the property deed

4. Title and Possession


The Seller, Mr. Rohit Gupta, warrants that he is the legal owner of the Property and
has the right to sell the Property. The Seller shall provide clear title to the Property to
the Buyer, Ms. Priya Sharma, upon receipt of the full Purchase Price.

5. Closing and Transfer of Ownership

The closing of the sale shall take place on or before [Closing Date]. At the closing,
the Seller, Mr. Rohit Gupta, shall deliver possession of the Property to the Buyer,
Ms. Priya Sharma, and the Buyer shall pay the remaining balance of the Purchase
Price to the Seller.

6. Expenses

All expenses related to the sale of the Property, including but not limited to, stamp
duty, registration fees, and taxes, shall be borne by the Buyer, Ms. Priya Sharma.

7. Representations and Warranties

Both Parties represent and warrant that they have the legal capacity and authority to
enter into this Agreement and to fulfill their respective obligations herein.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of
India.

9. Entire Agreement

This Agreement constitutes the entire understanding between the Parties with
respect to the subject matter hereof and supersedes all prior agreements,
negotiations, and understandings, whether written or oral, relating to such subject
matter.
