ECONOMIC CONTRACT

(Google and Facebook Advertising Contract)

- Pursuant to the Commercial Law No. 36/2005 QH11 adopted by the 11th National Assembly of
the Socialist Republic of Vietnam;
-Pursuant to the Law on Information Technology No. 67/2006/QH11 and The Legal Documents
Guiding the Implementation;
- Pursuant to National Decree No 97/2008/NĐ-CP 28th August 30, 2008 about management,
supply, Internet usage and electric information on the Internet;
- Base on the actual demand of customer and service supply ability of ANTOPHO service and
trading Co. Ltd

After negotiation, the Parties hereby agree to sign the contract with terms and conditions as

2.2 This offered service will be active within 12 months (From 01 st September, 2020 to the end
of 31st August, 2021).

3.1 These below statements illustrate services provided by Party B to Party A:

Article 4: EVALUATION METHODOLOGY FOR RESULT AND DURATION OF THE

CONTRACT
 1. EVALUATION METHODOLOGY FOR RESULT IN TERM OF GOOGLE
ADVERTISING: When finding key word (Follow key word list stated in the contract),
location is the result being displayed on Google Việt Nam (google.com.vn).
2. Phương thức đánh giá kết quả đối với nâng thứ hạng bản đồ Google Map: After 3
hour of deployment, location map of A will appear at one among list of destinations.
Party B undertakes to maintain this achievement being always at 90% total time from
April until the expired date of this contract

Article 5: Service fee and payment method

4.1 Total contract value : 75.460.000 VNĐ (By word: seventy five million, forty six hundred
thousand Dong)

4.2 Payment method: Cash or Bank Transfer by Vietnam Currency (VND). All fee arised for
bank transfer is at Party A’ bank account

Article 6. Obligation of Party A

4.1 Party A has to be responsible for providing Party B with adequate website information and
fan page. Party A also sends relevant information about key word and facebook to Party B

4.2 Party A has to be responsible for noticing, updating all altered (if emerge) information being
relevant to Google Advertising, technical parameter that ensure the most precisely about google
advertising.

4.3 Follow strictly regulation promulgated by Government of Vietnam in the sectors of post,
telecommunication ('telecom'), radio frequency, information technology ('IT'), and electronic
transactions ('Decree 15'). Decree 15 is in effect as of 15 April 2020., Signed website will not be
used for social conflict, violence and national security and fine custom disruption purposes ;.
Party A has to be accountable to Vietnam regulation and penalty in case offending

4.4 Party A is responsible for paying adequately Google Advertising fee as the role of Party B’
Donor according to the statement in article 2

4.5 After expired date of contract, If Party B prefer extending duration of contract, two parties
will carry out additional negotiation for establishing others.

Article 7. Obligation of Party B

5.1 Party B at the role of Party A’s donor deploying advertising service on Google and
Facebook: Undertake the display of key word in accordance with daily budget. Vị trí và thông

5.2 Party B will monthly text Party A the notice of achievements

5.3 Quickly tackle Party A’s complain relating to service quality under Party B’ control. Party B
has to undertake precisely time period for advertisement display as the contract. If Party B is
failure in terms of proper time period for advertisement display, Party B will refund Party A and
clearly report as well as give solution.

5.4 Any negotiated and discussed information between Party B and B is not permitted to publish
and unveil to the third party.

5.5 Party B is responsible for sending Party B with daily, weekly, monthly report about the
quantity of “click” and displays.

5.6 In advertising campaign, Party B ensures not to take advantage of tricks and methodology to
cause harmful effect in Google evaluation of sunflower.com.vn. Party B is responsible for
indemnifying and surmounting A in case Party A bares risks and loss from the action of Party B

5.7 Depending on the context and time for Facebook Advertising, Party B is responsible for
observing and issuing optimized solution for Party A in order to boosting significantly efficient

Article 8. General terms

6.1 Both parties agree to implement seriously terms and conditions mentioned in economic
contract, the Party that breaks the law shall be fully responsible for incurred consequence
according to law enforcement.

6.2 During the period of the contract, any dispute arising will be resolved by friendly and
negotiation by both parties in good faith.

6.3 Liquidation value of this contract takes effect after contract duration ends.

If both parties are failure to achieve satisfactory result, all arising disputes will be handled at Hai
Phong High People's Courts. High People's Courts states the last decision and enforces both
parties to obey.

This contract is made in 2 copies, with the equal validity since the signing date, each party keep
1 copy.
