TITLE NO. KSL/KAREN BLOCK 11/1105

AGREEMENT FOR SALE

THIS AGREEMENT for sale is made on this 10TH day of MARCH Two Thousand and
Twenty Four.
BETWEEN

MPENDA PESA of Post office Box Number 10, Kilimani in the Republic of Kenya (hereinafter
referred to as “The Vendor”) which expression shall where the context so admits include his
personal representatives and assigns of the first part
AND

MAPESA MENGI of Post office Box Number 13 Kilimani in the Republic of Kenya
(hereinafter referred to as “The Purchaser”) which expression shall where the context so admits
include his personal representatives and assigns of the second part.

WHEREAS the vendor is desirous to dispose all that parcel of land known as KSL/KAREN BLOC11/1105
and the purchaser is interested in purchasing the same, it is agreed by and between the parties as
follows:-

a. That the property is located at Kilimani area within LR 12345/200 registered


under Mpenda Pesa within Nairobi measuring 0.0900 Ha
b. The interest sold is freehold.
c. The sale includes all immovables on the said property but does not include any
movables.
d. The property is sold in the condition it stands and the Vendor shall not be liable to
develop, alter, or improve the same.
e. The property is sold subject to the easements, conditions, restrictions and other matters
subject to which the Vendor holds the title but otherwise free from all encumbrances.
NOW THEREFORE, the parties agree as follows:-

1. Consideration Clause
The agreed purchase price is the sum of Kenya Shillings One Million which shall be paid by the

Purchaser to the Vendor as follows:-

i. Kenya Shillings Five Hundred Thousand (Kshs.500,000/=) has already been paid to the
Vendor as a deposit of the purchase price before the execution of this agreement and by
execution of this agreement the vendor acknowledges the receipt of the said deposit.
ii. The balance of the Purchase Price in the sum of Kenya Shillings Five Hundred
Thousand (Kshs500,000/=) shall be paid upon signing of this agreement for sale to the
following bank account:

ACC NO: 000000000

2. Completion Clause
The Vendor shall deliver to the Purchaser the following Completion Documents within 30 days of
signing this agreement:-

a) The Original Title Deed in respect of the property;


b) Application for Land Control Board Form together with the
c) Original letter of consent to transfer;
d) A duly executed but undated instrument of Transfer of Title in favour of the Purchaser;
i. A certified copy of the Vendor’s PIN certificate;
ii. Vendor’s three passport size photographs;
iii. Certified copies of the vendor’s identity cards.

3. Matters affecting property


The property is sold subject to and with the benefit of all easement and other similar matters,
which are apparent on inspection or disclosed in any of the documents referred to in this
agreement. The property is sold in the condition it is at present and the vendor shall not be
required to repair the same or make any further improvement.

4. Possession clause
The Vendor shall deliver the property unto the Purchaser in vacant possession upon the Vendor’s
receipt of the entire of the purchase price.

5. Incorporation of Lsk Conditions of Sale


This Sale Agreement is subject to the Law Society Conditions of Sale (2015 Edition) (“the Law
Society Conditions”) in so far as they are capable of having effect and application in this Sale
Agreement and are not inconsistent with or varied by any of the conditions contained in this
Sale Agreement or are specifically hereby excluded.
6. Costs
Each party shall pay the legal charges of their own Advocates of and incidental to the preparation
and completion of this Agreement and Transfer.

7. Notice clause
Any notice, request or demand required or permitted to be given or made under this Sale
Agreement shall be served on the purchaser or its Advocate if forwarded to him by phone
message or by registered post to his last known postal address .Furthermore, it shall be said to be
sufficiently served to the vendor or Advocate if delivered to it's or forwarded through phone
message to the last known postal address of the vendor.

A notice given by post shall be deemed to have been served Seven (7) days after the date of
posting.

8. Jurisdiction Clause
This Agreement shall be interpreted according to the laws of Kenya and parties hereby submit to
the jurisdiction of the courts of Kenya. Parties can also make use of ADR Mechanism.

IN WITNESS WHEREOF this Sale Agreement has been duly executed at Nairobi by the
parties the day and year hereinbefore written.
