MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

THE PARTIES :

NELLA A. LOCQUIAO, of legal age, Filipino, with residence and postal address at P32-
03, 11th Street, Airmen’s village, Brgy. Villamor, Pasay City, hereinafter referred to as the
FIRST PARTY;

BENEDICTO A. LOCQUIAO, DARELIO A. LOCQUIAO, and MARY ANN C.


LOCQUIAO, ALL of legal age, Filipino citizen and a resident of P32-03, 11 th Street, Airmen’s
Village Brgy. Villamor, Pasay City, hereinafter referred to as the SECOND PARTY:

WITNESSETH, That:

1. PROPERTY SUBJECT MATTER : PARTIES are the respective owners and


possessor of a portion of lot 3, Blk. 41 with an area of ONE HUNDRED FIFTY (150)
SQUAR METER and an area of NINETY ONE (91) SQUARE METERS respectively,
both situated in Phase II, Airmen’s Village, Villamor Airbase, Pasay City, by virtue of
Extra Judicial Settlement and Partition of the Estate with Waiver of Hereditary Rights
executed on June 16, 2006, before Notary Public Atty. Roberto B.Arca and entered
into his Notarial Registry under Doc No. 402; Page No. 82; Book No. VIII Series of
2006 and an Extra Judicial Settlement of the Late Edgardo A. Locquiao with extra
Judicial Partition and Waiver of Rights in favor of Mary Ann C. Loquiao before Notary
Public Atty. Abigail Azcarraga Portugal under Doc. No. 1052; Page No. 12; ;Book No.
X; Series of 2018, which parcel of land is more particularly described as follows:

“ A PARCEL OF LAND (LOT 3-B OF THE SUBDIVISION


PLAN (LRA) PSD-391194 APPROVED AS A NON-
SUBDIVISION PROJECT, BEING A PORTION OF LOT 3,
BLOCK 41, ALL OF PSD-00-042763; L.R.C. RECORD 2484)
SITUATED IN THE BARRIO OF VILLAMOR AIRBASE
MUNICIPALITY OF PASAY CITY, PROVINCE OF METRO
MANILA, ISLAND OF LUZON. BOUNDED ON THE NE.,
POINTS 3 TO 4 BY THE ROAD LOT 22 (11 TH STREET-8.00
M WIDE); ON THE TO 5 BY LOT 4, BLK. 41; ON THE SW.,
POINTS 5 TO 6 BY LOT 22; ON THE NW POINTS 6 TO 1
BY LOT 2, ALL OF BLOCK 41, ALL OF PSD-00-042763; ON
THE NE., & NW., POINTS 1 TO 3 BY LOT 3-A, OF THE
SUBDIVISION PLAN. CONTAINING AN AREA OF ONE
HUNDRED FIFTY (150) SQUARE METERS MORE OR
LESS- XXX-

And

“ A PARCEL OF LAND (LOT 3-A OF THE SUBDIVISION

M WIDE); ON THE SE.,AND SW., POINTS 3 TO 4 AND 4 TO
1 BY LOT 3-B, OF THE SUBDIVISION PLAN; ON THE NW.,
POINTS 1 TO 2 BY LOT 2, BLOCK 41, PSD-00-042763.,
CONTAINING AN AREA OF NINETY ONE (91) SQUARE
METERS MORE OR LESS- XXX-
2. The SECOND PARTY executed a Special Power of Attorney authorizing the FIRST
PARTY to process, facilitate consolidate and sell the above-described property;

3. PRICE - The contract price for this property is Php 18,000,000.00 Philippine pesos.

4. The net proceeds of the property sold to a prospective buyers will be devided according
to their respective shares per sqùare meter as follows:

DARELIO A. LOCQUIAO - 91 Square meters


BENEDICTO A. LOCQUIAO- 50 Square meters
NELLA A. LOCQUIAO - 50 Square meters
MARY ANN C. LOCQUIAO - 50 Square meters

5. COMMISSION – The parties acquire the services of Augustian Marketing


Consultancy Services as agent and the latter is entitled to a 5% commision based on
the contract price of the property;

6. REAL PROPERTY TAXES – Any and all unpaid property taxes and processing
expenses for the consolidation of the above-described property will be paid by the
parties.

7. PAYMENT OF CAPITAL GAIN TAX- The capital gain tax fornthe property shall be paid
hy the buyer;

8. OTHER TAXES AND EXPENSES- The documentary stamp tax, transfer tax,
registration fees and all other expenses to transfer the title of the property from the
owner’s name to the buyer’s name shall be the responsibility of the buyer.

9. AMENDMENT AND APPLICABILITY – This Agreement maybe amended by the


parties prior to entering into this agreement.

This request is made in support to our application for judicial titling of the said property
and hire the services of any registered Geodetic Engineer upon approval of this request for the
consolidation of the property.

IN WITNESS WHEREOF, we have hereunto set our hand this __th day of November,
2023 at Pasay City, Metro Manila.
