BUSINESS CONSULTANCY MANDATE

MANDATE
1. The purpose of this Employment Consultancy Mandate is to outline the terms and conditions
under which AGBEKO LOTSU ("the Consultant") will provide employment consultancy
services to A. P OIL & GAS GHANA LIMITED ("the Principal").

2. The Principal will be represented by Mr. Michael Kumah, Director, the undersigned, or any
other individual or organisation authorised by the Principal, upon notification in writing by the
undersigned.

3. The Principal mandates the Consultant to act as a Retail Property Development Manager to
oversee the planning, implementation, and successful execution of a fuel filling station project
development. The Principal shall be responsible for managing all aspects of the project,
including coordinating with various stakeholders, ensuring compliance with safety and
regulatory standards, and delivering the project within budget and timeline constraints.

4. The consultant undertakes to exercise the mandate in accordance with the instructions
received pursuant to the provisions of this agreement or by the Principal directly or by an
authorized person designated by the Principal. As a general rule, the Principal will issue
instructions to the Consultant in writing including E-mail. If as an exception, the Principal
issues an instruction to the Consultant verbally, the consultant shall confirm the instruction in
writing including Email for the Principal's acknowledgement.

SCOPE OF SERVICES
The Consultant agrees to provide the following services to the Principal under the terms of the
mandate:
1. Project Planning: Develop a comprehensive project plan, including scope, budget,
timelines, and resource allocation.
2. Stakeholder Management: Liaise with internal and external stakeholders, such as
government authorities, contractors, suppliers, and utility providers, to ensure smooth
coordination and adherence to project requirements.
3. Compliance and Regulations: Ensure compliance with all applicable safety, environmental,
and regulatory standards throughout the project, including obtaining necessary permits
and licenses.
4. Budget and Cost Control: Monitor project expenses, manage the project budget
effectively, and identify cost-saving opportunities without compromising quality or safety
standards.

5. Quality Assurance: Implement and enforce quality control measures to ensure the
construction and installation of required standards and specifications.
6. Risk Management: Identify potential risks and develop mitigation strategies to minimize
project delays, financial loss, or any other adverse impact on the project.
7. Team Leadership: Lead a team of contractors, subcontractors, and project staff. Provide
guidance, support, and motivation to ensure effective collaboration and achievement of
project goals.
8. Project Documentation: Maintain accurate project documentation, including progress
reports, change orders, and other relevant records, to facilitate project monitoring and
reporting.
9. Communication: Foster open and clear communication channels with all stakeholders,
keeping them informed about project progress, address concerns, and resolve conflicts in
a timely manner.
10. Health and Safety: Promote and enforce a safe working environment by ensuring
compliance with all applicable health and safety regulations, conduct regular safety
inspections, and implement corrective actions as needed.
11. Negotiate deals for identified network and make proposal for preferred implementation of
ownership resulting in property sales or buy ins and lease ins.
12. Negotiation of property purchase, lease agreements, supply agreements & financing (e.g.,
prepaid rentals/ rebates) for major/ minor improvements, Reties, C.R developments (e.g.,
shop, car wash, lube bay, workshop, ATM).

The Parties agree to add additional tasks or deliverables under this agreement if requested by
the Principal and subject to the agreement of terms by both parties.

COMMUNICATION
1. The Consultant shall report to the Principal or the assigned representative.
2. The Consultant further shall notify without delay the Principal in writing of any material
complaint, perceived risk, be it operational or reputational, or claims against any related entity
or any other significant business occurrence of any kind.

NON DISCLOSURE
The existence, terms and conditions of this agreement shall remain confidential, and the parties
hereto agree not to divulge the existence, any terms or conditions of this agreement to any
parties other than the contractual parties, their respective agents and legal representatives,
except to the extent required to perform each of their respective obligations and contained herein
or as required by applicable law.

FEES AND PAYMENT TERMS


1. The Principal shall pay to the Consultant, a monthly Net Salary of Ten Thousand Ghana Cedis
(GHc10,000.00).
2. The stated net salary shall be WITHOUT withholding tax

TERM
This agreement shall enter into force and become effective following its execution by all parties
on July 1, 2023 and shall remain in full force and effect for a period of six (6) months deemed
renewed for another six (6) months should there be no notification of termination or unless
terminated in accordance with the termination clause.

TERMINATION
Either party may terminate this Mandate upon written notice to the other party via the provision of
a Two (2) weeks’ notice or Two (2) weeks’ pay on net salary in lieu of notice.

GOVERNING LAW AND JURISDICTION


This Mandate shall be governed by and construed in accordance with the laws of Ghana. All
disputes arising out of or related to this agreement shall be settled by and the parties hereto
irrevocably submit to the jurisdiction of the courts in Ghana.
